IMPORTANT EVENT TO REPORT: Appointment of general manager

SINTEZA S.A. informs shareholders and investors that, during the Board of Directors meeting on May 19, 2025, Mr. Remus Cotut submitted his resignation from the position of General Manager and legal representative of SINTEZA S.A., effective from 19.05.2025.

This decision comes in the context of the company's resolution to discontinue the implementation of the investment project financed through the National Recovery and Resilience Plan (PNRR). Given that Mr. Cotut's mandate was closely linked to the execution of this strategic project, the discontinuation naturally concludes the leadership engagement that had been mutually agreed upon at the time of his onboarding.

The CEO role at SINTEZA S.A. will be assumed by Mr. Radu Pascu, starting with 20.05.2025. His mandate is granted for a period of 3 (three) years.
