Den 20. mai 2025 kl. 12:00 ble det avholdt ordinær generalforsamling i DOF Group ASA (org.nr. 930 053 112) ("**Selskapet**").

Generalforsamlingen ble avholdt digitalt uten fysisk oppmøte.

Generalforsamlingen ble åpnet av styrets leder, Svein Harald Øygard, som opprettet fortegnelse over møtende aksjeeiere og fullmakter. Fortegnelsen, inkludert antall aksjer og stemmer representert, er inntatt som Vedlegg 1 til denne protokollen.

I henhold til fortegnelsen var 175 193 390 av totalt 246 278 655 utstedte aksjer representert. Totalt utgjør dette 175 193 390 stemmer, tilsvarende 71,14 % av det totale antall stemmeberettigede aksjer i Selskapet.

Til behandling forelå følgende agendapunkter: The following matters were on the agenda:

The annual general meeting of DOF Group ASA (reg. no. 930 053 112) (the "**Company**") was held on 20 May 2025 at 12:00 hours (CEST).

The general meeting was held digitally and without physical attendance.

The general meeting was opened by the chair of the board of directors, Svein Harald Øygard who record attendance of present shareholders and proxies. The record, including the number of shares and votes represented, is included as Appendix 1 to these minutes.

According to the record, 175,193,390 of a total of 246,278,655 issued shares were represented. In total, this amounts to 175,193,390 votes, corresponding to 71.14 % of the total number of shares with voting rights in the Company.

#### **1 VALG AV MØTELEDER 1 ELECTION OF A CHAIR OF THE MEETING**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*Svein Harald Øygard velges til møteleder. Svein Harald Øygard is elected to chair the meeting.*

### **3 GODKJENNING AV INNKALLING OG DAGSORDEN**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Innkalling og dagsorden sendt til samtlige aksjeeiere med kjent oppholdssted den 29. april 2025, godkjennes.*

#### **3 APPROVAL OF THE NOTICE AND AGENDA**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

#### **4 ORIENTERING OM SELSKAPETS STILLING 4 PRESENTATION OF THE COMPANY'S STATE OF**

### **5 GODKJENNING AV ÅRSREGNSKAPET OG ÅRSRAPPORTEN FOR 2024**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Selskapets selskapsregnskap for regnskapsåret 2024 og Selskapets årsrapport, herunder konsernregnskap og styrets beretning, samt konsernbidrag på NOK 8 420 234 til Norskan AS (org. no. 985 916 039) og NOK 19 225 713 til DOF Offshore Holding 2 AS (org. nr. 932 170 086), for regnskapsåret 2024, godkjennes.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

#### **6 UTDELING AV UTBYTTE**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

i. *Selskapet skal på grunnlag av Selskapets årsregnskap for 2024 dele ut et utbytte på NOK ekvivalenten av USD 0,3 per aksje. Det foreslåtte utbytte på totalt USD 73 883 596,50 vil bli vekslet om til NOK gjennom en spot veksling basert på en observerbar USDNOK vekslingskurs på samme dato som* 

### **5 APPROVAL OF THE ANNUAL ACCOUNTS AND THE ANNUAL REPORT FOR 2024**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The Company's annual accounts for the financial year 2024 and the Company's annual report, including the group's annual accounts and the board of directors' report, as well as a group contribution of NOK 8,420,234 to Norskan AS (reg. no. 985 916 039) and NOK 19,225,713 to DOF Offshore Holding 2 AS (reg. no. 932 170 086), for the financial year 2024, are approved.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

#### **6 DISTRIBUTION OF DIVIDEND**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

i. *The Company shall on the basis of the Company's annual accounts for 2024 distribute a dividend of the NOK equivalent of USD 0.3 per share. The proposed total dividend of USD 73,883,596.50 will be converted to NOK through a spot exchange based on an observable USDNOK exchange rate on the same date*

- ii. *Utbyttet tilfaller Selskapets aksjeeiere per dato for generalforsamlingen (20. mai 2025) (slik disse fremkommer i Euronext Securities Oslo (ESO) per 22. mai 2025), og utbetales 5. juni 2025.*
- iii. *Selskapets aksjer vil handles på Oslo Børs eksklusiv retten til utbyttet fra og med 21. mai 2025.*

- ii. *The dividend shall accrue to the Company's shareholders as of the date of the general meeting (20 May 2025) (as registered in the Euronext Securities Oslo (ESO) as of 22 May 2025), and shall be paid 5 June 2025.*
- iii. *The Company's shares will be traded on the Oslo Stock Exchange exclusive of the right to the dividend from and including 21 May 2025.*

## **7 STYREFULLMAKT TIL UTDELING AV YTTERLIGERE UTBYTTE**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I henhold til allmennaksjeloven § 8-2 annet ledd gis styret fullmakt til å beslutte utdeling av utbytte på grunnlag av årsregnskapet for regnskapsåret 2024.*
- *ii. Ved bruk av fullmakten skal styret sikre at beslutningen er i tråd med Selskapets vedtatte utbyttepolitikk. Styret skal før hver beslutning om godkjenning av utbetaling av utbytte vurdere om Selskapet, etter utbytteutbetalingen, vil ha forsvarlig egenkapital og likviditet jf. allmennaksjeloven § 8-1 fjerde ledd jf. 3-4*
- *iii. Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, men ikke lengre enn til 30. juni 2026.*

## **7 BOARD AUTHORISATION FOR DISTRIBUTION OF ADDITIONAL DIVIDENDS**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. In accordance with the Norwegian Public Limited Liability Companies Act Section 8-2 second paragraph, the board of directors is granted an authorisation to resolve the distribution of dividends on the basis of the annual accounts for the financial year 2024.*
- *ii. When using the authorisation, the board shall ensure that the decision is in accordance with the Company's adopted dividend policy. Before each decision to approve the payment of dividends, the board shall assess whether the Company, after the dividend payment, will have adequate equity and liquidity in accordance with the Public Limited Companies Act Section 8-1 fourth paragraph cf. Section 3-4.*
- *iii. The authorisation is valid until the Company's annual general meeting in 2026, but no longer than until 30 June 2026.*

**12 GODTGJØRELSE TIL MEDLEMMER AV STYRENDE ORGANER**

I samsvar med valgkomiteens forslag fattet generalforsamlingen følgende vedtak:

*Medlemmer av Selskapets styre skal motta følgende honorarer frem til den ordinære generalforsamlingen i 2026:*

*Styreleder skal motta USD 150 000 i årlig godtgjørelse og hver av styrets øvrige medlemmer skal motta USD 100 000 i årlig godtgjørelse.*

*For medlemmer som ikke har tjenestegjort gjennom hele perioden, skal godtgjørelsen justeres proratarisk basert på medlemmets tjenestetid.*

*Medlemmer av Selskapets styre anmodes om å kjøpe aksjer i Selskapet gjennom ordinære kjøp i markedet for minst NOK 250 000 per år. Anmodningen skal gjelde inntil den enkelte eier aksjer med en børsverdi som minst tilsvarer den enkeltes årlige brutto styrehonorar, og så lenge den enkelte innehar et styreverv i Selskapet. Anmodningen skal ikke gjelde for styremedlemmer som på grunn av annet virke er forhindret fra å eie aksjer i selskapet.*

## **12.2 Godtgjørelse til medlemmer av revisjonsutvalget**

I samsvar med valgkomiteens forslag fattet generalforsamlingen følgende vedtak:

*Medlemmer av Selskapets revisjonsutvalg skal motta følgende honorarer frem til den ordinære generalforsamlingen i 2026:*

*Revisjonsutvalgets leder skal motta USD 30 000 og øvrige medlemmer skal motta USD 20 000 for perioden.*

*For medlemmer som ikke har tjenestegjort gjennom hele perioden, skal godtgjørelsen justeres proratarisk basert på medlemmets tjenestetid.*

## **12 REMUNERATION TO MEMBERS OF GOVERNING BODIES**

## **12.1 Godtgjørelse til medlemmer av styret 12.1 Remuneration to the members of the board of directors**

In accordance with the nomination committee's proposal, the general meeting passed the following resolution:

*Members of the Company's board of directors shall receive the following until the annual general meeting in 2026:*

*The chair of the board shall receive USD 150,000 as annual remuneration and each of the other board members shall receive USD 100,000 as annual remuneration.* 

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

*Members of the Company's board of directors are requested to acquire shares in the Company through ordinary purchases in the market for at least NOK 250,000 per year. The request shall apply until the individual owns shares with a stock market value that at least corresponds to the individual's annual gross board fee, and for as long as the individual holds a board position in the Company. The request shall not apply to board members who, due to other engagements, are prevented from owning shares in the Company.*

## **12.2 Remuneration to the members of the audit committee**

In accordance with the nomination committee's proposal, the general meeting passed the following resolution:

*Members of the Company' auditors committee shall receive the following until the annual general meeting in 2026:*

*The chair of the audit committee shall receive USD 30,000 and other members shall receive USD 20,000 for the period.*

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

*Valgkomitéens leder skal motta NOK 75 000 og øvrige medlemmer skal motta NOK 45 000 for perioden.*

*For medlemmer som ikke har tjenestegjort gjennom hele perioden, skal godtgjørelsen justeres proratarisk basert på medlemmets tjenestetid.*

## **13 GODKJENNELSE AV RETNINGSLINJER FOR FASTSETTELSE AV LØNN OG ANNEN GODTGJØRELSE TIL LEDENDE ANSATTE OG STYREMEDLEMMER**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*De reviderte retningslinjene om fastsettelse av lønn og annen godtgjørelse til ledende ansatte og styret i Selskapet godkjennes.*

## **14 RÅDGIVENDE AVSTEMNING OVER GODTGJØRELSESRAPPORT**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Generalforsamlingen gir sin tilslutning til rapporten om lønn og annen godtgjørelse for ledende ansatte i Selskapet for 2024.*

## **12.3 Remuneration to the members of the nomination committee**

In accordance with the nomination committee's proposal, the general meeting passed the following resolution:

*Members of the Company's nomination committee shall receive the following remuneration until the annual general meeting in 2026:*

*The chair of the nomination committee shall receive NOK 75,000 and the other members shall receive NOK 45,000 for the period.*

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

## **13 APPROVAL OF THE BOARD OF DIRECTOR'S GUIDELINES FOR SALARY AND OTHER REMUNERATION TO SENIOR EXECUTIVES AND BOARD MEMBERS**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The revised guidelines regarding the determination of salary and other remuneration to the Company's senior executives and board members are approved.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

## **14 ADVISORY APPROVAL OF THE REMUNERATION REPORT**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The general meeting endorses the report on salary and other remuneration to the Company's senior executives for 2024.*

# **15 STYREFULLMAKT TIL Å FORHØYE AKSJEKAPITALEN VED UTSTEDELSE AV NYE AKSJER**

## **15.1 Generell fullmakt for å finansiere videre vekst og/eller styrke Selskapets finansielle stilling**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I henhold til allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital, i en eller flere omganger, med inntil NOK 61 569 662,50.*
- ii. *Aksjeeiernes fortrinnsrett til å tegne de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes.*
- *iii. Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger og/eller rett til å pådra Selskapet særlige plikter etter allmennaksjeloven § 10-2.*
- *iv. Fullmakten omfatter kapitalforhøyelse i forbindelse med fusjon etter allmennaksjeloven § 13-5.*
- *v. Fullmakten gjelder fra registrering i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026, men ikke lenger enn til 30. juni 2026.*
- *vi. Fra tidspunktet for registrering i Foretaksregisteret, erstatter denne fullmakten tidligere fullmakt på NOK 46 177 250 til utstedelse av nye aksjer for finansiering av videre vekst mv., som styret ble tildelt på Selskapets ekstraordinære generalforsamling den 26. juli 2024.*

**15 BOARD AUTHORISATION TO INCREASE THE SHARE CAPITAL BY ISSUANCE OF NEW SHARES**

# **15.1 General authorisation to finance future growth and/or strengthen the Company's financial position**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. Pursuant to Section 10-14 of the Norwegian Public Limited Liability Companies Act, the board of directors is granted an authorisation to increase the Company's share capital, in one or more rounds, by up to NOK 61,569,662.50.*
- ii. *The shareholders' preferential right to subscribe for the new shares pursuant to Section 10-4 of the Norwegian Public Limited Liability Companies Act may be deviated from.*
- *iii. The authorisation comprise share capital increases against contribution in kind and/or the right to incur specific obligations on behalf of the Company, cf. Section 10-2 of the Norwegian Public Limited Liability Companies Act.*
- *iv. The authorisation cover share capital increases in connection with mergers pursuant to Section 13-5 of the Norwegian Public Limited Liability Companies Act.*
- *v. The authorisation shall be effective from the date it is registered in the Norwegian Register of Business Enterprises and shall be valid until the Company's annual general meeting in 2026, but no longer than until 30 June 2026.*
- *vi. From the time of registration with the Norwegian Register of Business Enterprises, this authorisation replaces the previous authorisation to issue new shares to fund future growth etc., granted to the board of directors at the Company's extraordinary general meeting on 26 July 2024.*

## **15.2 Fullmakt til å utstede nye aksjer i forbindelse med Selskapets opsjonsprogram for ledende ansatt**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I samsvar med allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital, i en eller flere omganger, med inntil NOK 3 750 000.*
- ii. *Aksjeeiernes fortrinnsrett til de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes.*
- *iii. Fullmakten kan kun benyttes for å utstede aksjer i forbindelse med Selskapets opsjonsprogram.*
- *iv. Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger mv., jf. allmennaksjeloven § 10-2.*
- *v. Fullmakten omfatter ikke kapitalforhøyelse ved fusjon etter allmennaksjeloven § 13-5.*
- *vi. Fullmakten gjelder fra registrering i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026, men uansett ikke lenger enn til 30. juni 2026.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

## **16 STYREFULLMAKT TIL ERVERV AV EGNE AKSJER**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I samsvar med allmennaksjeloven § 9-4 gis styret fullmakt til å, på vegne av Selskapet, erverve egne aksjer med en samlet pålydende verdi på inntil NOK 61 569 662,50, som tilsvarer ca. 10 % av den nåværende aksjekapitalen.*
- ii. *Det maksimale beløpet som kan betales per aksje er NOK 150 og minimum er NOK 2,5.*

# **15.2 Authorisation to issue new shares in connection with the Company's option program for senior executives**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. In accordance with section 10-14 of the Norwegian Public Limited Companies Act, the board of directors is granted an authorisation to increase the Company's share capital by up to NOK 3,750,000.*
- ii. *The shareholders preferential right to the new shares pursuant to section 10-4 of the Norwegian Public Limited Companies Act may be deviated from.*
- *iii. The authorisation may only be used to issue shares in connection with the Company's option program.*
- *iv. The authorisation comprises share capital increase against non-cash contributions etc., cf. section 10-2 of the Norwegian Public Limited Companies Act.*
- *v. The authorisation does not comprise share capital increase in connection with mergers pursuant to section 13-5 of the Norwegian Public Limited Companies Act.*
- *vi. The authorisation is valid until the Company's annual general meeting in 2026, but no longer than 30 June 2026.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

## **16 BOARD AUTHORISATION TO ACQUIRE TREASURY SHARES**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. In accordance with Section 9-4 of the Norwegian Public Limited Liability Companies Act, the board of directors is granted authorisation to, on behalf of the Company, acquire own shares with a total nominal value of up to NOK 61,569,662.50, which is equivalent to approximately 10 % of the current share capital.*
- ii. *The maximum amount which can be paid for each share is NOK 150 and the minimum is NOK 2.5.*

- *iii. Erverv og avhendelse av egne aksjer kan skje slik styret finner det hensiktsmessig, men likevel ikke ved tegning av egne aksjer.*
- *iv. Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, men uansett ikke lenger enn til 30. juni 2026.*
- *v. Fra tidspunktet for registrering i Foretaksregisteret, erstatter denne fullmakten tidligere styrefullmakt til å erverve egne aksjer, som styret ble tildelt på Selskapets ordinære generalforsamling den 23. mai 2024.*

- *iii. Acquisition and sale of own shares may take place in any way the board of directors finds appropriate, however, not by subscription of own shares.*
- *iv. The authorisation is valid until the Company's annual general meeting in 2026, but no longer than 30 June 2026.*
- *v. From the time of registration with the Norwegian Register of Business Enterprises, this authorisation replaces the previous authorisation to acquire own shares, granted to the board of directors at the Company's annual general meeting on 23 May 2024.*
