Den 20. mai 2025 kl. 09.00 ble det avholdt ordinær generalforsamling i Vow ASA ("**Selskapet**"). Generalforsamlingen ble avholdt som et elektronisk møte via Lumi AGM uten fysisk oppmøte.

Generalforsamlingen ble åpnet av advokat Anders Arnkværn fra Advokatfirmaet Thommessen AS, som opprettet fortegnelse over møtende aksjeeiere og fullmakter. Fortegnelsen, inkludert antall aksjer og stemmer representert, er inntatt som Vedlegg 1 til denne protokollen.

I henhold til fortegnelsen var 81 394 595 av totalt 291 418 466 utstedte aksjer representert. Totalt utgjør dette 81 394 595 stemmer, tilsvarende 28,03 % av det totale antall stemmeberettigede aksjer i Selskapet.

#### **ANNUAL GENERAL MEETING**

On 20 May 2025 at 09:00 hours (CEST) the annual general meeting of Vow ASA (the "**Company**") was held. The general meeting was held as an electronic meeting through Lumi AGM without physical attendance.

The general meeting was opened by attorney Anders Arnkværn from Advokatfirmaet Thommessen AS, who recorded attendance of present shareholders and proxies. The record, including the number of shares and votes represented, is included as Appendix 1 to these minutes.

According to the record, 81,394,595 of a total of 291,418,466 issued shares were represented. In total, this amounts to 81,394,595 votes, corresponding to 28.03 % of the total number of shares with voting rights in the Company.

## **1 VALG AV MØTELEDER 1 ELECTION OF A CHAIRPERSON OF THE MEETING**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*Anders Arnkværn velges til møteleder. Anders Arnkværn is elected to chair the meeting.*

# **2 VALG AV EN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Thomas Fredrick Borgen velges til å undertegne protokollen sammen med møtelederen.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

# **3 GODKJENNING AV INNKALLING OG DAGSORDEN**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Innkalling og dagsorden sendt til samtlige aksjeeiere med kjent oppholdssted den 29. april 2025, godkjennes.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

## **4 GODKJENNING AV ÅRSREGNSKAPET OG ÅRSRAPPORTEN FOR 2024**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Selskapets selskapsregnskap for regnskapsåret 2024 og Selskapets årsrapport, herunder konsernregnskap og styrets beretning, for regnskapsåret 2024, godkjennes.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

# **2 ELECTION OF A PERSON TO CO-SIGN THE MINUTES**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*Thomas Fredrick Borgen is elected to sign the minutes together with the chairperson of the meeting.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

## **3 APPROVAL OF THE NOTICE AND AGENDA**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The notice and the agenda which were sent to all shareholders with a known address on 29 April 2025 are approved.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

# **4 APPROVAL OF THE ANNUAL ACCOUNTS AND THE ANNUAL REPORT FOR 2024**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The Company's annual accounts for the financial year 2024 and the Company's annual report, including the group's annual accounts and the board of directors' report, for the financial year 2024, are approved.*

# **5 GODKJENNING AV REVISORS HONORAR FOR 2024**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Generalforsamlingen godkjenner revisors honorar for 2024 etter regning.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

# **6 RÅDGIVENDE AVSTEMNING OVER VOWS LEDERLØNNSRAPPORT FOR 2024**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*Generalforsamlingen gir sin tilslutning til rapporten om lønn og annen godtgjørelse for ledende ansatte i Selskapet for 2024.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

# **7 GODKJENNELSE AV RETNINGSLINJER FOR FASTSETTELSE AV LØNN OG ANNEN GODTGJØRELSE TIL LEDENDE ANSATTE OG STYREMEDLEMMER**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*De reviderte retningslinjene om fastsettelse av lønn og annen godtgjørelse til ledende ansatte og styret i Selskapet godkjennes.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

# **5 APPROVAL OF THE AUDITOR'S FEE FOR 2024**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The general meeting approves the auditor's fees for 2024 as per the auditor's invoice.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

# **6 ADVISORY VOTE ON VOW'S EXECUTIVE REMUNERATION REPORT FOR 2024**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The general meeting endorses the report on salary and other remuneration to the Company's senior executives for 2024.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

# **7 APPROVAL OF GUIDELINES FOR SALARY AND OTHER REMUNERATION TO SENIOR EXECUTIVES AND BOARD MEMBERS**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

*The revised guidelines regarding the determination of salary and other remuneration to the Company's senior executives and board members are approved.*

## **8 STYRETS REDEGJØRELSE OM EIERSTYRING OG SELSKAPSLEDELSE**

I henhold til allmennaksjeloven § 5-6 (5) behandlet generalforsamlingen styrets redegjørelse for eierstyring og selskapsledelse, utarbeidet i tråd med regnskapsloven § 3-3b. Redegjørelsen er tatt inn i styrets årsberetning, som er tilgjengelig i årsrapporten for 2024, som er lastet opp på Selskapets hjemmeside[, www.vowasa.com.](http://www.vowasa.com/)

# **8 THE BOARD OF DIRECTORS' REPORT ON CORPORATE GOVERNANCE**

Pursuant to Section 5-6 (5) of the Norwegian Public Limited Liability Companies Act, the annual general meeting considered the board of directors' report on corporate governance which has been prepared in accordance with Section 3-3b of the Norwegian Accounting Act. The report has been included in the board of directors' report, which is available in the 2024 annual report uploaded to the Company's website [www.vowasa.com.](http://www.vowasa.com/)

## **10.2 Godtgjørelse til medlemmer av revisjonsutvalget**

I samsvar med valgkomiteens anbefaling og styrets forslag, fattet generalforsamlingen følgende vedtak:

*Medlemmer av Selskapets revisjonsutvalg skal motta følgende årlig honorarer:*

*Revisjonsutvalgets leder skal motta NOK 100 000 og øvrige medlemmer skal motta NOK 75 000 for perioden.*

*For medlemmer som ikke har tjenestegjort gjennom hele perioden, skal godtgjørelsen justeres proratarisk basert på medlemmets tjenestetid.*

# **10.3 Godtgjørelse til medlemmer av godtgjørelsesutvalget**

I samsvar med valgkomiteens anbefaling og styrets forslag, fattet generalforsamlingen følgende vedtak:

*Members of the Company's board of directors shall receive the following annual remuneration:*

*The chair of the board shall receive NOK 600,000 as annual remuneration and each of the other board members shall receive NOK 400,000 as annual remuneration.*

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to these minutes.

## **10.2 Remuneration to the members of the audit committee**

In accordance with the nomination committee's recommendation and the board of directors' proposal, the general meeting passed the following resolution:

*Members of the Company's audit committee shall receive the following annual remuneration:*

*The chair of the audit committee shall receive NOK 100,000 and the other members shall receive NOK 75,000 for the period.*

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

# **10.3 Remuneration to the members of the remuneration committee**

In accordance with the nomination committee's recommendation and the board of directors'

*Medlemmer av Selskapets valgkomité skal motta følgende årlig honorarer:*

*Valgkomitéens leder skal motta NOK 50 000 og øvrige medlemmer skal motta NOK 40 000 for perioden.*

*For medlemmer som ikke har tjenestegjort gjennom hele perioden, skal godtgjørelsen justeres proratarisk basert på medlemmets tjenestetid.*

## **10.4 Remuneration to the members of the nomination committee**

*Members of the Company's nomination committee shall receive the following annual remuneration:*

*The chair of the nomination committee shall receive NOK 50,000 and the other members shall receive NOK 40,000 for the period.*

*For members not having served through the entire period, the remuneration shall be adjusted pro rata based on the member's term of service.*

- **11 STYREFULLMAKTER TIL Å FORHØYE AKSJEKAPITALEN VED UTSTEDELSE AV NYE AKSJER**
- **11.1 Generell fullmakt for å finansiere videre vekst og/eller styrke Selskapets finansielle stilling**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I henhold til allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital, i en eller flere omganger, med inntil NOK 5 449 525.*
- *ii. Aksjeeiernes fortrinnsrett til å tegne de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes.*
- *iii. Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger og/eller rett til å pådra Selskapet særlige plikter etter allmennaksjeloven § 10-2.*
- *iv. Fullmakten omfatter kapitalforhøyelse i forbindelse med fusjon etter allmennaksjeloven § 13-5.*
- *v. Fullmakten gjelder fra registrering i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026, men ikke lenger enn til 30. juni 2026.*

**11 BOARD AUTHORISATIONS TO INCREASE THE SHARE CAPITAL BY ISSUANCE OF NEW SHARES**

**11.1 General authorisation to finance future growth and/or strengthen the Company's financial position**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. Pursuant to Section 10-14 of the Norwegian Public Limited Liability Companies Act, the board of directors is granted an authorisation to increase the Company's share capital, in one or more rounds, by up to NOK 5,449,525.*
- *ii. The shareholders' preferential right to subscribe for the new shares pursuant to Section 10-4 of the Norwegian Public Limited Liability Companies Act may be deviated from.*
- *iii. The authorisation comprises share capital increases against contribution in kind and/or the right to incur specific obligations on behalf of the Company, cf. Section 10-2 of the Norwegian Public Limited Liability Companies Act.*
- *iv. The authorisation covers share capital increases in connection with mergers pursuant to Section 13-5 of the Norwegian Public Limited Liability Companies Act.*
- *v. The authorisation shall be effective from the date it is registered in the Norwegian Register of Business Enterprises and shall be valid until the Company's annual general meeting in 2026, but no longer than until 30 June 2026.*

**11.2 Fullmakt til å utstede nye aksjer forbindelse med Selskapets incentivprogrammer**

I samsvar med styrets forslag og møteleders redegjørelse om et tillegg til vedtaket i form av nytt punkt vi. fattet generalforsamlingen følgende vedtak:

- *i. I samsvar med allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital, i en eller flere omganger, med inntil NOK 544 953.*
- *ii. Aksjeeiernes fortrinnsrett til de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes.*
- *iii. Fullmakten kan kun benyttes for å utstede aksjer i forbindelse med Selskapets incentivprogram.*
- *iv. Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger mv., jf. allmennaksjeloven § 10-2.*
- *v. Fullmakten omfatter ikke kapitalforhøyelse ved fusjon etter allmennaksjeloven § 13-5.*
- *vi. Fullmakten gjelder fra registrering i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026, men ikke lenger enn til 30. juni 2026.*

**11.2 Authorisation to issue new shares in connection with the Company's incentive schemes**

In accordance with the board of directors' proposal and the information from the chairperson of the meeting regarding an amendment in the form of new item vi., the general meeting passed the following resolution:

- *i. In accordance with section 10-14 of the Norwegian Public Limited Companies Act, the board of directors is granted an authorisation to increase the Company's share capital by up to NOK 544,953.*
- *ii. The shareholders preferential right to the new shares pursuant to section 10-4 of the Norwegian Public Limited Companies Act may be deviated from.*
- *iii. The authorisation may only be used to issue shares in connection with the Company's incentive scheme.*
- *iv. The authorisation comprises share capital increase against non-cash contributions etc., cf. section 10-2 of the Norwegian Public Limited Companies Act.*
- *v. The authorisation does not comprise share capital increase in connection with mergers pursuant to section 13-5 of the Norwegian Public Limited Companies Act.*
- *vi. The authorisation shall be effective from the date it is registered in the Norwegian Register of Business Enterprises and shall be valid until the Company's annual general meeting in 2026, but no longer than until 30 June 2026.*

# **12 STYREFULLMAKT TIL ERVERV AV EGNE AKSJER**

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

- *i. I samsvar med allmennaksjeloven § 9-4 gis styret fullmakt til å, på vegne av Selskapet, erverve egne aksjer med en samlet pålydende verdi på inntil NOK 1 362 381, som tilsvarer ca. 5% av den nåværende aksjekapitalen.*
- *ii. Det maksimale beløpet som kan betales per aksje er NOK 15 og minimum er NOK 0,0935.*
- *iii. Erverv og avhendelse av egne aksjer kan skje slik styret finner det hensiktsmessig, men likevel ikke ved tegning av egne aksjer.*
- *iv. Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, men uansett ikke lenger enn til 30. juni 2026.*

**12 BOARD AUTHORISATION TO ACQUIRE TREASURY SHARES**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *i. In accordance with Section 9-4 of the Norwegian Public Limited Liability Companies Act, the board of directors is granted authorisation to, on behalf of the Company, acquire own shares with a total nominal value of up to NOK 1,362,381, which is equivalent to approximately 5% of the current share capital.*
- *ii. The maximum amount which can be paid for each share is NOK 15 and the minimum is NOK 0.0935.*
- *iii. Acquisition and sale of own shares may take place in any way the board of directors finds appropriate, however, not by subscription of own shares.*
- *iv. The authorisation is valid until the Company's annual general meeting in 2026, but no longer than 30 June 2026.*
