# **DBA GROUP CEDE IL 70% DEL CAPITALE SOCIALE DI ACTUAL IT D.D. A TELELINK BUSINESS SERVICES GROUP AD, PER RIFOCALIZZARSI SUL MERCATO DEI SERVIZI DI INGEGNERIA, PROJECT MANAGEMENT E ICT A SUPPORTO DELLA GESTIONE DEL CICLO DI VITA DELLE OPERE E DELLE INFRASTRUTTURE.**

VILLORBA (Treviso), 19 maggio 2025 – Il Consiglio di amministrazione di DBA Group S.p.A., società italiana specializzata nell'erogazione di servizi di Consulenza, Architettura, Ingegneria, Project Management e soluzioni ICT per la gestione del ciclo di vita di opere e infrastrutture mission-critical, ha deliberato di approvare l'operazione di cessione del 70% del capitale sociale detenuto, direttamente ed indirettamente, in Actual IT d.d. alla società Telelink Business Services Group AD, con sede a Sofia, Bulgaria, ("l'Operazione"), le Parti hanno raggiunto un accordo sui termini e le condizioni contrattuali sostanziali, le formalità relative alla sottoscrizione del contratto preliminare di vendita e acquisto saranno espletate, ai sensi e per gli effetti del diritto sloveno, entro il mese di maggio 2025 presso il Notaio Sloveno incaricato per tali adempimenti.

Tra il 2015 ed il 2024 DBA Group S.p.A., anche tramite la controllata DBA d.o.o., ha acquistato progressivamente la totalità delle quote del Gruppo Actual per un importo complessivo nell'arco temporale pari a circa Euro 10,8 milioni (valori di carico 2024).

Al momento del primo investimento nel 2015, il valore della produzione di Actual IT d.d. era pari a circa Euro 10,0 milioni con un organico di circa 80 figure altamente specializzate nel mercato ICT mentre nell'esercizio

2024, Il Gruppo Actual IT d.d. conta circa un organico aumentato a 340 figure, specializzate ad ampio spettro sui servizi ICT per le infrastrutture, con un valore della produzione consolidato pari a circa Euro 42 milioni.

L'evoluzione del Gruppo Actual nel tempo è stata ottenuta mediante una combinazione di crescita organica e acquisizioni di cui Unistar LC d.o.o., avvenuta nel 2019, è stata l'ultima tappa significativa per il completamento degli obiettivi industriali e di ritorno sull'investimento prefissati dal management di DBA Group.

### **L'Operazione:**

La cessione a Telelink Business Services Group AD, avrà, inizialmente, ad oggetto il 70% della partecipazione del capitale della Società - e, indirettamente, quella delle sue società controllate, – e, in particolare, (i) di n. 684.720 azioni ordinarie detenute da DBA Group S.p.A. rappresentanti il 33,56% del capitale della Società; e (ii) di n. 743.473 detenute da DBA d.o.o., rappresentanti il 36,44% del capitale della Società.

Il prezzo di cessione del 70% del capitale della Società è stato pattuito fra le parti sulla base di un Enterprise Value pari a complessivi Euro 15,75 milioni (Enterprise Value dell'intero capitale sociale pari a Euro 22,5 milioni) da rettificare in base ai valori della PFN e del Capitale Circolante stimati (il "Prezzo").

Il Prezzo sarà, inoltre, soggetto ad un aggiustamento da effettuarsi successivamente al Closing sulla base dei dati effettivi della PFN e del Capitale Circolante alla data del Closing.

Sulla base dei valori chiusi al 31 dicembre 2024, l'Equity Value dell'operazione risulta pari a circa Euro 9 milioni (sempre con riferimento al 70% del capitale della Società).

Gli accordi prevedono, altresì, alcune pattuizioni relative alla governance e alla circolazione della partecipazione residua pari al 30%, che sarà detenuta dal Gruppo DBA. In particolare, prevedono la concessione reciproca di opzioni Put and Call esercitabili decorsi 3 (tre) anni dalla data del Closing.

### **Le condizioni sospensive:**

Il perfezionamento dell'Operazione è subordinato al soddisfacimento prima del Closing di alcune condizioni sospensive, tra cui, in particolare, l'ottenimento delle necessarie autorizzazioni da parte delle competenti Autorità Antitrust.

Il perfezionamento della compravendita, fatta salva la necessità di attendere il soddisfacimento delle condizioni sospensive previste nel contratto preliminare, la cui sottoscrizione è prevista nella data odierna, presumibilmente avverrà entro la fine dell'esercizio in corso.

### **Effetti della Transazione nel perimetro del Gruppo DBA:**

L'esercizio 2024 ha chiuso con un valore della produzione pari a Euro 115,8 milioni di cui Euro 42,3 milioni relativi al perimetro oggetto della transazione ed Euro 73,5 milioni relativi al perimetro rimanente, L'EBITDA adjusted positivo pari a Euro 12,5 milioni di cui Euro 2,5 milioni relativi al perimetro della transazione ed Euro 10 milioni relativi al perimetro rimanente.

La posizione finanziaria netta (debito) 2024 risulta pari ad Euro 9,2 milioni di cui Euro 6,5 milioni relativa al perimetro dell'Operazione ed Euro 2,7 milioni relativa al perimetro rimanente.

Il totale attivo risulta pari ad Euro 81,1 milioni di cui Euro 31,1 milioni relativo al perimetro dell'operazione ed Euro 50 milioni relativo al perimetro rimanente.

La posizione finanziaria netta stimata al 2024, considerando gli effetti della cessione, risulta positiva e pari ad Euro 5,2 milioni per effetto di: i) Euro 6,5 milioni di deconsolidamento linee di credito Gruppo Actual e di ii) Euro 8 milioni di incasso per cessione quote al netto di costi stimati dell'Operazione.

Sulla base delle stime al 2024, la plusvalenza generata per alienazione del 70% delle partecipazioni sarebbe pari ad Euro 1,6 milioni con un effetto economico, al netto dei costi stimati dell'Operazione, pari ad Euro 0,3 milioni.

### **Effetti della Transazione nel perimetro rimanente del Budget 2025:**

Alla luce e sulla base del successo dell'Operazione dovuto alle condizioni sospensive sopra descritte, i dati finanziari per l'esercizio 2025 potrebbero subire una variazione legata al futuro assetto societario ed operativo del Gruppo, che potrebbero rendere non più attuali le informazioni previsionali comunicate al mercato riflettendosi, nel caso, in un nuovo Budget 2025 e nel nuovo Piano Industriale, che la società redigerà nei prossimi mesi.

# **DBA GROUP SELLS 70% OF ACTUAL IT D.D. TO TELELINK BUSINESS SERVICES GROUP AD TO REFOCUS ON ENGINEERING, PROJECT MANAGEMENT, AND ICT SERVICES FOR INFRASTRUCTURE LIFECYCLE MANAGEMENT**

VILLORBA (Treviso), 19 May 2025 – The Board of Directors of DBA Group S.p.A., a company listed on the Euronext Growth Milan market of Borsa Italiana and one of the leading players in Italy in technical consulting, engineering, project management, and ICT solutions for the lifecycle management of critical infrastructure, has approved the sale of a 70% equity stake in Actual IT d.d., held both directly and indirectly, to Telelink Business Services Group AD, headquartered in Sofia, Bulgaria (the "Deal"). The Parties have reached an agreement on the substantial contractual terms and conditions; the finalization of certain schedules, as well as the formalities relating to the signing of the preliminary sale and purchase agreement in accordance with and for the purposes of Slovenian law, will be completed by the end of May 2025 at the Slovenian Notary appointed for such formalities.

Between 2015 and 2024, DBA Group S.p.A., through its subsidiary DBA d.o.o., progressively acquired 100% of Actual IT d.d. for approximately €10.8 million (2024 book values). At the time of the initial investment in 2015, Actual IT had a production value of about €10 million and a workforce of 80 highly specialized ICT professionals. By 2024, the group had grown to 340 ICT specialists with a consolidated production value of approximately €42 million.

The evolution of the Actual Group over time has been achieved through a combination of organic growth and acquisitions, the most recent of which Unistar LC d.o.o. in 2019 marked the final significant step in fulfilling the industrial objectives and return-on-investment targets set by DBA Group's management.

The sale to Telelink Business Services Group AD will initially involve 70% of the Company's share capital and, indirectly, the shareholdings in its subsidiaries. Specifically, this includes 684,720 ordinary shares held by DBA Group S.p.A., representing 33.56% of the Company's capital, and 743,473 ordinary shares held by DBA d.o.o., representing a further 36.44%.

The sale price for the 70% stake has been agreed between the parties based on an Enterprise Value of €15.75 million, corresponding to a total Enterprise Value of €22.5 million for 100% of the Company. The cash consideration due at closing will be established by adjusting this amount for the Net Financial Position of the Company and any deviation from the agreed standard Working Capital requirement of its business as of the end of the latest month prior to closing.

Following completion, the final price will be established on the basis of the actual Net Financial Position and deviation from the agreed standard Working Capital requirement, if any, as of the closing date and the difference, if any, from the consideration paid at closing – settled accordingly. Based on the latest available preliminary figures as of 31 December 2024, the Equity Value of the deal, in reference to the 70% stake and the price calculation method above, would be about €9 million.

The agreements also include certain provisions related to the governance of the Company and its subsidiaries, as well as to the potential transfer of the remaining 30% stake, which will continue to be held by DBA Group through its subsidiary DBA d.o.o., Slovenia. In particular, the parties have granted each other reciprocal put and call options, which may be exercised after a period of three years from the closing date under the pricing terms agreed in the Shareholders Agreement.

### **The conditions precedent**

The completion of the transaction is subject to the fulfillment of certain conditions precedent prior to closing, including, among others, the receipt of the necessary approvals from the competent Antitrust Authorities.

Subject to the satisfaction of all conditions precedent, which are outlined in the Share Purchase Agreement, the closing of the sale is anticipated to take place by the end of the current financial year.

### **Effects of the Deal within the perimeter of the DBA Group**

For the fiscal year 2024, DBA Group recorded a total production value of €115.8 million, of which €42.3 million related to the scope of the deal and €73.5 million to the remaining operations of the Group. The adjusted EBITDA amounted to €12.5 million, with €2.5 million attributable to the perimeter subject to the sale and €10.0 million generated by the remaining scope. The Group's Net Financial Position (NFP) as of 2024 stood at a negative €9.2 million, of which €6.5 million was linked to the divested perimeter and €2.7 million to the remaining operations. The total assets amounted to €81.1 million, broken down as follows: €31.1 million related to the divested business unit and €50.0 million to the residual scope of the Group.

Following the sale, the Net Financial Position is expected to turn positive, reaching approximately €5.2 million, mainly due to the deconsolidation of €6.5 million in financial debt related to the Actual IT Group and the collection of net proceeds totaling about €8 million, after estimated deal costs.

Based on the 2024 estimates, the sale of the 70% stake will generate a capital gain of approximately €1.6 million, with a net positive economic impact of €0.3 million after accounting for related costs.

### **Effects of the Deal in the Remaining Scope of the 2025 Budget**

Given the Deal and pending fulfillment of closing conditions, the financial targets and structure communicated in the current 2025 budget may be revised. DBA Group will update the market with a new 2025 Budget and Industrial Plan in the coming months.
