Digital Bros Group's CFO, Stefano Salbe, appointed to Starbreeze AB Board of Directors

The Swedish company Starbreeze AB will be consolidated based on the equity method effective May 15th, 2025

Milan, May 16th, 2025 - Digital Bros Group (DIB:MI), videogames company listed on the Euronext STAR Milan (ISIN: IT0001469995) and part of the FTSE Italia Small Cap index, announces that it considers to have acquired significant influence over the Swedish listed company Starbreeze AB, in accordance with IAS 28, effective May 15th, 2025. This follows the appointment of the Group's Chief Financial Officer, Stefano Salbe, to the Board of Directors of Starbreeze AB, in which the Group holds 19.11% of the share capital and 37.65% of the voting rights.

The Group submitted an alternative list of candidates for the company's Board of Directors, differing from the initial proposal presented by the Nomination Committee ahead of the Annual General Meeting (AGM) of Starbreeze AB, convened for May 15th, 2025.

Following the AGM's approval of the Group's list, and with the election of Digital Bros Group's CFO to Starbreeze's Board of Directors, the Group considers that it has acquired significant influence over the Swedish company from that date. This assessment is based primarily in:

• the representation on the board of directors or equivalent governing body of the investee;
• the participation in policy-making processes, including participation in decisions about dividends or other distributions.

In accordance with IAS28, the investment in Starbreeze AB will be consolidated using the equity method already in the draft financial statements as of June 30th, 2025.
