# **RECOMMENDATIONS BY THE NOMINATION COMMITTEE OF SAGA PURE ASA**

## **TO**

## **THE ANNUAL GENERAL MEETING TO BE HELD ON 26 MAY 2025**

The Nomination Committee of Saga Pure ASA (the "Company") currently consists of the following members:

- Lars Christian Stugaard (Chair)
- Geir Johansen

All of the members of the Nomination Committee were elected at the Company's annual general meeting held on 29 May 2024.

Pursuant to the Company's articles of association, the general meeting of the Company has established a Nomination Committee, consisting of two to three members. The general meeting of the Company has also approved Instructions for the Nomination Committee, and such instructions are available at the website of the Company, www.sagapure.com.

The responsibilities of the Nomination Committee are to recommend candidates to the Board of Directors, including the Chairman of the Board of Directors, and to recommend candidates for the Nomination Committee, as well as recommend remuneration for members of the Board and the Nomination Committee.

These recommendations include proposals for election of members to the Board of Directors and the Nomination Committee, as well as remuneration for the respective members. The members of the Nomination Committee are standing for election at this year's annual general meeting.

## **BACKGROUND FOR CHANGES TO THE BOARD OF DIRECTORS**

The current Chairman of the Board, Martin Nes, and Board Member Øystein Stray Spetalen have informed the Nomination Committee of their wish to resign from the Board. As a result, the Nomination Committee proposes the election of a new Chairman and one new Board Member.

### **1. ELECTION OF MEMBERS TO THE BOARD OF DIRECTORS**

The Nomination Committee proposes that the following Board members are elected for the period from the AGM 2025 to the AGM 2027:

• Henrik A. Christensen – Chairman (new), with an election period up to the annual general meeting in 2027

• Espen Landmark Fjermestad (new), with an election period up to the annual general meeting in 2027

Following these changes, the Board of Directors will consist of Henrik A. Christensen, Espen Landmark Fjermestad, and Kristin Hellebust.

#### **SHORT CV for Henrik A. Christensen**

Mr. Christensen has broad operational experience as former Chairman of Uthalden Maritime Management AS, Sandvold Gruppen AS, AS Naturbetong, Nordic Technology Group AS and Settle AS, as well as senior positions in Eldorado Drilling AS, Stangeskovene AS and Fearnley Advisors AS.

- Attorney at law, Ro Sommernes Advokatfirma DA (1989–1993)
- Partner, Wiersholm (1994–2004)
- Partner, Ro Sommernes Advokatfirma DA (1993–1994 and 2004 to date)

Mr. Christensen graduated from the University of Oslo in 1989 with a Master of Laws.

#### **SHORT CV for Espen Landmark Fjermestad**

Espen Landmark Fjermestad serves as Head of Investments in SD Standard ETC. He came from the position as Head of Research at Fearnley Securities before joining SD Standard ETC. Fjermestad has previously held positions at Storebrand Asset Management and holds a Master of Science from Copenhagen Business School.

#### **2. ELECTION OF NOMINATION COMMITTEE MEMBERS**

The Nomination Committee proposes that the following members are elected for the period from the AGM 2025 to the AGM 2027:

- Eldar Paulsrud, Chair of the Committee
- Espen Western

### **3. REMUNERATION**

For the period commencing on the annual general meeting in 2025 and until the annual general meeting in 2026, the Nomination Committee proposes that the remuneration to the members of the Board of Directors shall be in accordance with the following:

- Chairman: NOK 250,000
- Directors: NOK 200,000

This proposal is in line with the current remuneration of the Board of Directors and is

comparable to that of other listed companies in Norway. It represents a competitive level of remuneration, corresponding to responsibilities, competence requirements, and workload.

For the same period described above, the Nomination Committee proposes that the members of the Nomination Committee are remunerated as follows:

• Chairman: NOK 20,000

• Member: NOK 15,000
