# FIERA MILANO: IL CONSIGLIO DI AMMINISTRAZIONE APPROVA I RISULTATI CONSOLIDATI AL 31 MARZO 2025

## **CRESCITA DELLE PERFORMANCE IN TUTTE LE LINEE DI BUSINESS, NONOSTANTE LA STAGIONALITÀ CICLICA DEL TRIMESTRE TIPICA DEGLI ANNI DISPARI**

- **Ricavi** pari a 63,7 milioni di euro, rispetto ai 72,4 milioni del primo trimestre 2024 e superiori ai 48,1 milioni dello stesso periodo del 2023, ultimo anno comparabile per stagionalità di calendario.
- **EBITDA** pari a 12,1 milioni di euro, rispetto ai 25,7 milioni del primo trimestre 2024 e superiori agli 8,9 milioni dello stesso periodo del 2023, ultimo anno comparabile per stagionalità di calendario.
- **Risultato netto** delle attività in continuità pari a (3,2) milioni di euro, rispetto ai 7,6 milioni del primo trimestre 2024 e superiore agli (8,1) milioni dello stesso periodo del 2023, ultimo anno comparabile per stagionalità di calendario.

### **FIERA MILANO INTEGRA LA FINANZA SOSTENIBILE NELLA PROPRIA STRATEGIA SOTTOSCRIVENDO DUE SUSTAINABILITY-LINKED LOANS PER UN VALORE COMPLESSIVO DI 20 MILIONI DI EURO**

**Milano, 13 maggio 2025** – Il Consiglio di Amministrazione di Fiera Milano S.p.A. ("**Fiera Milano**" e/o la "**Società**"), leader in Italia e uno dei principali operatori integrati del mondo nel settore fieristico e congressuale, ha approvato in data odierna i risultati consolidati al 31 marzo 2025.

**L'Amministratore Delegato e Direttore Generale di Fiera Milano, Francesco Conci, ha commentato:** *"Tutte le principali linee di business di Fiera Milano hanno registrato segnali di miglioramento nel primo trimestre 2025: le manifestazioni organizzate e ospitate crescono entrambe del 4%, i servizi del 7% e l'attività congressuale mette a segno un incremento del 27%. Sono risultati che confermano la solidità del nostro modello e il dinamismo delle nostre attività, in un trimestre che, pur in assenza di alcune grandi manifestazioni biennali che avevano caratterizzato lo stesso periodo del 2024, segna un'evoluzione positiva delle linee di business. Un confronto che risente della naturale ciclicità del nostro calendario fieristico, ma che non incide sulla traiettoria di crescita del Gruppo né sulla qualità delle performance operative espresse nel periodo. Guardando ai prossimi mesi, il 2025 si conferma un anno di forte sviluppo: il calendario fieristico è particolarmente ricco grazie al ritorno di eventi di riferimento come Host, Sicurezza, Made Expo e Ipack Ima, e si amplia con nuove manifestazioni internazionali come Host Arabia e Net Zero Milan. L'offerta si amplia anche sul fronte degli eventi ospitati, con il ritorno di Gastech e l'inedita anteprima estiva di Artigiano in Fiera. Senza dimenticare Tuttofood, Lamiera e Made in Steel che si sono tenuti nei giorni scorsi e hanno avuto grande successo. *scorso anno, potendo far leva, fra gli altri, sugli accordi legati ai Giochi Olimpici di Milano-Cortina 2026. Parallelamente, prosegue il percorso di sviluppo dei servizi e della nuova linea di business entertainment; quest'ultima in particolare potrà contare su una più estesa stagione di eventi all'aperto a conferma dell'impegno del Gruppo nell'ampliare e diversificare la propria offerta. Continua inoltre il nostro percorso di crescita e diversificazione: l'acquisizione del 51% di Expotrans ci consente di rafforzare la nostra offerta logistica e migliorare l'integrazione dei servizi, in coerenza con le direttrici del Piano Strategico 2024–2027. Questo approccio, sempre più orientato all'efficienza e alla sostenibilità, trova conferma anche nella recente sottoscrizione di due sustainability-linked loans, che esprimono il nostro impegno concreto in ambito ESG e sottolineano ulteriormente la nostra responsabilità verso un futuro più sostenibile. Alla luce di queste premesse, confermiamo con determinazione l'Ebitda tra 110 e 120 milioni di euro per l'intero esercizio, come previsto dalla guidance".*

# **RISULTATI AL 31 MARZO 2025**

Nei primi tre mesi del 2025 i **Ricavi Consolidati** ammontano a 63,7 milioni di euro, in diminuzione di (8,7) milioni di euro rispetto ai primi tre mesi del 2024. Nel periodo si sono svolte 16 manifestazioni fieristiche (14 in Italia e 2 all'estero, 8 direttamente organizzate e 8 ospitate), 32 eventi congressuali (di cui 5 con annessa area espositiva) per un totale di 311.273 metri quadrati totali occupati.

La **variazione dei Ricavi Consolidati** è principalmente attribuibile al diverso calendario fieristico, in particolare all'assenza della manifestazione biennale Mostra Convegno Expocomfort, ospitata negli anni pari. Tale effetto è stato parzialmente compensato dalla buona performance delle manifestazioni annuali e dell'attività congressuale, nonché dalla maggiore penetrazione dei servizi erogati.

I Ricavi del settore operativo **Attività Fieristiche Italia** nei primi tre mesi dell'anno si attestano a 52,8 milioni di euro e presentano un decremento di (11,9) milioni di euro rispetto al primo trimestre 2024. Tale variazione è principalmente attribuibile all'effetto di un calendario fieristico meno favorevole, come già evidenziato nell'analisi dei Ricavi Consolidati. Tale effetto è stato parzialmente compensato sia dalla buona performance generale delle manifestazioni annuali, sia per la maggiore penetrazione dei servizi erogati.

Nei primi tre mesi dell'anno si sono svolte in Italia 14 manifestazioni fieristiche. A gennaio, Fiera Milano ha organizzato la seconda edizione di **Milano Home**, manifestazione fieristica a cadenza annuale dedicata al mondo dell'abitare e all'home décor, con oltre 600 brand che hanno scelto di esporre in questa edizione, il 34% dei quali proviene dall'estero. In contemporanea, si è svolta anche **Quick&More - Home Supplies Exhibition**, l'evento fieristico dedicato alla distribuzione di articoli casa, decorazioni per le festività ed oggettistica rivolto ai rivenditori. Sempre negli stessi giorni ha avuto luogo anche **PTE – Promotion Trade Exhibition**, manifestazione dedicata al mondo dell'oggetto pubblicitario che ha presentato un'offerta di 133 aziende (30% estere). Il totale dei professionisti presenti nel quartiere, durante i tre eventi in contemporanea, ha superato i 32.000 visitatori, di cui l'8% internazionali, provenienti da oltre 50 paesi.

Il mese di febbraio ha visto il ritorno delle manifestazioni dedicate al settore moda. **Milano Unica**, ha fatto registrare il record assoluto di espositori (più di 700), e una complessiva partecipazione di 6.500 aziende visitatrici (+10% rispetto ai numeri del 2024). **MIDO**, la fiera internazionale dell'occhialeria, che ha occupato 7 padiglioni e contato quasi 1.200 espositori (di cui 930 stranieri). La mostra ha registrato oltre 42.000 presenze, da 168 paesi. Mentre tutte

le mostre relative al comparto dell'accessorio moda, **Milano Fashion&Jewels** (accessori, gioielli e bijoux), **MICAM Milano** (calzature), **Mipel** (pelletteria) e **TheOneMilano**, salone internazionale dell'outerwear e dell'haute-à-porter, hanno fatto registrare 40.449 visitatori professionali totali per il 45% stranieri, provenienti da 127 Paesi. Inoltre, Fiera Milano ha ospitato **Lineapelle**, la mostra internazionale di pelli, accessori, componenti, tessuti, sintetici e modelli, che ha visto la presenza di 24.977 operatori professionali - tra cui 18.833 buyer in crescita del 7% sull'edizione di settembre 2024 – insieme a oltre 1.100 espositori. Durante il mese di febbraio, Fiera Milano ha organizzato **BIT - Borsa Internazionale del Turismo**. La manifestazione, per la prima volta nei padiglioni del quartiere di Fiera Milano (a Rho) ha visto la presenza di quasi 1.000 espositori provenienti da 64 Paesi. Infine, **MyPlant & Garden** e **Filo**. La prima, appuntamento internazionale dell'orto-florovivaismo, giunto alla nona edizione, ha registrato nuovi record, superando i 700 espositori e sfiorando le 27.000 presenze. **Filo**, in scena negli spazi di Allianz MiCo, è invece l'unica rassegna internazionale dedicata all'eccellenza dei filati e delle fibre.

Nel mese di marzo, Fiera Milano si è resa protagonista nell'organizzazione (con il partner Next Group, ideatore dell'evento e Padel Trend, coorganizzatore) della prima edizione di **Racquet Trend Expo**, per la prima volta negli spazi espositivi di Fiera Milano a Rho, dal 7 al 9 marzo 2025, il primo grande evento internazionale dedicato a tutti gli sport di racchetta: tennis, padel, pickleball, beach tennis e tennistavolo. Fiera Milano rafforza così il suo ruolo nei grandi eventi live e con più di 100 espositori, Racquet Trend Expo è stato il primo evento sportivo b2c organizzato da Fiera Milano. Nello stesso mese si è tenuta la ventunesima edizione di **Fa' la cosa giusta!** la manifestazione dedicata al consumo critico e agli stili di vita sostenibili. Grazie anche al sostegno di Fiera Milano, la manifestazione ha accolto 52.200 visitatori e quasi 500 espositori presenti.

Sul panorama internazionale, nel primo trimestre del 2025 i ricavi del settore operativo **Attività Fieristiche Estero** si attestano a 2,2 milioni di euro, in crescita rispetto ai 0,9 milioni di euro registrati nello stesso periodo del 2024. L'incremento è principalmente riconducibile alla presenza nel periodo della seconda edizione di **Fruit Attraction São Paulo**, svoltasi a marzo e organizzata dalla società controllata brasiliana. L'evento, che nel 2024 si era tenuto ad ottobre, si è già affermato come piattaforma di riferimento per l'industria ortofrutticola, con la partecipazione di 400 brand brasiliani e internazionali. A febbraio, Fiera Milano ha inoltre organizzato, tramite la società controllata sudafricana Fiera Milano Exhibitions Africa, la dodicesima edizione di **Investec Cape Town Art Fair (ICTAF)**, la più importante fiera di arte contemporanea in Africa, che ha ospitato oltre 115 espositori e più di 500 artisti.

Molto positivi i risultati per il settore operativo **Congressi**, con i suoi 32 eventi congressuali realizzati nei primi tre mesi dell'anno (di cui 5 relativi a convegni con annessa area espositiva). I Ricavi nel primo trimestre del 2025 per questa divisione si sono attestati a 10,5 milioni di euro, rispetto ai 9,3 milioni di euro nel primo trimestre 2024. La variazione in aumento di 1,2 milioni di euro è riconducibile principalmente all'incremento dei Ricavi per gli eventi presenti anche nell'analogo periodo dell'esercizio precedente, tra cui le **Convention Zurich e Allianz** oltre che ai maggiori Ricavi relativi agli eventi non ricorrenti rispetto al primo trimestre 2024. Tra i principali eventi si segnala **BIO-Europe Spring,** evento che ha l'obiettivo di connettere i principali centri di innovazione europei con l'industria globale delle scienze della vita e **Intergraf.**

**L'EBITDA consolidato** del trimestre si attesta a 12,1 milioni di euro, in diminuzione di 13,7 milioni di euro rispetto ai 25,7 milioni registrati nello stesso periodo dell'esercizio precedente. La variazione, principalmente attribuibile al già citato effetto calendario, riflette inoltre, l'acquisizione dei diritti connessi alla sponsorizzazione dei XXV Giochi Olimpici Invernali Milano Cortina 2026, gli oneri derivanti dall'introduzione del Piano di Azionariato Diffuso, la presenza di costi di set up di natura non ricorrente legati alla nuova configurazione del quartiere congressuale nonché l'effetto calendario relativo alla joint venture detenuta in controllo congiunto con il partner Deutsche MESSE AG.

L'**EBIT** del trimestre ammonta a (0,4) milioni di euro rispetto a 12,8 milioni di euro del primo trimestre 2024. La variazione in diminuzione di (13,2) milioni di euro riflette l'andamento dell'EBITDA. Tale effetto è stato parzialmente compensato da minori ammortamenti.

La **gestione finanziaria** registra un saldo negativo di (3,1) milioni di euro, rispetto a (1,8) milioni di euro nel 2024. La variazione, pari a (1,4) milioni di euro, è principalmente riconducibile alla valutazione a *fair value* delle quote in fondi comuni di investimento ESG e all'aumento degli oneri finanziari su attività in leasing, conseguente alla revisione del tasso di attualizzazione

Il **Risultato netto** registra una perdita di 3,2 milioni di euro, a fronte di un utile di 7,6 milioni di euro nel primo trimestre 2024, riflettendo i risultati già citati.

L'**Indebitamento Finanziario Netto** al 31 marzo 2025, non comprensivo della *lease liability* IFRS 16[2](#page-4-0) , presenta una disponibilità finanziaria netta di 111,5 milioni di euro rispetto a una disponibilità finanziaria netta di 77,8 milioni di euro al 31 dicembre 2024. L'incremento di 33,7 milioni di euro riflette la generazione di cassa del trimestre legata agli acconti incassati per le manifestazioni future. Tale effetto è stato parzialmente compensato dal pagamento dei debiti verso fornitori per le manifestazioni tenutesi nell'ultimo trimestre del 2024.

## **PREVEDIBILE EVOLUZIONE DELLA GESTIONE**

**Il 2025 si configura come un anno di ulteriore sviluppo per Fiera Milano**, sostenuto da un **calendario fieristico particolarmente ricco** e da un **effetto di stagionalità favorevole**, tipico degli anni dispari, grazie alla presenza delle principali **manifestazioni biennali** organizzate dal Gruppo, quali *Host*, *Sicurezza*, *Made* e al ritorno dell'*Innovation Alliance* con la mostra pluriennale *Ipack Ima*. A ciò si aggiunge l'**ampliamento del portafoglio eventi organizzati** con nuove manifestazioni – tra cui *Net Zero Milan* e *Host Arabia* (Arabia Saudita) – il **ritorno a Milano di eventi internazionali itineranti di rilievo**, come *Gastech*, già ospitato nel 2022, e l'**introduzione di Artigiano in Fiera - Anteprima d'Estate** tra le manifestazioni ospitate.

Il **settore congressuale** confermerà gli importanti risultati ottenuti nel 2024 potendo far leva, fra gli altri, sui contratti di hosting del media e broadcasting center Olimpico siglati con la Fondazione Milano Cortina. Parallelamente, proseguirà il **percorso di sviluppo dei servizi** e della **nuova linea di business entertainment**; quest'ultima in particolare potrà contare su una più estesa stagione di eventi all'aperto, programmata da maggio a settembre, a conferma dell'impegno del Gruppo nell'ampliare e diversificare la propria offerta.

A rafforzare ulteriormente queste prospettive contribuisce la **recente acquisizione del 51% di Expotrans S.p.A.**, società leader nella logistica per fiere, congressi ed eventi. L'operazione, coerente con le direttrici del **Piano Strategico 2024–2027**, consente di **internalizzare la gestione logistica**, **ottimizzare i flussi di movimentazione merci** all'interno del quartiere espositivo di Rho e **ampliare i servizi offerti a espositori e organizzatori**, rafforzando il **posizionamento di Fiera Milano come fornitore di soluzioni integrate**.

Alla luce di queste evidenze, nonostante un contesto macroeconomico ancora incerto, **il Gruppo conferma con fiducia la guidance già comunicata per l'esercizio 2025,** che prevede Ricavi compresi tra 320 e 340 milioni di euro, un EBITDA tra 110 e 120 milioni di euro e una disponibilità finanziaria netta stimata tra 100 e 110 milioni di euro.

**Tali previsioni**, pienamente coerenti con il Piano Strategico 2024–2027, **non incorporano l'upside legato alle potenziali opportunità connesse ai Giochi Olimpici di Milano-Cortina 2026**, in particolare in riferimento all'eventuale coinvolgimento del Gruppo nell'**erogazione di servizi** a supporto di eventi olimpici, quali allestimenti, logistica, accoglienza, gestione di spazi espositivi e congressuali, che **potrebbe contribuire ulteriormente alla performance nel medio termine**.

## **FIERA MILANO È PARTNER DEI GIOCHI OLIMPICI E PARAOLIMPICI INVERNALI DI MILANO CORTINA 2026**

Nel mese di gennaio, Fiera Milano e Fondazione Milano Cortina 2026 hanno siglato un accordo di partnership per l'avvio di una collaborazione strategica che definisce l'ingresso di Fiera Milano nella squadra dei partner di Milano Cortina 2026. Gli spazi di Fiera Milano accoglieranno alcune delle gare più importanti della manifestazione invernale e non solo: nei due padiglioni appositamente rimodulati all'interno del quartiere fieristico a Rho si terranno le competizioni di Speed Skating e alcune partite dei tornei di Ice Hockey. Il centro congressi Allianz MiCo accoglierà invece tutti i media italiani e internazionali per l'intera durata dell'evento Olimpico. La partnership aiuterà in maniera significativa la promozione dell'immagine italiana come hub di innovazione e dinamismo, oltre a rafforzare il legame tra tradizione e modernità che caratterizza il progetto e l'anima di Milano Cortina 2026. Diventando partner di Milano Cortina 2026 Fiera Milano fortifica la propria identità e conferma la sua capacità di essere a tutti gli effetti una realtà internazionale in grado di ospitare e realizzare non solo appuntamenti fieristici ma anche sportivi, culturali e musicali.

#### **ACQUISITO IL 51% DI EXPOTRANS, LEADER NELLA LOGISTICA PER FIERE, CONGRESSI ED EVENTI INTERNAZIONALI: AMPLIATA L'OFFERTA INTEGRATA DI SERVIZI LUNGO L'INTERA CATENA DEL VALORE PER ESPOSITORI E ORGANIZZATORI**

Fiera Milano ha perfezionato l'acquisizione del **51% del capitale sociale di Expotrans S.p.A**. ("Expotrans"), società leader in Italia nei servizi di logistica per fiere, congressi ed eventi internazionali. L'operazione, in linea con il Piano Strategico 2024-2027, ha consentito al Gruppo di rafforzare l'offerta integrata di servizi per espositori e organizzatori lungo l'intera catena del valore, ampliando il presidio nella logistica fieristica. L'acquisizione è avvenuta per un valore di 6,3 milioni di euro, interamente finanziato con risorse di cassa disponibili, con aggiustamento di prezzo principalmente in funzione della posizione finanziaria netta.

#### **FIERA MILANO INTEGRA LA FINANZA SOSTENIBILE NELLA PROPRIA STRATEGIA SOTTOSCRIVENDO DUE SUSTAINABILITY-LINKED LOANS PER UN VALORE COMPLESSIVO DI 20 MILIONI DI EURO**

In data 29 aprile 2025 Fiera Milano ha sottoscritto due finanziamenti della durata di cinque anni, strutturati come **Sustainability-Linked Loan** ("SLL"), per un valore di 10 milioni di euro ciascuno, con Crédit Agricole Italia e Banco BPM. Le risorse finanziarie ottenute saranno destinate a supportare gli investimenti previsti dal **Piano Strategico 2024-2027**, con un focus sullo sviluppo e il potenziamento delle infrastrutture digitali e tecnologiche, elementi chiave per promuovere innovazione ed efficienza operativa. Al contempo, i finanziamenti consentiranno a Fiera Milano di ottimizzare la propria struttura finanziaria, garantendo la piena copertura degli investimenti ricorrenti con risorse dedicate, preservando la liquidità e mantenendo flessibilità strategica per future opportunità di sviluppo e crescita per linee esterne.

I due finanziamenti, strutturati ai sensi dei Sustainability-Linked Loan Principles, prevedono un meccanismo di adeguamento del tasso di interesse basato sul raggiungimento di due specifici obiettivi di sostenibilità (KPI ESG). In base al raggiungimento annuale di tali KPI, il base margin, ovvero la componente fissa del costo del finanziamento, sarà ridotto o aumentato di 6 basis points (bps).

## **I KPI ESG**

- **KPI 1 - Ambientale**: Aumento della percentuale di energia elettrica proveniente da fonti rinnovabili, passando dal 38% nel 2023 al 73% nel 2028 - Tale obiettivo è coerente con il Piano di Decarbonizzazione al 2030 di Fiera Milano, che prevede una riduzione delle emissioni GHG Scope 1 e Scope 2 di almeno il 60% entro il 2027 e dell'80% entro il 2030, rispetto alla baseline del 2023, puntando prevalentemente sull'incremento di acquisti di energia da fonti rinnovabili.
- **KPI 2 - Sociale:** Incremento cumulato annuale del controvalore delle azioni destinate ai dipendenti nell'ambito del nuovo Piano di Azionariato Diffuso "PAD Futuro" per un valore minimo di 1 milione di euro all'anno - In linea con il piano di sviluppo del Capitale Umano del Gruppo, l'assegnazione gratuita di azioni Fiera Milano attraverso PAD Futuro rafforza il senso di appartenenza e l'engagement dei dipendenti, favorendo una partecipazione più attiva alla creazione di valore aziendale.

L'integrazione della finanza sostenibile nella strategia di Fiera Milano rappresenta un elemento chiave per coniugare crescita economica e responsabilità sociale. L'adozione di strumenti finanziari innovativi come i Sustainability-Linked Loans consente di allineare le scelte finanziarie agli obiettivi del Piano di Sostenibilità Integrato 2024-2027, rafforzando il legame tra performance economica e sostenibilità.

# FIERA MILANO: THE BOARD OF DIRECTORS APPROVES THE CONSOLIDATED RESULTS AS OF 31 MARCH 2025

## **PERFORMANCE GROWTH ACROSS ALL BUSINESS LINES, DESPITE THE CYCLICAL SEASONALITY OF THE QUARTER TYPICAL OF ODD YEARS**

- **Revenues** of Euro 63.7 million, compared to Euro 72.4 million in the first quarter of 2024 and higher than Euro 48.1 million recorded in the same period of 2023, the last comparable year in terms of calendar seasonality.
- **EBITDA** of Euro 12.1 million, compared to Euro 25.7 million in the first quarter of 2024 and higher than Euro 8.9 million recorded in the same period of 2023, the last comparable year in terms of calendar seasonality.

**FIERA MILANO INTEGRATES SUSTAINABLE FINANCE INTO ITS STRATEGY BY SIGNING TWO SUSTAINABILITY-LINKED LOANS FOR A TOTAL VALUE OF EURO 20 MILLION**

**Milan, 13 May 2025** – The Board of Directors of Fiera Milano S.p.A. ("**Fiera Milano**" and/or the "**Company**"), leader in Italy and one of the main integrated operators in the world in the exhibition and congress industry, today approved the consolidated results as of 31 March 2025.

**The Chief Executive Officer and General Manager of Fiera Milano, Francesco Conci**, commented: *"All of Fiera Milano's main business lines showed signs of improvement in the first quarter of 2025: both organized and hosted events grew by 4%, services by 7% and the congress business recorded a 27% increase. These results confirm the strength of our business model and the dynamism of our activities, in a quarter that, despite the absence of several major biennial events that took place in the same period of 2024, marked a positive trend across all business lines. A comparison that is affected by the natural cyclicality of our exhibition calendar but does not impact the Group's growth trajectory or the quality of the operating performance achieved during the period. Looking ahead to the coming months, 2025 confirms itself as a year of strong development: the exhibition calendar is particularly rich with the return of flagship events such as Host, Sicurezza, Made Expo and Ipack Ima, and is expanding with new international exhibitions like Host Arabia and Net Zero Milan. The portfolio of hosted events is also growing, with the*

*return of Gastech and the new summer preview of Artigiano in Fiera. We also recently hosted Tuttofood, Lamiera and Made in Steel, which were very successful. As for the congress business, we expect it to confirm last year's results, being able to leverage, among others, the agreements linked to the Milano-Cortina 2026 Olympic Games. At the same time, the development of services and the new entertainment business line continues; the latter will benefit from an extended season of open-air events, further confirming the Group's commitment to broadening and diversifying its offering. Our path of growth and diversification also continues: the acquisition of 51% of Expotrans enables us to strengthen our logistics offering and improve service integration, in line with the strategic directions of the 2024–2027 Strategic Plan. This approach, increasingly focused on efficiency and sustainability, is also reflected in the recent signing of two sustainability-linked loans, which demonstrate our tangible commitment to ESG and further underline our responsibility towards a more sustainable future. In light of these premises, we confidently confirm our full-year EBITDA in the range of Euro 110 to 120 million, as expected by the guidance".*

## **RESULTS AS OF 31 MARCH 2025**

In the first three months of 2025, **Consolidated Revenues** amounted to Euro 63.7 million, down Euro (8.7) million compared to the first quarter of 2024. During the period, 16 exhibitions were held (14 in Italy and 2 abroad, 8 owned and 8 hosted), along with 32 congress events (of which 5 with related exhibition area), for a total of 311,273 square metres occupied.

The **change in Consolidated Revenues** is mainly due to the different exhibition calendar, particularly the absence of the biennial exhibition Mostra Convegno Expocomfort, which is hosted in even years. This effect was partially offset by the solid performance of annual exhibitions and congress activities, as well as by the increased penetration of services provided.

Revenues from the **Italian Exhibitions Business** amounted to Euro 52.8 million in the first three months of the year, showing a decrease of Euro (11.9) million compared to the first quarter of 2024. This variation is primarily attributable to a less favorable exhibition calendar, as already highlighted in the analysis of Consolidated Revenues. This effect was partially offset by the overall solid performance of annual exhibitions and increased penetration of services provided.

In the first three months of the year, 14 exhibitions were held in Italy. In January, Fiera Milano organized the second edition of **Milano Home**, annual exhibition dedicated to the world of living and home décor, with over 600 brands that chose to exhibit at this edition, 34% of which from abroad. At the same time, **Quick&More - Home Supplies Exhibition** also took place, the event dedicated to the distribution of household articles, festivity decorations and gifts. Running concurrently was **PTE - Promotion Trade Exhibition**, an event dedicated to the world of advertising objects which presented an offer of 133 companies (30% foreign). The total number of professionals present in the district, during the three simultaneous events, exceeded 32,000 visitors, of which 8% were international, coming from over 50 countries.

The month of February saw the return of events relating to the fashion industry. **Milano Unica** recorded an absolute record of exhibitors (more than 700), and a total attendance of 6,500 visiting companies (+10% compared to 2024 figures). **MIDO**, the international eyewear fair, occupied 7 halls and featured nearly 1,200 exhibitors (of which 930 were foreign). The exhibition recorded over 42,000 attendees from 168 countries. While all exhibitions related to the

fashion accessories industry, **Milano Fashion&Jewels** (accessories, jewels and bijoux), **MICAM Milano** (footwear), **Mipel** (leather goods) and **TheOneMilano**, the international outerwear and haute-à-porter exhibition, welcomed a total of 40,449 professional visitors, of which 45% came from 127 foreign countries. Fiera Milano also hosted **Lineapelle**, the international exhibition of leather, accessories, components, fabrics, synthetics and models, which saw the attendance of 24,977 industry professionals – including 18,833 buyers, up 7% compared to the September 2024 edition – and over 1,100 exhibitors. Also during February, Fiera Milano organised **BIT - Borsa Internazionale del Turismo**. The event, held for the first time in the halls of the Fiera Milano exhibition centre (in Rho) featured nearly 1,000 exhibitors from 64 countries. Lastly, **MyPlant & Garden** and **Filo**: the first, an international horticultural event now in its ninth edition, reached new records, with over 700 exhibitors and close to 27,000 attendees. **Filo**, held at Allianz MiCo, is the only international exhibition dedicated to the excellence of yarns and fibres.

In March, Fiera Milano played a leading role in organizing (alongside its partner Next Group, creator of the event and Padel Trend, co-organizer), the first edition of **Racquet Trend Expo**, held for the first time at Fiera Milano's Rho exhibition center, from 7 to 9 March 2025, the first major international event dedicated to all racquet sports: tennis, padel, pickleball, beach tennis and table tennis. Fiera Milano thus strengthens its role in major live events and with more than 100 exhibitors, Racquet Trend Expo was the first b2c sports event organized by Fiera Milano. That same month, Fiera Milano's Rho venue also hosted the 21st edition of **Fa' la cosa giusta!**, the exhibition dedicated to ethical consumption and sustainable lifestyles. Thanks also to Fiera Milano's support, the event

welcomed 52,200 visitors and nearly 500 exhibitors.

On the international front, revenue from the **Foreign Exhibitions Business** reached Euro 2.2 million in the first quarter of 2025, up from Euro 0.9 million recorded in the same period of 2024. This increase is mainly attributable to the presence in the period of the second edition of **Fruit Attraction São Paulo**, held in March and organized by the Group's Brazilian subsidiary. The event, which took place in October in 2024, has already established itself as a key platform for the fruit and vegetable industry, featuring 400 Brazilian and international brands. In February, Fiera Milano also organized, through its South African subsidiary Fiera Milano Exhibitions Africa, the twelfth edition of **Investec Cape Town Art Fair (ICTAF)**, the most important contemporary art fair in Africa, which hosted over 115 exhibitors and more than 500 artists.

The **Congress** business delivered very positive results, with 32 congress events held in the first three months of the year (of which 5 with related exhibition area). Revenue for this division in the first quarter of 2025 amounted to Euro 10.5 million, compared to Euro 9.3 million in the first quarter of 2024. The Euro 1.2 million increase is mainly attributable to higher revenue from recurring events that were also held in the same period of the previous year, such as the **Zurich and Allianz Conventions**, as well as to increased revenue from non-recurring events compared to the first quarter of 2024. Among the main events, noteworthy mentions include **BIO-Europe Spring**, aimed at connecting leading European innovation hubs with the global life sciences industry and **Intergraf**.

**Consolidated EBITDA** for the quarter amounted to Euro 12.1 million, down Euro 13.7 million compared to Euro 25.7 million recorded in the same period of the previous year. The decrease, mainly attributable to the previously mentioned calendar effect, also reflects the acquisition of sponsorship rights for the XXV Olympic Winter Games Milano Cortina 2026, the costs related to the launch of the Employee Share Ownership Plan, the presence of nonrecurring setup costs associated with the new configuration of the congress district as well as the calendar effect related to the joint venture held in joint control with the partner Deutsche MESSE AG.

**EBIT** for the quarter amounted to Euro (0.4) million, compared to Euro 12.8 million in the first quarter of 2024. The decrease of Euro (13.2) million reflects the trend in EBITDA. This effect was partially offset by lower amortization.

**Financial management** recorded a negative balance of Euro (3.1) million, compared to Euro (1.8) million in 2024. The change, equal to Euro (1.4) million, is mainly attributable to the fair value adjustment of shares in ESG mutual investment funds and to the increase in financial charges on lease liabilities, following a revision of the discount rate.

**Net Result** recorded a loss of Euro 3.2 million, compared to a profit of Euro 7.6 million in the first quarter of 2024, reflecting the results already mentioned.

**Net Financial Position** as of 31 March 2025, not including IFRS 16[4](#page-14-0) lease liability, showed a net financial availability of Euro 111.5 million compared to a net financial availability of Euro 77.8 million as of 31 December 2024. The increase of Euro 33.7 million reflects the cash generated during the quarter from advance payments received for future events. This effect was partially offset by payments to suppliers related to events held in the last quarter of 2024.

## **BUSINESS OUTLOOK**

**2025 is shaping up to be another year of growth for Fiera Milano**, supported by a **particularly rich exhibition calendar** and a **favorable seasonality effect** typical of odd years, thanks to the presence of the Group's main **biennial events** such as *Host*, *Sicurezza*, *Made* and the return of *Innovation Alliance* with the multi-annual exhibition *Ipack Ima*. This positive momentum is further reinforced by the **expansion of the organized event portfolio** with new launches — including *Net Zero Milan* and *Host Arabia* (Saudi Arabia) — as well as the **return to Milan of major international travelling exhibitions** such as *Gastech*, previously hosted in 2022, and the **debut of** *Artigiano in Fiera – Summer Preview* among the hosted events.

The **congress sector** will confirm the strong results achieved in 2024, being able to leverage, among others, the hosting contracts of the Olympic media and broadcasting center signed with Fondazione Milano Cortina. At the same time, the Group will continue to **develop its services** and **new entertainment business line**, which will benefit in particular from an extended open-air event season scheduled from May to September, confirming Fiera Milano's commitment to diversifying and expanding its offering.

Further strengthening these prospects is the **recent acquisition of 51% of Expotrans S.p.A.**, a leading company in logistics for exhibitions, conferences and events. The transaction, fully aligned with the **2024-2027 Strategic Plan**,

enables the **internalization of logistics management**, **optimization of goods handling flows** within the Rho exhibition center and **expansion of the services offered to exhibitors and organizers**, strengthening **Fiera Milano's positioning as a supplier of integrated solutions**.

In light of these developments, despite a still uncertain macroeconomic context, **the Group confidently confirms its previously communicated 2025 guidance**, which forecasts Revenues between 320 and 340 million euros, an EBITDA between 110 and 120 million euros and an estimated net financial availability between 100 and 110 million euros.

**These forecasts**, fully aligned with the 2024–2027 Strategic Plan, **do not include any potential upside related to the Milano Cortina 2026 Olympic Games**, particularly with regard to the possible involvement of the Group in the **provision of services** to support Olympic events, such as setups, logistics, hospitality, management of exhibition and congress spaces, which **could further contribute to the medium-term performance**.

## **FIERA MILANO IS AN OFFICIAL PARTNER OF THE MILANO CORTINA 2026 WINTER OLYMPIC AND PARALYMPIC GAMES**

In January, Fiera Milano and Fondazione Milano Cortina 2026 signed a partnership agreement to launch a strategic collaboration that establishes Fiera Milano as an official partner of Milano Cortina 2026. Fiera Milano's venues will host some of the most prestigious competitions of the Winter Games and more: the two specially remodeled pavilions within the Rho exhibition center will be the stage for Speed Skating competitions and some matches of the Ice Hockey tournaments. The Allianz MiCo congress center will host all the Italian and international media throughout the Olympic event. This partnership will play a significant role in promoting Italy's image as a hub of innovation and dynamism, while also strengthening the connection between tradition and modernity, a defining characteristic of the Milano Cortina 2026 project. By becoming a partner of Milano Cortina 2026, Fiera Milano further solidifies its identity and reaffirms its ability to be a truly international platform, capable of hosting not only trade fairs but also sporting, cultural and musical events.

#### **ACQUISITION OF 51% OF EXPOTRANS, A LEADING PROVIDER OF LOGISTICS SERVICES FOR EXHIBITIONS, CONGRESSES AND INTERNATIONAL EVENTS: EXPANDED THE INTEGRATED SERVICE OFFERING ACROSS THE ENTIRE VALUE CHAIN FOR EXHIBITORS AND ORGANIZERS**

Fiera Milano completed the acquisition of 51% of the share capital of Expotrans S.p.A. ("**Expotrans**"), a leading company in Italy in logistics services for exhibitions, congresses and international events. The transaction, in line with the **2024-2027 Strategic Plan**, allows the Group to strengthen its integrated service offering for exhibitors and organizers across the entire value chain, enhancing its presence in exhibition logistics. ### **FIERA MILANO INTEGRATES SUSTAINABLE FINANCE INTO ITS STRATEGY BY SIGNING TWO SUSTAINABILITY-LINKED LOANS FOR A TOTAL VALUE OF EURO 20 MILLION**

On 29 April 2025, Fiera Milano signed two five-year loans, structured as **Sustainability-Linked Loans** ("SLL"), each worth Euro 10 million, with Crédit Agricole Italia and Banco BPM. The financial resources obtained will support the investments outlined in the **2024–2027 Strategic Plan**, with a focus on the development and strengthening of digital and technological infrastructures, key elements in promoting innovation and operational efficiency. At the same time,

the loans will allow Fiera Milano to optimize its financial structure by ensuring full coverage of recurring investments through dedicated resources, preserving liquidity and maintaining strategic flexibility for future external growth and development opportunities.

The two loans, structured in accordance with the Sustainability-Linked Loan Principles, include an interest rate adjustment mechanism based on the achievement of two specific sustainability targets (ESG KPIs). Depending on the annual performance against these KPIs, the base margin, the fixed component of the loan cost, will be either reduced or increased by 6 basis points (bps).

## **ESG KPIs**

- **KPI 1 - Environmental**: Increase in the percentage of electricity from renewable sources, from 38% in 2023 to 73% in 2028 - This target is aligned with Fiera Milano's 2030 Decarbonization Plan, which aims to reduce Scope 1 and Scope 2 GHG emissions by at least 60% by 2027 and 80% by 2030, compared to the 2023 baseline, focusing primarily on increasing the purchase of renewable energy.
- **KPI 2 – Social**: Annual cumulative increase in the value of shares allocated to employees under the new Employee Share Ownership Plan "PAD Futuro" with a minimum value of Euro 1 million per year - In line with the Group's Human Capital Development Plan, the free allocation of Fiera Milano shares through PAD Futuro strengthens employees' sense of belonging and engagement, encouraging more active participation in the creation of corporate value.
