# **IL CDA DI GEFRAN S.P.A. APPROVA I RISULTATI CONSOLIDATI AL 31 MARZO 2025**

- **Ricavi pari a 36,4 milioni di Euro (34,2 milioni di Euro al 31 marzo 2024)**
- **EBITDA positivo per 7,8 milioni di Euro (con un'incidenza del 21,5% sui ricavi)**
- **EBIT positivo per 5,9 milioni di Euro (16,1% sui ricavi)**
- **Utile netto a 4,1 milioni di Euro (11,2% sui ricavi)**
- **Posizione finanziaria netta positiva e pari a 29,5 milioni di Euro (positiva per 34,2 milioni di Euro a fine 2024)**

**Provaglio d'Iseo (BS), 13 maggio 2025** – Il Consiglio di Amministrazione di GEFRAN S.p.A. riunitosi oggi sotto la presidenza di Giovanna Franceschetti presso la sede di Provaglio d'Iseo (BS), ha approvato i risultati consolidati al 31 marzo 2025.

# **Marcello Perini, Amministratore Delegato del Gruppo Gefran**, ha dichiarato:

*Siamo molto soddisfatti dei risultati raggiunti nei primi tre mesi dell'anno; i ricavi sono in crescita in tutte le aree geografiche servite dal Gruppo, con l'Europa in aumento in doppia cifra percentuale rispetto al primo trimestre 2024, e il business dei sensori in crescita dopo un 2024 in contrazione. L'aumento dei ricavi ha permesso di assorbire completamente l'incremento dei costi, generando una marginalità superiore a quella dell'anno precedente.*

*Nei primi tre mesi, il Gruppo ha ampliato il proprio perimetro con la partecipazione al capitale sociale di 40Factory e l'acquisizione della maggioranza di CZ Elettronica. Queste operazioni, insieme agli investimenti in innovazione di prodotto e dei processi manifatturieri, rafforzano il posizionamento di Gefran nel panorama dell'automazione industriale.*

*Nonostante il contesto macroeconomico turbolento, siamo fiduciosi che le capacità distintive del Gruppo, come l'integrazione verticale dei processi industriali e la presenza di asset manifatturieri nelle principali economie mondiali, ci permetteranno di gestire al meglio le eventuali criticità future.*

*Pertanto, le previsioni per il secondo trimestre restano favorevoli, con ricavi in moderata crescita e marginalità ampiamente positiva.*

I **ricavi** nel primo trimestre 2025 sono pari a 36,4 milioni di Euro, mostrando una crescita del 6,7% rispetto al pari trimestre 2024, quanto ammontavano a 34,2 milioni di Euro (l'effetto portato dall'andamento dei cambi è trascurabile e pertanto non impatta in maniera significativa sulla variazione).

Dall'analisi dei ricavi per **area geografica**, confrontati con gli stessi rilevati nel primo trimestre precedente, emergono buone performance in tutte le aree in cui il Gruppo opera, con aumento a doppia cifra percentuale in Europa (complessivamente +10,6%). In crescita anche i ricavi generati in America (complessivamente +8,2%), in Asia (+5,6%) e sul mercato nazionale (+3,1%).

In termini di aree di business, sempre rispetto ai dati del 31 marzo 2024, i ricavi generati dal segmento sensori sono in aumento (complessivamente dell'11,1%) in tutte le geografie raggiunte dall'attività commerciale. Più contenuta la crescita del segmento componenti per l'automazione (pari all'1,2%), confermando sostanzialmente il trend già osservato nel corso dell'esercizio precedente.

Analizzando la raccolta ordini del primo trimestre 2025, rispetto al dato del pari periodo 2024, si rileva un incremento (complessivamente del 3,8%), trainato da un aumento degli ordini raccolti per il business sensori (+6,8%). Per il business dei componenti per l'automazione la raccolta ordini è leggera contrazione rispetto al primo trimestre dell'esercizio precedente (-1,2%).

Il backlog alla chiusura del primo trimestre riflette un aumento rispetto al dato del 31 dicembre 2024 (+5,1%), tuttavia è in diminuzione se confrontato con lo stesso al 31 marzo 2024 (-7,4%).

Il **valore aggiunto** al 31 marzo 2025 ammonta a 26,7 milioni di Euro (24,5 milioni di Euro al 31 marzo 2024) e corrisponde al 73,2% dei ricavi (incidenza del 71,9% al 31 marzo 2024). La crescita del valore aggiunto attiene principalmente ai maggiori ricavi, oltre che alla maggior marginalità realizzata e connessa al differente mix di prodotto e di geografia rispetto al medesimo periodo dell'anno precedente.

Gli **altri costi operativi** del trimestre ammontano a 6,2 milioni di Euro e risultano in aumento (di 0,6 milioni di Euro) rispetto al primo trimestre 2024. Anche l'incidenza sui ricavi (16,9%) è in crescita rispetto al periodo di confronto (16,2%). La variazione è data dai maggiori costi per prestazioni professionali e consulenze (in particolare amministrative e gestionali), oltre che per pubblicità e fiere, viaggi, e per costi di training e ricerca del personale.

Il **costo del personale** rilevato nel trimestre è pari a 12,7 milioni di Euro e si confronta con 11,9 milioni di Euro dei primi tre mesi del 2024, riscontrando un incremento di 0,8 milioni di Euro, mentre l'incidenza percentuali sui ricavi risulta allineata (al 34,8%). L'aumento del costo (in valore assoluto), rispetto al periodo di confronto, riflette il rinforzo dell'organico a supporto della crescita: il numero medio dei dipendenti nel primo trimestre 2025 è pari a 710 unità mentre nello stesso periodo dell'anno precedente era di 670 unità.

Il **Margine Operativo Lordo (EBITDA)** al 31 marzo 2025 è positivo per 7,8 milioni di Euro (7,1 milioni di Euro alla chiusura del primo trimestre 2024) e corrisponde al 21,5% dei ricavi (mentre al 31 marzo 2024 era pari al 20,9% dei ricavi). I maggiori costi per la gestione operativa rilevati rispetto al trimestre di confronto riducono parzialmente la crescita del valore aggiunto, generata dai maggiori volumi di vendita, determinando un aumento dell'EBITDA di 0,7 milioni di Euro.

La voce **ammortamenti e svalutazioni** è pari a 2 milioni di Euro (sostanzialmente in linea con il valore rilevato al 31 marzo 2024).

Il **Risultato Operativo (EBIT)** al 31 marzo 2025 è positivo e pari a 5,9 milioni di Euro (16,1% dei ricavi) e si confronta con un EBIT pari a 5,1 milioni di Euro del primo trimestre 2024 (15% dei ricavi), rilevando con un aumento di 0,8 milioni di Euro. La variazione è sostanzialmente frutto delle stesse dinamiche illustrate per l'EBITDA.

Gli **oneri da attività/passività finanziarie** rilevati al 31 marzo 2025 sono pari a 0,2 milioni di Euro (contrariamente, al 31 marzo 2024 si rilevavano proventi per 0,1 milioni di Euro). La voce include proventi finanziari legati alla gestione della liquidità per 0,3 milioni di Euro (in linea con il dato del primo trimestre 2024) e oneri connessi all'indebitamento del Gruppo per 0,2 milioni di Euro (0,3 milioni di Euro nei primi tre mesi 2024). Il trimestre recepisce inoltre il risultato negativo delle differenze sulle transazioni valutarie, di 0,3 milioni di Euro.

Nei primi tre mesi 2025 sono rilevate **imposte** complessivamente negative per 1,5 milioni di Euro (complessivamente negative per 1,4 milioni di Euro nello stesso periodo 2024). Sono composte da imposte correnti negative, pari a 1,4 milioni di Euro (negative per 1,5 milioni di Euro al 31 marzo 2024), oltre che imposte anticipate e differite complessivamente positive e pari a 0,1 milioni di Euro (in linea col dati del 31 marzo 2024).

Il **Risultato netto** del Gruppo alla chiusura del primo trimestre 2025 è positivo, ammonta a 4,1 milioni di Euro (11,2% sui ricavi) e si confronta con il risultato positivo e pari a 3,8 milioni di Euro del medesimo periodo dell'esercizio precedente (11,1% sui ricavi). La variazione, positiva per 0,3 milioni di Euro, attiene all'incremento dell'EBIT, parzialmente compensato dall'andamento della gestione finanziaria e fiscale.

Il **capitale d'esercizio** al 31 marzo 2025 risulta pari a 14,6 milioni di Euro e si confronta con 9,8 milioni di Euro rilevati al 31 dicembre 2024, evidenziando un incremento complessivo di 4,9 milioni di Euro, dato principalmente dall'aumento dei crediti verso clienti (pari a 4,8 milioni di Euro), che riflette la crescita dei ricavi sopra descritta. Le rimanenze e i debiti verso fornitori, entrambe le voci in crescita di 0,6 milioni di Euro rispetto alla situazione di fine 2024, si compensano. Contribuisce alla variazione il saldo netto delle altre attività e passività (accoglie, tra gli altri, debiti verso dipendenti e istituti di previdenza, crediti e debiti per imposte), complessivamente negativo per 10,4 milioni di Euro ed in diminuzione di 0,1 milioni di Euro rispetto allo stesso al 31 dicembre 2024.

Il **patrimonio netto** al 31 marzo 2025 ammonta a 102,7 milioni di Euro, in aumento di 3,3 milioni di Euro rispetto alla chiusura dell'esercizio 2024. L'incremento attiene al risultato positivo del periodo (4,1 milioni di Euro), parzialmente attenuato dalla movimentazione della riserva di conversione (negativa per 0,8 milioni di Euro).

Gli **investimenti** nei primi tre mesi del 2025 ammontano a 1,2 milioni di Euro (1,4 milioni di Euro nel primo trimestre 2024) e riguardano principalmente i reparti produttivi, nonché le attività di ricerca e sviluppo di nuovi prodotti.

La **posizione finanziaria netta** al 31 marzo 2025, è positiva e pari a 29,5 milioni di Euro, mentre il dato di fine 2024 era positivo per 34,2 milioni di Euro.

La variazione della posizione finanziaria netta, in diminuzione di 4,7 milioni di Euro mila rispetto al 31 dicembre 2024, è essenzialmente legata agli esborsi per gli investimenti tecnici effettuati nel corso dei primi tre mesi dell'esercizio (1,2 milioni di Euro) e per l'acquisizione della partecipazione nella scaleup tech 40Factory S.r.l. (4 milioni di Euro), nonché dal pagamento di imposte e canoni di noleggio (complessivi 1,2 milioni di Euro). I flussi di cassa generati dalla gestione caratteristica nel trimestre sono positivi e compensano parzialmente gli esborsi (1,5 milioni di Euro).

La posizione finanziaria netta è composta da disponibilità finanziarie a breve termine pari a 47,3 milioni di Euro e da indebitamento a medio/lungo termine per 17,8 milioni di Euro.

# **GEFRAN S.P.A. BOARD OF DIRECTORS APPROVES CONSOLIDATED RESULTS AS AT 31 MARCH 2025**

- **Revenues of 36.4 million Euro (34.2 million Euro as at 31 March 2024)**
- **EBITDA of 7.8 million Euro (representing 21.5% of revenues)**
- **EBIT of 5.9 million Euro (16.1% of revenues)**
- **Net profit of 4.1 million Euro (11.2% of revenues)**
- **Net financial position positive by 29.5 million Euro (positive by 34.2 million Euro at the end of 2024)**

**Provaglio d'Iseo (BS), 13 May 2025** – The GEFRAN S.p.A. Board of Directors met today in a session chaired by Giovanna Franceschetti in the company's offices in Provaglio d'Iseo (BS), and approved the consolidated results as at 31 March 2025.

## **Marcello Perini, Chief Executive Officer of the Gefran Group**, commented:

*We are very pleased with the results of the first quarter of the year; revenues are up in all geographical regions served by the Group, with Europe up in double-digit percentage terms compared to the first quarter of 2024, and the sensors business growing after contracting in 2024. The increase in revenues fully made up for the increase in costs, generating a higher margin than in the previous year.*

*In the first quarter, the Group expanded its scope as a result of its shareholding in 40Factory and of becoming the majority shareholder of CZ Elettronica. These transactions, along with the investments in product innovation and manufacturing processes, strengthen Gefran's positioning in the industrial automation industry.*

*In spite of the turbulent macroeconomic scenario, we are confident that the distinctive qualities of the Group, such as the vertical integration of industrial processes and the presence of manufacturing assets in the world's major economies, will allow us to handle any future critical issues as best as possible.*

*Therefore, the outlook for the second quarter remains favourable, with moderately growing revenues and largely positive margins.*

**Revenues** in the first quarter of 2025 totalled 36.4 million Euro, up 6.7% compared to the same quarter in 2024 when they amounted to 34.2 million Euro (the exchange rate effect is negligible and thus does not have a significant impact on the change).

An analysis of revenues by **geographical region**, compared with the same figures for the previous first quarter, shows good performance in all areas in which the Group operates, with double-digit percentage increases in Europe (overall +10.6%). Revenues increased also in America (overall +8.2%), Asia (+5.6%) and the national market (+3.1%).

In terms of business areas, revenues from the sensors segment increased compared to the figures for 31 March 2024 (overall +11.1%) in all the geographical regions reached by this business. Growth in the automation components segment was more limited (1.2%), essentially confirming the trend of the previous year.

Analysing the order intake for the first quarter of 2025, compared to the figure for the same period in 2024, there was an increase (overall 3.8%), driven by an increase in orders collected for the sensors business (+6,8%). For the automation components business, order intake was slightly lower than the first quarter of the previous year (-1.2%).

The backlog at the end of the first quarter reflects an increase compared to the figure at 31 December 2024 (+5.1%) though a decrease when compared to the same figure at 31 March 2024 (-7.4%).

**Added value** as at 31 March 2025 amounted to 26.7 million Euro (24.5 million Euro on 31 March 2024) and was equal to 73.2% of revenues (71.9% of revenues as at 31 March 2024). The growth in added value is mainly due to higher revenues and higher margins and is related to the different product and geography mix compared to the same period in the previous year.

**Other operating costs** in the quarter were 6.2 million Euro, a 0.6 million Euro increase over the first quarter of 2024. Also their impact on revenues (16.9%) increased compared to Q1 2024 (16.2%). The change is the result of higher costs for professional and consulting services (especially administrative and management consultancy), as well as for advertising and trade fairs, travel, and personnel training and search costs.

**Personnel costs** in the quarter amounted to 12.7 million Euro, compared to 11.9 million Euro in the first quarter of 2024, posting a 0.8 million Euro increase, while their impact on revenues was aligned (34.8%). The increase in these costs (in absolute terms), compared to Q1 2024, is the result of workforce increase to support growth: the average number of employees in the first quarter of 2025 was 710 compared to 670 in the same period of the previous year.

**EBITDA** as at 31 March 2025 was positive by 7.8 million Euro (7.1 million Euro at the end of the first quarter of 2024), representing 21.5% of revenues (20.9% of revenues as at 31 March 2024). Higher operating costs compared to Q1 2024 partially reduced the growth in added value generated by higher sales, determining a 0.7 million Euro EBITDA increase.

**Depreciation, amortisation and impairment** amounted to 2 million Euro (essentially in line with the figure as at 31 March 2024).

**EBIT** as at 31 March 2025 was positive by 5.9 million Euro (16.1% of revenues), compared to EBIT of 5.1 million Euro for the first quarter of 2024 (15% of revenues), posting an increase of 0.8 million Euro. The change is essentially the result of the same dynamics illustrated for EBITDA.

**Losses from financial assets/liabilities** as at 31 March 2025 totalled 0.2 million Euro (unlike the period ending on 31 March 2024, when income was posted for 0.1 million Euro). The item includes financial income related to liquidity management in the amount of 0.3 million Euro (in line with the figure for the first quarter of 2024) and expenses related to the Group's debt in the amount of 0.2 million Euro (0.3 million Euro in Q1 2024). The quarter also incorporates the negative result of differences on currency transactions, amounting to 0.3 million Euro.

In the first quarter of 2025, **taxes** were negative overall by 1.5 million Euro (negative overall by 1.4 million Euro in the same period of 2024). They include negative current taxes, amounting to 1.4 million Euro (negative by 1.5 million Euro as at 31 March 2024), and deferred tax assets and liabilities, positive overall and totalling 0.1 million Euro (in the line with the figure for 31 March 2024).

The Group **net profit** at the end of the first quarter of 2025 was positive at 4.1 million Euro (11.2% of revenues), compared with the net profit of 3.8 million Euro in the same period of the previous year (11.1% of revenues). The change, positive by 0.3 million Euro, pertains to the EBIT increase, partially offset by financial and tax operations.

**Operating capital** as at 31 March 2025 totalled 14.6 million Euro, compared to 9.8 million Euro as at 31 December 2024, posting an overall increase of 4.9 million Euro, essentially resulting from the increase in receivables from customers (4.8 million Euro), reflecting the aforesaid increase in revenues. Inventories and payables to suppliers, both up by 0.6 million Euro compared to the end of 2024, offset each other. The net balance of other assets and liabilities contributes to the change (including, among others, payables to employees and social security institutions, tax receivables and payables), overall negative by 10.4 million Euro and down by 0.1 million Euro compared to the figure as at 31 December 2024.

**Shareholders' equity** as at 31 March 2025 amounted to 102.7 million Euro, an increase of 3.3 million Euro compared to the end of 2024. The increase is a result of the profit for the period (4.1 million Euro), partially reduced by the changes in the translation reserve (negative by 0.8 million Euro).

**Investments** amounted to 1.2 million Euro in the first three months of 2025 (1.4 million Euro in the first quarter of 2024) and mainly concern the production departments as well as research and development activities for new products.

**Net financial position** as at 31 March 2025 was positive and amounted to 29.5 million Euro, while the figure at the end of 2024 was positive by 34.2 million Euro.

The change in net financial position, down by 4.7 million Euro compared to 31 December 2024, is essentially due to the disbursements for technical investments made in the first three months of the year (1.2 million Euro) and for the acquisition of the shareholding in the tech scale-up 40 Factory S.r.l. (4 million Euro) as well as to the payment of taxes and rentals (overall 1.2 million Euro). Cash flows generated by operations during the quarter were positive and partially offset disbursements (1.5 million Euro).

The net financial position comprises net short-term cash and cash equivalents totalling 47.3 million Euro, and net medium/long-term debt of 17.8 million Euro.
