AEROPORTO GUGLIELMO MARCONI DI BOLOGNA S.p.A.:

Amendment in the composition of the Board of Auditors of Aeroporto Guglielmo Marconi di Bologna S.p.A. following the appointment of Dr. Andrea Alessandri as effective auditor by the Ministry of Economy and Finance, which was received after the closing of the Meeting for the renewal of the Board of Auditors on April 29, 2025, as well as the consequent resignation from the office of the effective auditor by Dr. Luca Moscatiello, from the office of Chairman of the Board of Auditors by the effective auditor Dr. Olivo Vittorio Calselli and from the office of substitute auditor from Dr. Andrea Alessandri

Bologna, 5 May 2025 – Aeroporto Guglielmo Marconi di Bologna S.p.A. (the "Company" or the "Issuer"), following the announcement to the market on 28 and 29 April 2025, informs that, following the conclusion of the Shareholders' Meeting of 29 April 2025, which resolved, among other things, the renewal of the Board of Statutory Auditors, the Ministry of Economy and Finance sent the Company, pursuant to art. 24 of the Articles of Association and art. 11, paragraphs 2 and 3, of the Decree of the Ministry of Transport and Navigation (now Ministry of Infrastructure and Transport) of 12 November 1997 no. 521, the appointment of Dr. Andrea Alessandri as effective auditor.

In order to allow the assignment of the ministerial appointed auditor in the Board of Auditors of the Company pursuant to the law and the Articles of Association, today the effective auditor Dr. Luca Moscatiello elected by the Shareholders' Meeting has renounced the office, with effect from today. Furthermore, since the provisions referred to above provide that the office of Chairman of the Board of Auditors is held by the auditor appointed by the Ministry of Economy and Finance, Dr. Olivo Vittorio Calselli, who had been conferred this office by the aforementioned Meeting, for the sole purpose of allowing compliance with the sector regulatory provisions, has renounced today the presidency of the Board of Auditors of the Company, while maintaining the office of effective auditor of the Issuer.

As a result of the ministerial appointment, Dr. Andrea Alessandri assumes the role of effective auditor and the presidency of the Board of Statutory Auditors from today until the date of approval of the financial statements at 31 December 2027, i.e. until the expiry date established for the supervisory body at the time of renewal by the Shareholders' Meeting of 29 April 2025. Finally, it should be noted that Dr. Andrea Alessandri has today renounced the role of substitute auditor assigned to him by the Shareholders' Meeting of 29 April 2025.

Following the changes described above, the Board of Statutory Auditors of the Company is composed as follows from today:

• Dr. Andrea Alessandri, Chairmam,
• Dr. Olivo Vittorio Calselli, effective member,
• Dr. Mara Marmocchi, effective member,
• Dr. Federica Nannucci, substitute member.

The Issuer will appoint the alternate substitute ate auditor to replace Dr. Andrea Alessandri at the next Meeting, in accordance with the law and the By-laws.

It should be noted that, based on the information available, the resigning auditor Dr. Luca Moscatiello does not hold shares in the Company.
