## **SOLIDWORLD GROUP: COLLOCAMENTO DI NUMERO 262.350 AZIONI INOPTATE NELL'AMBITO DELL'AUMENTO DI CAPITALE IN OPZIONE**

*Importo complessivamente raccolto superiore a Euro 2,0 milioni circa, pari all'81% circa del massimo previsto.*

*Treviso, 30 aprile 2025* – **SolidWorld Group S.p.A.**, società quotata sul mercato Euronext Growth Milan (ticker S3D) e capofila di un gruppo leader nei settori delle tecnologie industriali di design e stampa 3D, della bio-fabbricazione 3D e delle linee di produzione di macchinari per la fabbricazione di pannelli fotovoltaici di ultima generazione, facendo seguito al [comunicato](https://solidworldgroup.it/wp-content/uploads/20250424_SWG_CS_ITA_CONCLUSIONE-AUCAP_V2-Integrae_clean.pdf)  [stampa del 25](https://solidworldgroup.it/wp-content/uploads/20250424_SWG_CS_ITA_CONCLUSIONE-AUCAP_V2-Integrae_clean.pdf) aprile 2025, rende noto che **in data odierna sono state collocate parte delle n. 647.205 azioni ordinarie** *cum bonus share* **di nuova emissione** ("le Nuove Azioni") **rimaste inoptate** e rinvenienti dall'aumento di capitale in opzione deliberato dall'assemblea straordinaria della Società del 13 novembre 2024 ("Collocamento Azioni").

Nell'ambito del Collocamento Azioni sono state sottoscritte n. **262.350 Nuove Azioni** a un prezzo pari a Euro 1,20 (di cui Euro 0,10 da imputare a capitale ed Euro 1,10 a riserva sovrapprezzo) per ciascuna Nuova Azione, **per un controvalore complessivo pari a Euro 314.820,00**.

Per effetto di quanto sopra, alla data odierna sono state emesse complessive n. 1.667.600 Nuove Azioni, per un controvalore complessivo pari a Euro 2.001.120,00, mentre residuano **n. 384.855 azioni** sottostanti i diritti di opzione rimasti inoptati al termine dell'asta dei diritti inoptati, conclusasi in data 23 aprile 2025, **che potranno essere collocate**, a cura dell'organo amministrativo e nel rispetto della normativa vigente, **entro il termine del 31 dicembre 2025**.

La Società provvederà a pubblicare il comunicato di variazione del capitale sociale a seguito del deposito di avvenuta esecuzione dell'aumento di capitale presso il Registro delle Imprese di Treviso nei termini di legge.

## **SOLIDWORLD GROUP: PLACEMENT OF A NUMBER OF 262,350 UNEXERCISED SHARES AS PART OF THE RIGHTS ISSUE**

*Total amount raised exceeded approx. Euro 2.0 million, equal to approx. 81% of the maximum expected.*

*Treviso, 30 April 2025* – **SolidWorld Group S.p.A.**, a company listed on the Euronext Growth Milan market (ticker S3D) and head of the Group leader in the sectors of industrial 3D design and printing technologies, 3D bio-manufacturing and latest generation machinery lines for photovoltaic panel production, following the [press release of 25 April 2025,](https://solidworldgroup.it/wp-content/uploads/20250424_SWG_PR_ENG_Capital-Increase-Conclusion.pdf) announces that **part of the 647,205 newly issued ordinary shares** *cum bonus share* ("the New Shares"), which remained unopted and resulted from the rights issue capital increase resolved by the Company's extraordinary shareholders' meeting held on 13 November 2024 ("Share Placement"), **were placed today.**

As part of the Share Placement, **262,350 New Shares** were subscribed at a price of Euro 1.20 (of which Euro 0.10 to be allocated to capital and Euro 1.10 to the premium reserve) for each New Share, **for a total value of Euro 314,820.00**.

As a result of the above, as of today, a total of 1,667,600 New Shares have been issued, for a total value of Euro 2,001,120.00, while there are **384,855 shares** underlying the option rights that remained unexercised at the end of the auction of unexercised rights, which ended on 23 April 2025, **which may be placed**, by the administrative body and in compliance with current legislation, **by the deadline of 31 December 2025**.

The Company will publish the notice of change in the share capital following the filing of the execution of the capital increase with the Treviso Companies' Register within the terms of the law.
