**Milano, 30 aprile 2025** – L'Assemblea ordinaria degli azionisti di Alkemy S.p.A. ("**Alkemy**" o "la **Società**"), società specializzata nell'evoluzione del modello di business di grandi e medie aziende e quotata su Euronext Milan – segmento STAR di Borsa Italiana (ALK), si è riunita in data odierna in unica convocazione sotto la presidenza di Barnaba Ravanne.

## **Bilancio di esercizio 2024**

L'Assemblea ordinaria degli azionisti ha esaminato e approvato il Bilancio di Esercizio al 31 dicembre 2024 e ha, inoltre, esaminato il Bilancio Consolidato della Società relativo all'esercizio al 31 dicembre 2024, comprensivo del Report di Sostenibilità ex D. Lgs. 125/2024.

### Principali Dati Consolidati

I **Ricavi Consolidati per l'esercizio 2024** ("FY 2024") ammontano ad Euro 115,3 milioni, in calo del - 3,2% rispetto ai Ricavi Consolidati relativi all'esercizio 2023 ("FY 2023"), pari ad Euro 119,2 milioni. Tale flessione è dovuta principalmente alla performance registrata da alcune controllate estere del Gruppo.

**L'EBITDA Adjusted FY 2024 consolidato** si attesta ad Euro 7,9 milioni, in calo del 39,7% rispetto ad Euro 13,1 milioni del FY 2023. L'EBITDA Adjusted margin FY 2024 è pari a 6,9%, in calo di 4,1 pps rispetto a quanto registrato nell'esercizio precedente (11,0%), prevalentemente per effetto del diverso mix di vendite.

**Il Risultato Operativo Consolidato (EBIT)** del FY 2024 è stato negativo e pari a Euro -12,9 milioni. Il calo, rispetto a quanto registrato nel 2023 (EBIT positivo e pari ad Euro 6,9 milioni), è dovuto alle poste

straordinarie registrate nel periodo (Euro 2,7 milioni rispetto ad Euro 1,2 milioni nel FY 2023), prevalentemente per effetto dei costi non ricorrenti relativi all'Offerta Pubblica di Acquisto volontaria totalitaria sulle azioni Alkemy promossa da Retex S.p.A. – Società Benefit; e alla svalutazione degli avviamenti a livello consolidato per Euro -12,1 milioni a seguito dell'esecuzione del test di impairment.

**Il Risultato Netto consolidato** del FY 2024 è stato negativo e pari ad Euro -14,7 milioni, in calo rispetto al risultato positivo e pari ad Euro 3,5 milioni del FY 2023.

Il Bilancio Consolidato al 31 dicembre 2024 riporta una **posizione finanziaria netta** pari ad Euro -25,8 milioni, rispetto ad una posizione finanziaria netta di Euro -31,8 milioni al 31 dicembre 2023. La variazione, positiva, per Euro 6,0 milioni, è dovuta prevalentemente al decremento dei debiti verso banche e altri finanziatori e dei debiti per put option.

### Principali risultati della Capogruppo

Il Bilancio di Esercizio al 31 dicembre 2024 di Alkemy S.p.A. presenta un Risultato Netto negativo di Euro -18.758.051, a fronte di un utile pari ad Euro 4.424.636 nell'esercizio 2023. Tale Risultato è prevalentemente legato alla già citata svalutazione degli avviamenti a seguito dell'esecuzione del test di impairment (Euro -15,0 milioni con riferimento ad Alkemy S.p.A.).

### *Destinazione del risultato di esercizio*

L'Assemblea ordinaria dei Soci di Alkemy S.p.A. ha approvato di coprire la perdita netta di esercizio evidenziata in Bilancio per complessivi Euro -18.758.051 mediante compensazione della stessa con l'utilizzo delle riserve "Utili a Nuovo" e "Sovrapprezzo azioni".

### Relazione sulla remunerazione ex art. 123-ter del TUF

L'Assemblea ordinaria ha altresì approvato, ai sensi dell'art. 123-ter, comma 3-bis e 3-ter del Testo Unico della Finanza ("**TUF**"), con delibera vincolante, la prima sezione della Relazione sulla remunerazione redatta dal Consiglio di Amministrazione ai sensi degli artt. 123-ter del TUF e 84-quater del Regolamento Consob n. 11971/1999 (il "**Regolamento Emittenti**"), relativa alla politica della Società in materia di remunerazione dei membri del Consiglio di Amministrazione e dei Dirigenti con responsabilità strategiche della Società; nonché, ai sensi dell'art. 123-ter, comma 6 TUF, con delibera non vincolante, la seconda sezione della Relazione sulla remunerazione.

### **Nomina del nuovo Collegio Sindacale della Società**

L'Assemblea ordinaria ha nominato il nuovo Collegio Sindacale per il triennio terminante con l'Assemblea ordinaria da convocarsi nel 2028 per l'approvazione del Bilancio di Esercizio 2027, composto dai sindaci effettivi Giuseppe Alessandro Galeano, Francesca Marchiori e Gabriele Ernesto Urbano Gualeni, e dai Sindaci Supplenti Gianluca Disabato e Barbara Sicignano.

L'intero Collegio Sindacale è tratto dall'unica lista depositata, presentata dal Socio Retex S.p.A. – Società Benefit, titolare di una partecipazione complessiva pari all'84,99% del capitale sociale e all'81,52% dei diritti di voto, che ha ottenuto il 100,00% dei voti in Assemblea.

L'Assemblea ordinaria dei soci ha, inoltre, nominato quale nuovo Presidente del Collegio Sindacale Giuseppe Alessandro Galeano.

### **Determinazione del compenso spettante al Consiglio di Amministrazione**

L'Assemblea ordinaria degli Azionisti ha deliberato di determinare in complessivi Euro 691.120,00 il compenso annuo massimo spettante al Consiglio di Amministrazione. Tale importo include l'emolumento pari ad Euro 15.000,00 annui definito dall'Assemblea degli azionisti del 3 dicembre 2024, spettante a ciascuno degli Amministratori in carica, ad eccezione dell'Amministratore delegato, oltre alla remunerazione addizionale per gli amministratori investiti di particolari cariche, ovvero gli Amministratori che svolgono il ruolo di Presidente dei comitati endoconsiliari o ne siano membri, con un compenso pari, rispettivamente, ad Euro 9.000 annui ed Euro 6.000 annui.

### **Risoluzione consensuale del contratto di revisione e contestuale conferimento di nuovo incarico di revisione legale per il novennio 2025 – 2033**

L'Assemblea ordinaria degli azionisti, preso atto del parere favorevole del Collegio Sindacale, ha inoltre deliberato di risolvere il contratto di revisione con la società KPMG S.p.A., e contestualmente, esaminata la proposta motivata del Collegio Sindacale, ha deliberato di conferire l'incarico di revisione legale per il novennio 2025 – 2033 alla società Reconta Ernst & Young S.p.A., nei termini dell'offerta dalla stessa presentata che nel dettaglio prevede lo svolgimento delle attività di revisione legale del bilancio d'esercizio di Alkemy S.p.A. al 31 dicembre di ogni esercizio, revisione del bilancio consolidato del Gruppo Alkemy al 31 dicembre di ogni esercizio, revisione limitata della relazione finanziaria semestrale del Gruppo Alkemy al 30 giugno di ogni esercizio, revisione dei reporting package predisposti dalle società del Gruppo Alkemy ai fini della predisposizione del bilancio consolidato annuale, revisione dei reporting package predisposti dalle società del Gruppo Alkemy ai fini della predisposizione del bilancio consolidato semestrale e revisione limitata della Rendicontazione consolidata di sostenibilità, a fronte di un corrispettivo annuo di Euro 214.000.

*THE SHAREHOLDERS' MEETING THAT MET TODAY IN ORDINARY SESSION, EXAMINED THE CONSOLIDATED FINANCIAL STATEMENTS, INCLUDING THE SUSTAINABILITY REPORTING PURSUANT TO LEGISLATIVE DECREE N. 125/2024*, RELATING TO THE FINANCIAL YEAR 2024, EXAMINED AND APPROVED THE FINANCIAL STATEMENTS AS AT DECEMBER 31, 2024, AND APPROVED THE ALLOCATION OF THE RESULT FOR THE YEAR.

THE ORDINARY SHAREHOLDERS' MEETING ALSO APPROVED THE FIRST SECTION OF THE REMUNERATION REPORT WITH A BINDING RESOLUTION AND THE SECOND SECTION OF THE REMUNERATION REPORT WITH A NON-BINDING RESOLUTION.

**Milan, April 30, 2025 –** The Shareholders' Meeting of Alkemy S.p.A. ("**Alkemy**" or the "**Company**"), a company specializing in the evolution of the business model of large and medium-sized companies and listed on the Euronext Milan – STAR segment of Borsa Italiana (ALK), met on today's date on a single call under the chairmanship of Barnaba Ravanne.

## **Financial Statements 2024**

The Ordinary Shareholders' Meeting examined and approved Alkemy's financial statements at December 31, 2024, and examined the Company's Consolidated Financial Statements, including the Sustainability Report pursuant to Legislative Decree 125/2024, for the financial year ending on December 31, 2024.

### Main consolidated data

**Consolidated Revenues** for the year 2024 ("FY 2024"), amount to Euro 115.3 million, down by -3.2% compared to the same data for the Fiscal Year 2023 ("FY 2023") at Euro 119,2 million. The decline is mostly due to the performance of some of the foreign subsidiaries of the Group.

**Consolidated FY 2024 Adjusted EBITDA** stands at Euro 7.9 million, -39.7% compared to Euro 13.1 million in FY 2023. The Adjusted EBITDA margin FY 2024 is, therefore 6.9%, down by 4.1 pps compared to FY 2024 (11.0%), mostly because of the different sales mix.

**Consolidated Operating Result (EBIT)** in FY 2024 is negative at Euro -12.9 million, compared to a positive result of Euro 6.9 million in FY 2023. Such result is mostly related to the higher depreciation

costs linked to the goodwill write off related to some Italian subsidiaries following to the impairment test performed (Euro -12.1 million at Group level) and the one-off cost related to the consequences of the Voluntary Totalitarian Tender offer on the Alkemy shares launched by Retex S.p.A. – Società benefit on June 2024 (Euro 2.7 million compared to Euro 1.2 million in FY 2023).

The **Consolidated Net Result for FY 2024** is negative at Euro -14.7 million, down compared to the positive result recorded in FY 2023 (Euro 3.5 million).

The Consolidated Financial Statements as at December 31, 2024, show a **net financial position of Euro -25.8 million** compared to a Net Financial Position at Euro -31.8 million at December 31, 2023. The positive change of Euro 6.0 million is mostly related to the decrease of Bank loans and put option liabilities.

### Main results of the Parent Company

The financial statements at December 31, 2024, of Alkemy S.p.A. present a negative Net Result at Euro -18,758,051, compared to a net profit of Euro 4,424,636 in FY 2023. Such result is mostly related to the higher depreciation costs linked to the goodwill write off that followed the impairment test performed (Euro -15.0 million for Alkemy S.p.A.).

### **Allocation of Net Result for the year**

The Ordinary Shareholders' Meeting of Alkemy S.p.A. resolved to cover the net loss for the year shown in the financial statements for a total Euro -18,758,051 by offsetting it with the Equity Reserves "Retained Earnings" and "Share Premium Reserves".

### **Remuneration Report pursuant to art. 123-ter of the Consolidated Law on Finance ("TUF")**

The Ordinary Shareholders' Meeting also approved – pursuant to art. 123-ter paragraphs 3-bis and 3 ter of the TUF, with a binding resolution, the first section of the Remuneration Report prepared by the Board of Directors pursuant to art. 123-ter of the TUF and 84-quater of Consob Regulation no. 11971/1999 (the "Issuers' Regulation"), relating to the Company's policy regarding the remuneration of the members of the Board of Directors and the Executives with Strategic Responsibilities of the Company, as well as – pursuant to art. 123-ter, paragraph 6 of the TUF – with a non-binding resolution, the second section of the Remuneration Report.

### **Appointment of the new Board of Statutory Auditors of the Company**

The Ordinary Shareholders' Meeting appointed the new Board of Statutory Auditors for the threeyear period ending with the Ordinary Shareholders' Meeting to be convened in 2028 to approve the 2027 financial statements. The Board is composed of the standing auditors Giuseppe Alessandro Galeano, Francesca Marchiori and Gabriele Ernesto Urbano Gualeni, and by the alternate auditors Gianluca Disabato and Barbara Sicignano.

The whole Board of Statutory Auditors is drawn from the single filed list, presented by Retex S.p.A. – Società Benefit, owner of a total 84.99% of the share capital and 81.52% of the voting rights of Alkemy, that obtained 100.0% of votes in the Shareholders' Meeting.

The Ordinary Shareholders' Meeting also appointed Giuseppe Alessandro Galeano as new Chairman of the Board of Statutory Auditors.

### **Determination of the compensation due to the Board of Directors**

The Ordinary Shareholders' meeting resolved to determine the total amount of annual compensation for the Board of Directors at Euro 691,120.00. Such amount includes the annual compensation of Euro 15,000.00 defined by the Shareholders' Meeting on December 3, 2024, due to each of the Board Members in office, with the exception of the CEO, together with the additional annual remuneration for the Board Members with particular roles, such as the Chairman of the Board Committees and their members, that amounts to respectively Euro 9,000 and Euro 6,000.

### **Consensual termination of the audit contract and concomitant assignment of a new legal audit contract for the nine-year period 2025 - 2033**

The Ordinary Shareholders' Meeting, having acknowledged the favourable opinion of the Board of Statutory Auditors, also resolved to terminate the audit contract with KPMG S.p.A. At the same time, the Ordinary Shareholders' Meeting, having examined the reasoned proposal of the Board of Statutory Auditors, resolved to assign the auditing of accounts contract for the nine-year period 2025 - 2033 to the company Reconta Ernst & Young S.p.A., in accordance with the terms of the offer presented by the latter, which in detail provides for the performance of the audit activities for the financial statements of Alkemy S.p.A. as of December 31 of each financial year, audit of the consolidated financial statements of the Alkemy Group as of December 31 of each financial year, limited audit of the half-yearly financial report of the Alkemy Group as of June 30 of each financial year, audit of the reporting packages prepared by the companies of the Alkemy Group for the purposes of preparing the annual consolidated financial statements, audit of the reporting packages prepared by the companies of the Alkemy Group for the purposes of preparing the half-yearly consolidated financial statements and limited audit of the Consolidated Sustainability Reporting, for an annual fee of Euro 214,000.
