AVVISO DI DEPOSITO DI DOCUMENTAZIONE

Milano, 30 aprile 2025 – Orsero S.p.A. ("Orsero" o la "Società") rende noto che le informazioni essenziali, redatte ex art. 130 del Regolamento Consob 11971/1999 ("RE") relative alle pattuizioni parasociali contenute nel patto parasociale avente ad oggetto azioni di FIF Holding S.p.A. ("FIF") e Orsero S.p.A. ("Orsero"), attualmente in essere tra i sig.ri Anna Chiara Orsero, Antonio Orsero, Raffaella Orsero, Leonardo Ighina, Lorenzo Ighina e Pierangelo Ottonello, complessivamente titolari della totalità del capitale sociale di FIF, ("Patto"), come aggiornate per effetto del conferimento di azioni FIF da parte di Raffaella Orsero nella società, da essa interamente posseduta, UMA S.r.l. con Socio Unico, sono pubblicate, ai sensi degli artt. 130 e 131 RE, sul sito internet di Orsero all'indirizzo www.orserogroup.it (investors – patti parasociali), unitamente all'avviso che è stato pubblicato in data 30 aprile 2025 sul quotidiano "Italia Oggi".

NOTICE OF FILING OF DOCUMENT

Milan, 30 April 2025 – Orsero S.p.A. ("Orsero" or the "Company"), informs that the essential information, prepared pursuant to Article 130 of Consob Regulation 11971/1999 ("RE"), relating to the shareholders' agreements contained in the shareholders' agreement concerning the shares of FIF Holding S.p.A. ("FIF") and Orsero S.p.A. ("Orsero"), currently in force between Messrs. Anna Chiara Orsero, Antonio Orsero, Raffaella Orsero, Leonardo Ighina, Lorenzo Ighina and Pierangelo Ottonello, collectively holders of the entire share capital of FIF, ("Agreement"), as updated following the assignment of FIF shares by Raffaella Orsero to the company, wholly owned by it, UMA S.r.l. con Socio Unico, are published, pursuant to Articles 130 and 131 RE, on Orsero's website at www.orserogroup.it (investors - shareholders' agreements), together with the notice that was published on 30 April 2025 in the daily newspaper "Italia Oggi".
