## **ASSEMBLEA ORDINARIA DEGLI AZIONISTI DI COFLE S.P.A.**

- **Approvato il bilancio d'esercizio di Cofle S.p.A. ed esaminato il bilancio di esercizio del gruppo al 31 dicembre 2024**
- **Approvata la destinazione del risultato d'esercizio**
- **Conferito l'incarico per la revisione legale dei conti per il triennio 2025-2027 e determinato il relativo compenso**

**Trezzo sull'Adda (MI)**, 29 aprile 2025 – Cofle S.p.A. (EGM: CFL) – azienda leader a livello mondiale nella progettazione, produzione e commercializzazione di control cables e sistemi di comando a distanza che opera globalmente attraverso due divisioni: Original Equipment (OE), dedicata a sistemi personalizzati per i settori Agritech, Luxury Automotive e veicoli off-road, e Independent After Market (IAM), che produce control cables, tubi freno ed EPB per il mercato automotive post-vendita – comunica che in data odierna si è tenuta l'Assemblea Ordinaria degli Azionisti in prima convocazione.

Come previsto al primo punto dell'ordine del giorno, l'Assemblea Ordinaria degli Azionisti ha approvato il bilancio di esercizio al 31 dicembre 2024 e preso atto del bilancio consolidato di gruppo al 31 dicembre 2024.

Inoltre, l'Assemblea Ordinaria degli Azionisti ha approvato di coprire la perdita dell'esercizio 2024, pari a Euro 5.593.230, mediante l'utilizzo di Euro 3.041.229 a valere sulla riserva di utili portati a nuovo e di portare a nuovo l'importo residuo pari a Euro 2.552.001.

Come previsto al secondo punto all'ordine del giorno, l'Assemblea Ordinaria degli Azionisti ha deliberato il conferimento dell'incarico di revisione legale dei conti per il triennio 2025-2027, ai sensi del D.lgs. 39/2010 e alle condizioni sintetizzate nella proposta motivata del collegio sindacale, a BDO Italia S.p.A., approvandone i relativi compensi.

## **ORDINARY SHAREHOLDERS' MEETING OF COFLE S.P.A.**

- **Approval of the financial statements of Cofle S.p.A. and review of the consolidated financial statements of the Group as of December 31, 2024**
- **Approval of the allocation of the net result**
- **Appointment of the statutory auditor for the 2025–2027 period and determination of related fees**

**Trezzo sull'Adda (MI), April 29, 2025** – Cofle S.p.A. (EGM: CFL) – a global leader in the design, production and marketing of control cables and remote-control systems, operating worldwide through two divisions: Original Equipment (OE), dedicated to customized systems for the Agritech, Luxury Automotive, and off-road vehicle sectors, and Independent After Market (IAM), which manufactures control cables, brake hoses, and EPBs for the automotive aftermarket – announces that today the Ordinary Shareholders' Meeting was held on first call.

As per the first item on the agenda, the Ordinary Shareholders' Meeting approved the financial statements as of December 31, 2024, and reviewed the consolidated financial statements of the Group as of the same date.

Furthermore, the Ordinary Shareholders' Meeting resolved to cover the 2024 financial year loss, amounting to Euro 5,593,230, by utilizing Euro 3,041,229 from retained earnings and carrying forward the remaining amount of Euro 2,552,001.

As per the second item on the agenda, the Ordinary Shareholders' Meeting resolved to appoint BDO Italia S.p.A. as the statutory auditor for the 2025–2027 period, pursuant to Legislative Decree 39/2010 and under the terms outlined in the reasoned proposal of the Board of Statutory Auditors, and approved the related fees.
