BolognaFiere S.p.a.: Shareholders' Meeting Approves 2024 Financial Statements Audit Assignment Awarded

Bologna, April 29, 2025. The Ordinary Shareholders' Meeting of BolognaFiere S.p.a. met today to approve the following items on the Agenda:

Approval of Financial Statements as of December 31, 2024

The Shareholders' Meeting approved the financial statements for the fiscal year ending December 31, 2024, and reviewed the consolidated financial statements with the following consolidated economic-financial results:

• Revenues of €274.1 million (+17% compared to 2023)
• EBITDA of €44 million (+55% compared to 2023)
• Net profit of €3.9 million (significantly up from €0.7 million in 2023)
• Improved Net Financial Position

Allocation of Net Profit

The Shareholders' Meeting resolved to carry forward the net profit of the Parent Company BolognaFiere S.p.a., amounting to €4.7 million.

Appointment of the Statutory Auditor

The Shareholders' Meeting approved the appointment of Deloitte & Touche S.p.a. as the statutory auditor for 2025-2027 and determined the corresponding remuneration.
