# **L'ASSEMBLEA DEGLI AZIONISTI APPROVA IL BILANCIO D'ESERCIZIO E LA DISTRIBUZIONE DEL DIVIDENDO DI 0,10 EURO PER AZIONE**

# **L'ASSEMBLEA AUTORIZZA IL CONSIGLIO DI AMMINISTRAZIONE ALL'ACQUISTO E ALLA DISPOSIZIONE DI AZIONI PROPRIE**

*Carrara, 29 aprile 2025* - **Franchi Umberto Marmi S.p.A.** (la "Società" o "FUM") comunica che, in data odierna, si è riunita l'Assemblea degli Azionisti, in sede ordinaria, in prima convocazione, ha approvato il bilancio di esercizio al 31 dicembre 2024, la distribuzione di un dividendo pari a 0,10 Euro per azione e ha deliberato sulle altre materie poste all'ordine del giorno.

### **APPROVAZIONE DEL BILANCIO D'ESERCIZIO AL 31 DICEMBRE 2024 E PROPOSTA DI DESTINAZIONE DELL'UTILE**

L'Assemblea ha approvato il bilancio di esercizio al 31 dicembre 2024 e di destinare l'utile di esercizio di **10,61 milioni di Euro** come segue:

- (i) **3,28 milioni di Euro** a dividendo, pari a **0,10 Euro per azione**. La distribuzione avverrà a favore dei soci portatori di azioni contraddistinte dal codice ISIN IT0005335754, con stacco della cedola lunedì 9 giugno 2025, *record date* il 10 giugno 2025 e pagamento in data 11 giugno 2025;
- (ii) **7,33 milioni di Euro** a utili portati a nuovo;
- (iii) **0 milioni di Euro** a riserva legale.

I principali indicatori di bilancio al 31 dicembre 2024 sono:

- **Ricavi consolidati** pari a **81,7 milioni di Euro**, in crescita del 9,4% rispetto all'esercizio 2023.
- **EBITDA** di **25,3 milioni di Euro**, in crescita del 5,8% rispetto allo scorso anno, con un margine sui ricavi del 30,9%.
- **Utile d'esercizio,** pari a **10,61 milioni di Euro**, con un decremento del 18,5% rispetto all'esercizio 2023.

### **APPROVATA L'AUTORIZZAZIONE ALL'ACQUISTO E ALLA DISPOSIZIONE DI AZIONI PROPRIE**

L'Assemblea ha autorizzato il Consiglio di Amministrazione all'acquisto e alla disposizione di azioni proprie di FUM ai sensi degli artt. 2357 e seguenti del Codice Civile per un periodo massimo di 18 mesi, nel rispetto della normativa comunitaria e nazionale vigente, al fine di:

- (i) implementare piani di incentivazione azionaria in qualunque forma essi siano strutturati ovvero procedere ad assegnazioni gratuite ai soci o adempiere ad obbligazioni derivanti da *warrant*, strumenti finanziari convertibili, a conversione obbligatoria o scambiabili con azioni (sulla base di operazioni in essere o da deliberare/implementare);
- (ii) consentire l'utilizzo delle azioni proprie nell'ambito di operazioni connesse alla gestione caratteristica ovvero di progetti coerenti con le linee strategiche che la Società intende perseguire, in relazione ai quali si concretizzi l'opportunità di scambi azionari;
- (iii) poter utilizzare le proprie azioni come oggetto di investimento per un efficiente impiego della liquidità generata dall'attività caratteristica della Società;
- (iv) intervenire, nel rispetto delle disposizioni vigenti, anche per il tramite di intermediari, a sostegno della liquidità del titolo.

L'autorizzazione prevede anche l'acquisto di azioni proprie, in una o più volte ed anche per *tranche*, in misura liberamente determinabile dal Consiglio di Amministrazione fino ad un numero massimo che, tenuto conto delle azioni FUM di volta in volta detenute in portafoglio dalla Società e dalle società da essa eventualmente controllate, non sia complessivamente superiore al 10% del capitale sociale della Società (e comunque in ogni caso inferiore a quanto previsto dall'art. 2357, comma 3 del Codice Civile o all'eventuale diverso ammontare massimo previsto dalla legge pro tempore vigente), ovvero per un controvalore massimo complessivo fino ad Euro 10 milioni o all'eventuale diverso ammontare massimo previsto dalla legge pro tempore vigente.

L'autorizzazione stabilisce che il prezzo di acquisto non debba essere né inferiore, né superiore di oltre il 10% rispetto al prezzo ufficiale di borsa delle azioni registrato da Borsa Italiana S.p.A. nella seduta precedente ogni singola operazione e comunque in ragione delle disposizioni di legge applicabili. In particolare:

- non potranno essere acquistate azioni ad un prezzo superiore al prezzo più elevato tra il prezzo dell'ultima operazione indipendente e il prezzo dell'offerta di acquisto indipendente corrente più elevata nella sede di negoziazione dove viene effettuato l'acquisto;
- in termini di volumi, i quantitativi giornalieri di acquisto non eccederanno il 25% del volume medio giornaliero degli scambi del titolo FUM nei 20 giorni di negoziazioni precedenti le date di acquisto.

Gli acquisti saranno effettuati sul sistema multilaterale di negoziazione Euronext Growth Milan secondo le modalità stabilite dalla normativa comunitaria e nazionale vigente, nel rispetto delle condizioni e delle restrizioni relative alla negoziazione di cui agli articoli 3 e 4 del Regolamento Delegato (UE) n. 1052/2016, dell'art. 132 del TUF - con particolare riferimento al principio di parità di trattamento degli Azionisti - dell'art. 144-bis del Regolamento Emittenti Consob e da ogni altra normativa, anche comunitaria, e dalle prassi di mercato ammesse tempo per tempo vigenti.

L'autorizzazione alla disposizione e/o utilizzo delle azioni proprie è concessa senza limiti temporali. Le operazioni di disposizione delle azioni proprie potranno essere effettuate, in una o più volte, anche prima di avere esaurito il quantitativo di azioni proprie che può essere acquistato e le disposizioni possono essere effettuate con ogni modalità che sia ritenuta opportuna al conseguimento dell'interesse della Società e delle finalità sopra indicate e, in ogni caso, nel rispetto della normativa applicabile e delle prassi di mercato ammesse pro tempore vigenti. In particolare, le modalità

operative di disposizione potrebbero avvenire mediante alienazione delle azioni proprie sul mercato, ai blocchi o altrimenti fuori mercato, *accelerated bookbuilding*, ovvero mediante permuta o prestito titoli o assegnazione gratuita, attribuendo al Consiglio di Amministrazione il potere di stabilire, nel rispetto delle disposizioni di legge e regolamentari, i termini, le modalità e le condizioni dell'atto di disposizione e/o utilizzo delle azioni proprie.

La suddetta delibera di autorizzazione all'acquisto di azioni proprie, in applicazione del c.d. *whitewash* di cui all'art. 44‐bis, comma 2, Regolamento Consob n. 11971/1999, è stata approvata con le maggioranze previste da tale disposizione, pertanto le azioni proprie acquistate dalla Società in esecuzione di detta delibera autorizzativa non saranno escluse dal capitale sociale ordinario (e quindi saranno computate nello stesso) qualora, per effetto degli acquisti di azioni proprie, si determinasse il superamento, da parte di un azionista, delle soglie rilevanti ai fini dell'art. 106 del D. Lgs. n. 58/1998.

Alla data odierna, FUM non detiene azioni proprie in portafoglio.

### **THE SHAREHOLDERS' MEETING APPROVES THE FINANCIAL STATEMENTS AND THE DIVIDEND DISTRIBUTION OF 0.10 EURO PER SHARE**

# **THE GENERAL SHAREHOLDERS' MEETING AUTHORIZES THE BOARD OF DIRECTORS THE PURCHASE AND DISPOSAL OF TREASURY SHARES**

*Carrara, April 29, 2025*- **Franchi Umberto Marmi S.p.A.** (The "Company" or "FUM") announces that the Shareholders' Meeting was held today, in ordinary session and on first call. It approved the financial statements for the year ended December 31, 2024 and the dividend distribution of Euro 0.10 per share. It also discussed the other items on the Agenda.

### **APPROVAL OF THE FINANCIAL STATEMENTS AT DECEMBER 31, 2024 AND PROPOSAL FOR THE ALLOCATION OF NET INCOME**

The Shareholders' Meeting approved the Financial Statements at December 31, 2024 and it decided to allocate the net profit of **Euro 10.61 million** as follows:

- (iv) **Euro 3,28 million** per dividend, equal to **Euro 0.10 per share**. The distribution will be in favor of shareholders bearing shares identified by the ISIN code IT0005335754, with coupon detachment on June 9, 2025, *record date* on June 10, 2025 and payment on June 11, 2025;
- (v) **Euro 7.33 million** to retained earnings;
- (vi) **Euro 0 million** to legal reserve.

The main balance sheet indicators at December 31, 2024 are:

- **Consolidated Revenues** equal to **Euro 81.7 million**, with an increase of 9.4% compared to 2023.
- **EBITDA** equal to **Euro 25.3 million**, with an increase of 5.8% compared to the previous year, with a margin on revenues of 30.9%.
- **Profit for the year** equal to **Euro 10.61 million**, with a decrease of 18.5% compared to 2023.

### **AUTHORISATION TO BUY-BACK AND DISPOSE OF OWN SHARES APPROVED**

The General Shareholders' Meeting authorised the Board of Directors to buy back and dispose of FUM's own shares pursuant to Articles 2357 et seq. of the Italian Civil code for a period of 18 months, in accordance with EU and Italian applicable laws and regulations, with the aim of:

- (v) implementing share-based incentive plans, regardless of the form in which they are structured or undertaking free assignments to shareholders or discharging obligations arising from warrants and convertible financial instruments, whether mandatorily convertible into shares or exchangeable for shares (on the basis of transactions in progress and/or to be approved/implemented);
- (vi) permitting the use of own shares in transactions associated with ordinary operations or projects consistent with the strategic guidelines that the Company intends to pursue, in relation to which opportunities for share exchanges arise;
- (vii) being able to use own shares as investments for efficient use of the cash generated by the Company's ordinary operations;
- (viii) intervening, in accordance with applicable provisions, including through intermediaries, in support of the liquidity of its securities.

The authorisation also extends to the purchase of own shares, on one or more occasions and in one or more tranches, in an amount freely determinable by the Board of Directors, up to a maximum number that, taking account of the FUM shares held from time to time by the Company and by its subsidiaries, may not collectively be greater than 10% of the Company's capital (and, in any event, less than the amount provided for in Article 2357, paragraph 3, of the Italian Civil Code, or any different maximum amount provided for by the law in effect from time to time), i.e. a total maximum amount of Euro 10 million, or any different maximum amount provided for by the law currently in force.

The authorisation establishes that the price of purchase must not be 10% lower or higher than the official market price of the shares recorded by Borsa Italiana S.p.A. during the session prior to each transaction and in any event in accordance with applicable provisions of law. In particular:

- shares cannot be purchased at a price exceeding the higher of the price of the most recent independent transaction and the price of the highest current independent purchase bid on the trading venue in which the purchase is undertaken;
- in terms of volumes, daily purchase quantities will not exceed 25% of the daily average volume of trading of FUM shares in the 20 trading days prior to the purchase dates.

The purchases will be made on the multilateral trading facility Euronext Growth Milan according to the methods established by current community and national legislation and in compliance with the conditions and restrictions on trading pursuant to Articles 3 and 4 of Commission Delegated Regulation (EU) No 1052/2016, Article 132 of the Consolidated Finance Law — with particular regard to the principle of equal treatment of shareholders — Article 144-bis of the Consob Rules for Issuers and all other Italian and EU legislation and admitted market practice in effect from time to time.

The authorisation for the disposal and/or use of own shares is granted without time limits. Transactions involving the disposal of own shares may be undertaken, on one or more occasions, even before the quantity of own shares that may be purchased has been reached and disposals may be undertaken according to all methods deemed appropriate to achieving the Company's interest and the purposes set out above and, in any event, in accordance with applicable legislation and other admitted market practices applicable from time to time. In particular, the operating methods of disposal may consist of alienation of own shares on the market, in block trades or otherwise off the

market, accelerated bookbuilding, exchange or lending of securities or free assignment, with the Board of Directors granted the power to establish, in accordance with provisions of laws and regulations, the terms, methods and conditions of the act of disposal and/or use of own shares.

The aforementioned resolution authorising the purchase of own shares, in application of the whitewashing provision of Article 44-*bis*, paragraph 2, of Consob Regulation No. 11971/1999, was approved with the majorities required by the said provision. Accordingly, the own shares purchased by the Company in execution of the above authorising resolution will not be excluded from ordinary capital (and will thus be included in the said capital) where, due to the purchase of own shares, the thresholds relevant to the purposes of Article 106 of Legislative Decree No. 58/1998 are exceeded by a shareholder.

As of today, FUM does not hold any own shares.
