CLOSING OF THE PERIOD OF PUBLICATION OF LISTS FOR THE APPOINTMENT OF THE BOARD OF DIRECTORS

Milan, 23 April 2025 - With reference to the Ordinary Shareholders' Meeting of YOLO Group, one of the leading players in the Italian insurtech market of digital insurance services, listed on Euronext Growth Milano, which has been convened for 29 April 2025, at 11:00 a.m., and, if necessary, on second call, for 30 April 2025, at the same time, having among the items on the agenda the "Appointment of the Board of Directors," the Company announces that as at April 22, 2025, only one list was submitted.

This list was submitted by shareholders Gianluca de Cobelli and Simone Ranucci Brandimarte, who represent a total of 12.04% of the Company's share capital.

The list of candidates for the appointment of members of the Board of Directors consists of the following names:

Gianluca De Cobelli
Antonio Concolino
Andrea Faraggiana
Roberto Lancellotti
Massimo Tessitore

The shareholders also proposed:

to set the number of members of the Board of Directors at 6;
to set at three fiscal years and, therefore, until the Shareholders' Meeting called to approve the financial statements as at December 31, 2027, the term of office of the appointing Board of Directors;
to appoint Simone Ranucci Brandimarte to the position of Chairman of the Board of Directors.
