GEFRAN PERFEZIONA L'ACQUISIZIONE DELLA SOCIETÀ CZ ELETTRONICA S.R.L.

Provaglio d'Iseo (BS), 14 aprile 2025 - Gefran S.p.A., azienda specializzata nella progettazione e produzione di sensori, componenti e soluzioni per l'automazione e il controllo dei processi industriali, facendo seguito al comunicato stampa pubblicato in data 18 marzo 2025, aggiorna il mercato in relazione all'acquisizione di una quota di maggioranza della società CZ Elettronica S.r.l. (https://www.czelettronica.it/) unitamente alla sua controllata Mecatronica S.r.l., entrambe con sede in provincia di Vicenza.

L'operazione è stata perfezionata in data odierna tramite cessione di parte del capitale sociale, a seguito del quale Gefran S.p.A. detiene una quota pari al 60% del capitale sociale, per un corrispettivo totale di Euro 870.000 (corrispettivo versato in denaro, tramite l'utilizzo di mezzi propri).

È previsto inoltre un meccanismo di aggiustamento del prezzo legato al patrimonio netto complessivo delle due società risultante dai bilanci al 31.12.2024, nonché opzioni di put & call che potranno portare Gefran ad acquistare il 100% delle quote di CZ Elettronica S.r.l. entro un anno dall'approvazione del bilancio al 31.12.2027, a fronte di un corrispettivo calcolato sulla base del patrimonio netto complessivo delle due società.

GEFRAN FINALIZED THE ACQUISITION OF THE COMPANY CZ ELETTRONICA S.R.L.

Provaglio d'Iseo (BS), April 14, 2025 - Gefran S.p.A., a company specializing in the design and production of sensors, systems and components for the automation and control of industrial processes, following the press release dated March 18th, 2025, announces an update regarding the acquisition of a majority stake in CZ Elettronica S.r.l. (https://www.czelettronica.it/) together with its subsidiary Mecatronica S.r.l.., both with headquarters in the province of Vicenza.

Today the transaction was finalized through the sale of part of the share capital, as a result of which Gefran S.p.A. holds the 60% of the share capital, for a total consideration of Euro 870,000.00 (consideration paid in cash, by its own funds).

It is provided also a price adjustment mechanism linked to the shareholders' equity value of the two companies resulting from the financial statements as of December, 31st 2024, as well as put & call options that could lead Gefran to purchase 100% of CZ Elettronica S.r.l. shares within one year after the approval of the financial statements as of December, 31st 2027, for a consideration calculated based on the total shareholders' equity value of the two companies.
