Eni: KKR completes the acquisition of an additional stake in the share capital of Enilive

San Donato Milanese (Milan), 11 April 2025 – Eni and KKR have closed the transaction contemplated by the investment agreement, announced last February, for the increase of KKR's stake in Enilive through the purchase of Enilive's shares from Eni representing 5% of the share capital, for a consideration of approximately 601 million euros. Upon completion of the transaction, KKR owns an overall 30% stake of Enilive's share capital.

The transaction confirms a post-money valuation of 11.75 billion euros of Equity Value for 100% of Enilive's share capital.

The overall proceeds for Eni group amount to 3.6 billion euros, including a capital increase in Enilive of 500 million euros to support the company's growth plan.

The transaction has been approved by the competent authorities.
