STRATEGIC REORGANIZATION OF UNIFIBER AND CLIOFIBER UNDERWAY: CEBF AND UNIDATA INVEST IN A NEW UNIFIED STRUCTURE CALLED UNIFIBER ITALY S.R.L.

Roma, 10 April 2025– Unidata S.p.A. (UD.MI), telecommunications, cloud and IoT services operator, listed on the Euronext Milan market – STAR Segment, organized and managed by Borsa Italiana S.p.A., announces that, on today's date, the strategic reorganization operation was completed through the transfer of the shareholdings held by Unidata and the European fund Connecting Europe Broadband Fund ("CEBF") in ClioFiber S.r.l. ("ClioFiber") and in Unifiber S.p.A. ("Unifiber") to the company Unifiber Italy S.r.l. ("Unifiber Italy") (hereinafter the "Operation").

The rationale behind the Operation lies in the implementation of a new project aimed at expanding and strengthening the strategic partnership between Unidata and CEBF. The initiative envisages the consolidation, within a single corporate structure (i.e. Unifiber Italy), of the Unifiber project and the ClioFiber project, aimed at the design, construction, financing and management of open access "Fiber to the Home" ultra-broadband networks in Italy, respectively, on the Lazio region and the Puglia region (the "ClioFiber and Unifiber Project").

Given the above, upon completion of the Operation, CEBF and Unidata became owners, respectively, of 74% and 26% of the share capital of Unifiber Italy, which, as a result of the transfer of the shares, became the sole shareholder, respectively, of ClioFiber and Unifiber.
