EuroTeleSites AG: Public Announcement of a Transaction with a Related Party pursuant to Sec 95a para 5 of the Austrian Joint Stock Corporation Act (AktG) Subscription of a private placement of A1 Towers by A1 Bulgaria EAD
A1 Towers Holding GmbH (“ A1 Towers “) is a wholly owned subsidiary of EuroTeleSites AG (“ EuroTeleSites “). A1 Towers intends to issue notes with an aggregated principal amount of EUR 255 million for the purpose of refinancing existing debt. Pursuant to a subscription agreement dated as of today, A1 Bulgaria EAD, 1 Kukush Str., 1309 Sofia, Bulgaria, UIC 131468980 has subscribed the aggregate principal amount of the notes. The value date of the notes is 22 April 2025.
