Milano, 7 aprile 2025 - Saipem S.p.A. ("Saipem" o la "Società") informa che è a disposizione del pubblico presso la sede sociale, nelle rispettive sezioni del sito internet della Società dedicate all'Assemblea degli Azionisti (www.saipem.com | Sezione "Governance" - "Assemblea degli Azionisti") e all'Assemblea speciale degli Azionisti di risparmio (www.saipem.com | Sezione "Assemblea degli Azionisti" – "Assemblea Speciale Azionisti di Risparmio 2025"), sul sito internet di Borsa Italiana S.p.A. (www.borsaitaliana.it) e presso il meccanismo di stoccaggio autorizzato "eMarket STORAGE" (), la seguente documentazione:

• − la Relazione Finanziaria Annuale 2024 di Saipem, che comprende il progetto di bilancio d'esercizio e il bilancio consolidato al 31 dicembre 2024, la Relazione sulla gestione, le attestazioni di cui all'art. 154-bis, commi 5 e 5-ter, del Decreto Legislativo 58/1998 ("TUF"), le relazioni della Società di revisione e del Collegio Sindacale. Comprende inoltre la Rendicontazione Consolidata di Sostenibilità 2024, redatta in conformità al Decreto Legislativo 125/2024 che recepisce la Direttiva EU 2464/2022 (Corporate Sustainability Reporting Directive), e la relazione della Società di revisione emessa ai sensi dell'art. 14-bis del Decreto Legislativo 39/2010;
• − il documento emesso su base volontaria "2024 Sustainability Report" e la relativa relazione della Società di revisione;
• − la Relazione sul governo societario e gli assetti proprietari, ai sensi dell'articolo 123-bis del TUF;
• − la Relazione sulla politica in materia di remunerazione e sui compensi corrisposti 2025, ai sensi dell'art. 123-ter del TUF e dell'art. 84-quater del Regolamento Consob adottato con Delibera n. 11971/1999 (il "Regolamento Emittenti");
• − le Relazioni illustrative del Consiglio di Amministrazione sui punti 1, 2, 3 e 4 all'ordine del giorno dell'Assemblea Ordinaria;
• − la Relazione illustrativa del Consiglio di Amministrazione sul secondo punto all'ordine del giorno dell'Assemblea speciale degli Azionisti di risparmio.

Si ricorda che i bilanci e/o i prospetti riepilogativi delle società controllate e collegate di Saipem, ai sensi dell'art. 2429, commi 3 e 4, del Codice civile e dell'art. 77, comma 2-bis del Regolamento Emittenti, saranno messi a disposizione del pubblico presso la sede sociale a decorrere da mercoledì 23 aprile 2025.

("Saipem" or the "Company") informs that, the following documentation is available to the public at the Company's registered office, in the respective sections of the Company's website dedicated to the Shareholders' Meeting (www.saipem.com | Section "Governance" – "Shareholders' Meeting") and to the Special Meeting of Savings Shareholders (www.saipem.com | Section "Shareholders' Meeting" – "Special Savings Shareholders' Meeting 2025"), on Borsa Italiana's website (www.borsaitaliana.it) and at the authorized storage system "eMarket STORAGE" ():

• − the 2024 Annual Report of Saipem, containing the draft statutory financial statements and the consolidated financial statements as at 31 December 2024, the Directors' Report, the declarations pursuant to Article 154-bis, Paragraphs 5 and 5-ter of Legislative Decree 58/1998, as well as the Reports by the Independent Auditors and the Statutory Auditors. It furthermore contains the 2024 Consolidated Sustainability Statement, drafted in accordance with Legislative Decree 125/2024, which implements EU Directive 2464/2022 (Corporate Sustainability Reporting Directive), and the Independent Auditors' Report issued pursuant to Article 14-bis of Legislative Decree 39/2010;
• − the document issued on a voluntary basis "2024 Sustainability Report" and related report by the Independent Auditors;
• − the Corporate Governance and Shareholding Structure Report, pursuant to Article 123-bis of Legislative Decree 58/1998;
• − the Report on Remuneration Policy and Compensation Paid 2025, pursuant to Article 123-ter of Legislative Decree 58/1998 and Article 84-quater of Consob Regulation adopted with Resolution No. 11971/1999 ("Issuers' Regulations");
• − the Board of Directors' Reports on items 1, 2, 3 and 4 on the agenda of the Ordinary Shareholders' Meeting;
• − the Board of Directors' Report on item 2 on the agenda of the Special Savings Shareholders' Meeting.

It should be noted that the financial statements and/or the summary statements of Saipem's subsidiaries and affiliated companies pursuant to Article 2429, Paragraphs 3 and 4, of the Italian Civil Code and Article 77, Paragraph 2-bis of Issuers' Regulations will be made available to the public at the Company's registered office as from Wednesday 23 April 2025.
