DIMISSIONI DI UN CONSIGLIERE NON ESECUTIVO E INDIPENDENTE

Milano, 1° aprile 2025 – Alkemy S.p.A. ("Alkemy" o la "Società"), società specializzata nell'evoluzione del modello di business di grandi e medie aziende e quotata su Euronext Milan – segmento STAR di Borsa Italiana (ALK), comunica che Vincenzo Pompa, amministratore indipendente e non esecutivo, ha rassegnato, con effetto dal 31 marzo 2025, le proprie dimissioni dalla carica di membro del Consiglio di Amministrazione di Alkemy in quanto, in relazione ai recenti cambi di governance, ritiene esaurito il suo ruolo.

Vincenzo Pompa, amministratore non esecutivo e indipendente, non apparteneva ad alcun comitato interno. Sulla base delle comunicazioni effettuate alla Società e al pubblico, Vincenzo Pompa non risulta detenere, al momento delle sue dimissioni, direttamente e/o indirettamente azioni della Società.

A seguito della cessazione della carica non sono previste indennità o altri benefici in favore di Vincenzo Pompa.

La Società ringrazia Vincenzo Pompa per l'attività svolta e l'impegno profuso nell'esercizio delle sue funzioni.

RESIGNATION OF AN INDEPENDENT AND NON-EXECUTIVE BOARD MEMBER

Milan, April 1, 2025 – Alkemy S.p.A. ("Alkemy" or the "Company"), a company specializing in the evolution of the business model of large and medium-sized companies and listed on the Euronext – STAR segment of Borsa Italiana (ALK), announces that Vincenzo Pompa, an independent and non-executive member of the Board of Directors, resigned from his position as Board member starting from March 31, 2025 because he believes his role within the Board is to consider exhausted following the recent changes in the governance of the Company.

Vincenzo Pompa, as an independent and non-executive member of the Board was not part of any Board Committee. Based on the communication to the Company and to the public, he did not directly and/or indirectly hold any Alkemy shares when he resigned.

Following the termination of his office, no compensation or other benefits are envisaged for Vincenzo Pompa.

The Company thanks Vincenzo Pompa for the work carried out and the commitment shown in the exercise of his functions.
