("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care di infanzia e adulti, quotata sul mercato EGM di Borsa Italiana (*ticker: MGS*), comunica che il Consiglio di Amministrazione ha approvato in data odierna il progetto di Bilancio di Esercizio al 31 dicembre 2024, redatto secondo i principi contabili italiani e ai sensi del Regolamento Emittenti Euronext Growth Milan, che sarà sottoposto all'approvazione della prossima Assemblea degli Azionisti della Società.

## **Principali risultati al 31 dicembre 2024**

Al 31 dicembre 2024, Magis S.p.A. ha registrato un valore della produzione pari a Euro 85,18 milioni, in crescita del 5,2% rispetto all'esercizio 2023, e ricavi stabili pari a Euro 81,55 milioni. L'andamento del fatturato è correlato principalmente alla calibrata riformulazione di alcuni prezzi di vendita, in relazione al

calo del costo delle materie prime, e alla lungimirante politica di concentrazione della produzione sul mix di clienti e prodotti a maggior valore aggiunto, già avviata nel corso dell'esercizio precedente, con una **marginalità lorda** (EBITDA margin) che si è attestata al 18,7% del totale ricavi, un **utile netto** di 8,68 milioni di Euro **in crescita netta** rispetto al precedente esercizio, con **forte generazione di cassa** quantificata in 8,91 milioni di Euro.

In conseguenza dell'efficace orientamento selettivo del business, il **Margine Operativo Lordo** (EBITDA) al 31 dicembre 2024 è aumentato attestandosi a 15,23 milioni di Euro, dunque, pari a circa il 18,7% dei ricavi (rispetto ad Euro 15 milioni del 2023); così come è aumentato il **Margine Operativo Lordo Adjusted** (EBITDA ADJUSTED) attestandosi a 16,80 milioni di Euro, pari a circa il 20,6% dei ricavi. La sinergia tra l'attenta gestione operativa e la solida impostazione commerciale ha permesso di valorizzare al meglio i prodotti, con un impatto positivo sulla marginalità. Il miglioramento del primo margine ha permesso di compensare un aumento di alcuni costi di struttura, in particolare quello relativo al personale, necessari per sostenere la crescita e gli sviluppi futuri.

Nonostante l'incremento degli ammortamenti legato alla rilevante attività di investimento degli ultimi mesi, il **Risultato Netto 2024** si attesta a **Euro 8,68 milioni** (in miglioramento rispetto ad Euro 8,22 milioni nel 2023), grazie alle dinamiche di marginalità sopra descritte e beneficiando di una gestione finanziaria più efficiente che ha portato ad una riduzione significativa dell'ammontare degli oneri finanziari netti.

Si conferma anche nell'esercizio 2024 la solida capacità di generare cassa con un cash flow yield pari al 13,31%. La Società grazie ad una gestione attenta è riuscita a contenere il **Capitale Circolante Netto,** passato da 10,6 milioni a 8,3 milioni, garantendo un'ulteriore crescita del flusso di cassa prodotto dalla gestione operativa.

La **Posizione Finanziaria Netta** ha registrato, pertanto, un forte miglioramento, pari a Euro 8,91 milioni, passando da Euro 5,77 milioni del 2023 a Euro 14,67 milioni del 2024. Tale risultato è ancora più significativo considerando gli importanti investimenti effettuati nell'esercizio, pari a Euro 5,1 milioni.

Il **Patrimonio Netto** al 31 dicembre 2024 è pari a Euro 47,19 milioni, incrementato di oltre 8 milioni rispetto alla già solida situazione del 2023.

## **Destinazione dell'utile di esercizio**

Il Consiglio di Amministrazione di Magis, sulla base dei risultati conseguiti, della dimostrata capacità della Società di crescere in marginalità lorda e netta e di generare annualmente un'importante flusso di cassa, ha deliberato di proporre all'assemblea degli azionisti la distribuzione di un dividendo unitario a valere sul bilancio 2024 pari a Euro 0,92 per ciascuna azione avente diritto, con data di stacco della cedola il 5 maggio 2025, data di legittimazione al pagamento ai sensi dell'art. 83-terdecies del Dlgs 58/1998 (record date) il 6 maggio 2025 e data per il pagamento del dividendo il 7 maggio 2025.

## **Macro-scenario economico e strategie adottate**

Nel 2024 il settore del packaging si è confermato positivo, mantenendo un andamento stabile dopo un 2023 caratterizzato da una ripresa moderata, influenzata dal rallentamento dell'industria manifatturiera e dall'aumento delle importazioni di imballaggi vuoti. L'export continua a rappresentare un elemento trainante, con mercati strategici, come ad esempio l'Africa e l'Unione Europea. La sostenibilità resta un fattore chiave, con una crescente attenzione a materiali riciclabili, biodegradabili e compostabili. Allo stesso tempo, il settore prosegue nel suo percorso di trasformazione tecnologica, con l'integrazione dell'Internet of Things (IoT) e di soluzioni digitali che rendono il packaging più efficiente e avanzato. In questo scenario, la capacità di innovare nei materiali e nei processi produttivi sarà determinante per le aziende che vogliono consolidare il proprio posizionamento competitivo e Magis, in questo, è pronta a raccogliere la sfida, forte dei suoi brevetti e delle sue capacità di ricerca e sviluppo.

## **Sviluppo della domanda ed andamento dei mercati in cui opera la Società**

Anche per il 2024, Magis ha confermato i buoni risultati dell'esercizio precedente in termini di EBITDA e di PFN, mantenendo gli investimenti effettuati nel settore dei nastri adesivi in PLP e prodotti similari, grazie ad una costante politica di ricerca e sviluppo che ha consentito alla Società di raggiungere e soddisfare una domanda in continua crescita.

La diversificazione nella distribuzione dei prodotti a livello geografico è una scelta che opportunamente il management continuerà a perseguire, considerata l'efficacia dei risultati ottenuti e l'attenuazione di eventuali rischi derivanti da possibili congiunture economiche o situazioni geopolitiche. A tal proposito, si

rammenta che la Società, già dal 2018, si è dotata di una polizza di assicurazione crediti con copertura del rischio politico a copertura dei crediti verso i clienti.

## **Evoluzione prevedibile della gestione**

Negli ultimi anni, la direzione aziendale ha portato avanti un piano di investimenti mirato a rafforzare la competitività dell'azienda, ampliando la capacità produttiva e rendendo i processi più efficienti. L'apertura di un nuovo sito industriale e l'introduzione di macchinari altamente tecnologici hanno permesso non solo di migliorare la qualità dei prodotti, ma anche di garantire una maggiore rapidità nelle consegne. Questi investimenti hanno, inoltre, rafforzato la struttura patrimoniale dell'azienda, assicurandole le risorse necessarie per affrontare con solidità eventuali sfide legate all'attuale contesto economico.

Considerando le solide performance degli ultimi anni e il costante flusso di ordini ricevuti, per il 2025 si prevede una continuità nei risultati positivi, salvo scenari imprevedibili legati alle incertezze globali. Grazie a nuovi strumenti avanzati di analisi dei dati, l'azienda continuerà a sviluppare una strategia selettiva nella gestione della clientela, puntando su realtà con potenziale di crescita e commesse ad alta redditività. Questo approccio, che da sempre contraddistingue Magis, le consente di affrontare con lungimiranza i cambiamenti di mercato, trasformando le sfide in opportunità di sviluppo a lungo termine.

## **Convocazione dell'Assemblea degli Azionisti**

La relazione finanziaria annuale al 31 dicembre 2024 sarà messa a disposizione del pubblico nei termini e con le modalità previste nel Regolamento Euronext Growth, nonché sul sito internet di Magi[s www.magis.it,](http://www.magis.it/) alla sezione [https://www.magis.it/it/area-investitori/.](https://www.magis.it/it/area-investitori/)

Il progetto di Bilancio di Esercizio al 31 dicembre 2024, approvato in data odierna dal Consiglio di Amministrazione, e la proposta di allocazione del risultato di esercizio saranno sottoposti alla prossima Assemblea degli Azionisti da convocarsi per il giorno 28 aprile 2025, come previsto dal calendario finanziario della Società.

## **Sospensione esercizio dei Warrant Magis**

Si ricorda che, ai sensi del Regolamento dei Warrant Magis, l'esercizio dei Warrant è automaticamente sospeso dalla data (inclusa) in cui il Consiglio di Amministrazione abbia deliberato la convocazione dell'Assemblea dei soci chiamata ad approvare il bilancio di esercizio e la proposta di distribuzione di dividendi (e, pertanto, a decorrere dal 28 marzo 2025) sino al giorno (incluso), in cui la stessa Assemblea abbia avuto luogo e, comunque sino al giorno (escluso) dell'eventuale stacco dei dividendi deliberati dall'Assemblea. A tale proposito, si informa che, avendo il Consiglio di Amministrazione proposto la distribuzione dei dividendi, il termine di sospensione si intente prorogato fino alla data (esclusa) di stacco della cedola, fissata per il giorno 5 maggio 2025.

## **Approvazione dei criteri quantitativi e qualitativi ai fini della valutazione dell'indipendenza degli amministratori**

Nella seduta odierna il Consiglio di Amministrazione ha inoltre definito, in conformità a quanto previsto all'art. 6-bis del Regolamento Emittenti Euronext Growth Milan, i criteri quantitativi e qualitativi per valutare la significatività delle relazioni potenzialmente rilevanti ai fini della valutazione del possesso dei requisiti di indipendenza previsti dall'art. 147-ter, comma 4, del D. Lgs. 24 febbraio 1998, n. 58 ("**TUF**"). Sul sito internet di Magis, alla sezione [www.magis.it/governance,](http://www.magis.it/governance) è disponibile il documento in cui sono illustrati tali criteri. In fine, il Consiglio di Amministrazione, avendo valutato l'autonomia di giudizio del proprio consigliere indipendente Debora Mazzaccherini, ha deliberato, in conformità con i sopra citati criteri, di ritenere sussistenti i suoi requisiti di indipendenza come previsti dall'art. 147-ter, comma 4, del TUF.

**Cerreto Guidi (FI), 28 March 2025 – Magis S.p.A.** ("Magis" or the "Company"), a leading manufacturer of customised adhesive tapes and fastening systems for both infant and adult body care, listed on the EGM of Borsa Italiana (**ticker: MGS**), announces that the Board of Directors has today approved the draft Financial Statements for the year ended 31 December 2024. Prepared in accordance with Italian accounting standards and pursuant to the Euronext Growth Milan Issuers' Regulations, these statements will be submitted for approval by the Company's upcoming Shareholders' Meeting.

## **Main results as at 31 December 2024**

As at 31 December 2024, Magis S.p.A. recorded a value of production of €85.18 million, an increase of 5.2% compared to 2023, and stable revenues of €81.55 million. The turnover trend stems mainly from the calibrated reformulation of some sales prices resulting from the drop in raw material costs and the forwardlooking approach of focusing production on a mix of higher-value customers and products, a strategy that was already in motion the previous year, with a **gross margin** (EBITDA margin) of 18.7% of total revenues, a

**net profit** of €8.68 million, a **net increase compared** to the previous year, alongside **strong cash generation** totalling €8.91 million.

As a consequence of the effective selective orientation of the business, the **Gross Operating Margin** (EBITDA) as of 31 December 2024 increased to €15.23 million, equating to approximately 18.7% of revenue (compared to €15 million of 2023); as well as the **Adjusted Gross Operating Margin** (EBITDA ADJUSTED) increased equating to €16.80 million, approximately 20.6% of revenue. The synergy between effective operational management and a solid commercial strategy allowed for the optimisation of product value, resulting in a positive impact on margins. The improvement in the first margin offset an increase in certain structural costs, particularly personnel expenses, which are essential to support future growth and development.

Despite the rise in depreciation and amortisation due to significant investments made in recent months, the **Net Result for 2024** stood at **€8.68 million**, an improvement from €8.22 million in 2023. This was driven by the favourable margin dynamics mentioned earlier, along with more efficient financial management that led to a substantial reduction in net financial charges.

The company's strong cash generation ability is further evidenced by a cash flow yield of 13.31% for the current year. Thanks to prudent management, the company successfully reduced its **Net Working Capital** from €10.6 million to €8.3 million, thereby ensuring continued growth in cash flow generated from operations.

As a result, the **Net Financial Position** showed a significant improvement, rising from €5.77 million in 2023 to €14.67 million in 2024. This performance is even more remarkable considering the substantial investments made during the year, totalling €5.1 million.

**Net equity** as of 31 December 2024 was €47.19 million, an increase of over €8 million compared to the already solid situation in 2023.

## **Allocation of financial year profits**

Based on the results achieved, the Company's proven ability to grow in both gross and net margins, and its capacity to generate significant annual cash flow, the Board of Directors of Magis has resolved to propose to the Shareholders' Meeting the distribution of a unit dividend from the 2024 financial statements of €0.92 per eligible share, with an ex-dividend date of 5 May 2025, record date pursuant to article 83-terdecies of Legislative Decree 58/1998 of 6 May 2025 and dividend payment date 7 May 2025.

Sustainability continues to be a top priority, with a growing emphasis on recyclable, biodegradable and compostable materials. At the same time, the sector continues its technological transformation, with the integration of the Internet of Things (IoT) and digital solutions, making packaging more efficient and advanced. In this context, the ability to innovate in both materials and production processes will be crucial for companies aiming to solidify their competitive position. Magis is fully prepared to meet this challenge, backed by its patents and strong research and development capabilities.

## **Development of demand and performance of the markets in which the Company operates**

In 2024, Magis continued to build on the strong results from the previous year in terms of EBITDA and NFP. The company maintained its investments in the adhesive tapes sector, including PLP and similar products, thanks to a consistent research and development strategy that enabled the company to meet the growing demand for its products.

Geographic diversification in product distribution is a strategy that management will continue to pursue, given the effectiveness of the results achieved and the mitigation of potential risks arising from economic trends or geopolitical uncertainties. In this respect, it is worth noting that since 2018, the Company has maintained a credit insurance policy with political risk coverage to safeguard customer receivables.

## **Outlook for operations**

In recent years, the company has implemented an investment plan focused on strengthening its competitiveness, expanding production capacity and improving process efficiency. The opening of a new industrial site and the introduction of high-tech machinery have not only enhanced product quality but also ensured faster delivery times. These investments have also reinforced the company's capital structure, providing the necessary resources to navigate any challenges arising from the current economic landscape with stability.

Given the strong performance over the past few years and the steady flow of incoming orders, the company expects to maintain positive results in 2025, barring any unforeseen global uncertainties. With the introduction of new advanced data analysis tools, the company will continue to implement a selective customer management strategy, focusing on companies with growth potential and high-margin orders. This approach, which has always set Magis apart, enables the company to adapt to market changes proactively, transforming challenges into long-term development opportunities.

## **Shareholders' Meeting call**

The Draft Financial Statements as of 31 December 2024 approved by the Board of Directors today and the proposal to allocate the Profit will be submitted to the next Shareholders' Meeting to be called for 28 April 2025, as established by the Company's financial calendar.

### **Suspension of the exercise of Magis Warrants**

In accordance with the Magis Warrant Regulations, the exercise of the Warrants is automatically suspended from the date (inclusive) on which the Board of Directors resolves to call the Shareholders' Meeting to approve the financial statements and the proposed dividend distribution (i.e., from 28 March 2025) until the day (inclusive) on which the Shareholders' Meeting is held, and, in any case, until the day (exclusive) of the ex-dividend date approved by the Shareholders' Meeting. In this regard, we would like to inform you that, as the Board of Directors has proposed the distribution of dividends, the suspension period is extended until the ex-dividend date (exclusive), which is set for 56 May 2025.

## **Approval of quantitative and qualitative criteria for the purposes of assessing the independence of directors**

At today's meeting, in accordance with the provisions of Article 6-bis of the Euronext Growth Milan Issuers' Regulation, the Board of Directors also established the quantitative and qualitative criteria for assessing the significance of potentially significant relations for the purposes of evaluating the fulfilment of the independence requirements set forth in Article 147-ter, paragraph 4, of Italian Legislative Decree No. 58 of 24 February 1998 (**TUF, Consolidated Finance Act**). A document explaining these criteria is available on the Magis website under www.magis.it/governance. To conclude, the Board of Directors, having considered the judgement of independent director Debora Mazzaccherini resolved in accordance with the aforementioned criteria, confirmed that she meets the independence requirements as outlined in Article 147-ter, paragraph 4, of the TUF.
