The Management Board of B-Act S.A. with its seat in Bydgoszcz ['Issuer']announces that on 12 March 2025 it became aware of the signing by allparties - of an agreement to perform the function of Contract Engineer['Agreement']. The Agreement was concluded between Stołeczny ZarządInfrastruktury with its registered office in Warsaw and a consortiumconsisting of: Issuer as consortium partner and Transprojekt Gdański sp.z o.o. with its registered office in Gdańsk as consortium leader['Consortium'].
The subject of the Agreement is performing by the Consortium thefunction of Contract Engineer over the investment process in themilitary complex in Sulejówek, according to the closed area developmentplan, consisting of eight material tasks.
The subject of the Agreement shall be executed within 1200 days countedfrom the day of concluding the Agreement, i.e. no later than by17.06.2028.
For performing the subject of the Agreement, the Consortium shallreceive a lump sum remuneration amounting to PLN 9,203,721.00 gross. TheIssuer's share in the specified remuneration will be determined in animplementation agreement to be concluded between the Consortium memberswithin 21 days of the conclusion of the Agreement, which the Issuer willannounce in a separate ESPI report.
The Issuer's Management Board considered the aforementioned Agreement tobe important due to its value and the fact that it may have asignificant impact on the Issuer's financial and asset situation in thefuture.
