Individual recommendation of the Polish Financial Supervision Authorityregarding the payment of dividends for 2024

With reference to current report No. 12/2025 of March 4, 2025, theManagement Board of Alior Bank S.A. (the "Bank") hereby informs that onMarch 13, 2025, it received an individual recommendation from the PolishFinancial Supervision Authority ("PFSA"), in which the PFSA recommendslimiting the risk in the Bank's operations by not paying by the Bank adividend from the profit generated in the period from January 1 toDecember 31, 2024, in the amount of more than 50%, with the maximumamount of the payout not exceeding the amount of the annual profitreduced by the profit generated in 2024 already included in own funds.

The Bank recognized in its own funds the net profit generated in thefirst three quarters of 2024 in the amount of PLN 917 478 906 at theindividual level and PLN 925 472 852 at the consolidated level.

At the same time, the PFSA recommended that the Bank refrain fromundertaking, without prior consultation with the supervisory authority,any other actions, in particular those outside the scope of ongoingbusiness and operating activities, which may result in a reduction ofown funds, including possible dividend payments from the undistributedprofit from previous years and buybacks or buyouts of own shares.

The exact amount of the recommended dividend for 2024 will be indicatedafter obtaining a positive assessment from the Bank's Supervisory Boardfor the Bank's Management Board's motion for the Bank's Annual GeneralMeeting to adopt a resolution on the method of distribution of profitfor the financial year 2024.
