Re: Information on potential paying dividend from the dividend reservein 2025.

In reference to current report no. 12/2025 of 13 March 2025, theManagement Board of Santander Bank Polska S.A. (Bank) hereby informs youthat on 17 March 2025, it was advised by the Polish FinancialSupervision Authority (KNF) that the KNF did not have any objections tothe potential payout of the additional amount of PLN 840,886,574.78 as adividend to shareholders in 2025; the amount derives from dividendreserve created by force of resolution no. 6 of the Annual GeneralMeeting of 22 March 2021 on profit distribution and creation of capitalreserve (Dividend Reserve).

This amount was transferred to the Dividend Reserve pursuant toresolution no. 6 of the Annual General Meeting of 19 April 2023 onprofit distribution and decision on the capital reserve created underresolution no. 6 of the Annual General Meeting of 22 March 2021.

Thus, in line with the KNF's individual recommendation that the Bankcommunicated to the market in current report no. 12/2025 of 13 March2025 and the said information of 17 March 2025 from the KNF, the totalamount that the Bank can distribute to shareholders in 2025 is PLN4,738,518,490.18.

The Management Board's recommendation regarding the distribution ofprofit and possible dividend payment in 2025, together with theSupervisory Board's opinion, will be published in the form of a separatecurrent report once these bodies have reached a decision.
