THE BOARD OF DIRECTORS OF SIMONE S.P.A. UPDATES THE ORGANISATION, MANAGEMENT AND CONTROL MODEL PURSUANT TO LEGISLATIVE DECREE 231/01

Milan, 25 March 2025 – The Board of Directors of Simone S.p.A. ("Simone" or the "Company"), a publishing company listed on Euronext Growth Milan, which met today, announces that it has approved the updating of the Organisation, Management and Control Model pursuant to Legislative Decree no. 231/2001 ("Model 231/01" or the "Model").

This Model extended to entities and companies the responsibility for administrative offences dependent on crimes, even when these are committed or attempted by top management, employees or those with control and guarantee powers within the corporate organisation chart.

The updating of Model 231/01, which replaces the one previously adopted by the Company, stems from the need to update the risk assessment activities and the change in the organisational structure of corporate governance that took place following the listing on the Euronext Growth Milan (EGM) market. The Model, in fact, plays a preventive role and reduces the risk of top management committing offences or crimes, regulating the management of decision-making processes and the distribution of powers and proxies.
