SIGNINING OF FINANCING CONTRACT FOR A TOTAL AMOUNT OF EURO 10 MILLION
IRCE S.p.A. ("IRCE") announces that it has signed with Banco BPM eight-years financing contract for a total amount of Euro 10 million.
This financing is intended to finance the wholly owned subsidiary Irce Electromagnet Wire Jiangsu Co. Ltda in relation to the investment project concerning the construction of the new industrial plant in China (the "Project"), described in the press releases of 12 June 2024.
The financing contract, to be disbursed in multiple cash solution, guaranteed for 70 percent by the SACE Future Guarantee and without financial covenants, provides for a preamortization period of 24 months while the repayment will take place in quarterly instalments with a constant capital quote.
Is to be noted that IRCE S.p.A. is exempt from compliance with the procedural and transparency provisions contained in the Consob Regulation n. 17221 of 12 March 2010 and lastly amended with resolution n. 21624 of 10 December 2020, regarding transactions with related parties, pursuant to article 14, co. 2, of the Regulation itself and article 6 (i) of the procedure adopted by IRCE in June 2021 as in the subsidiary Irce Electromagnet Wire Jiangsu Co. Ltda, with registered office in China, there are no significant interests of other parties related to IRCE.
The Manager responsible for preparing corporate accounting documents, Mrs. Elena Casadio, declares pursuant to paragraph 2 of article 154 bis of the Consolidated Law on Finance that the accounting information contained in this press release corresponds to the documentary findings, books and accounting records.
