Transaction in Own Shares

Kingspan Group plc announces that on 25 May 2021 it purchased a total of 3,872 ordinary shares of €0.13 each (the “Shares”) on Euronext Dublin through Goodbody Stockbrokers UC (“Goodbody”), as detailed below.

The Company intends to hold all of the purchased shares in treasury. The purchase forms part of the Company's share buyback programme to repurchase up to 600,000 shares announced on 19 May 2021.

Following the above transaction, the Company’s issued share capital consists of 183,557,695 ordinary shares of €0.13 each of which 1,970,553 ordinary shares will be held in treasury. Therefore, the total number of voting rights in the Company is 181,587,142.

The above figure 181,587,142 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Kingspan Group plc under the Disclosure and Transparency Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation), the detailed breakdown of individual trades made by Goodbody on behalf of the Company as part of the share buyback programme is set out below.
