Hamblin Watsa Investment Counsel Ltd. (a wholly owned subsidiary of Fairfax Financial Holdings
Limited) acts as the investment manager for HWIC Value Opportunities Fund (the ''Shareholder'')
and certain other subsidiaries of Fairfax Financial Holdings Limited. Pursuant to an investment
management agreement with the Shareholder, Hamblin Watsa Investment Counsel Ltd. has
control and discretion over the voting rights attaching to the shares of Hostelworld Group PLC
owned by the Shareholder. The Shareholder is a direct or indirect subsidiary of Fairfax Financial
Holdings Limited.
