Gusbourne, the premium English still and sparkling wine producer, today provides a further update with regards to the cancellation of admission of the Company's ordinary shares (the "Ordinary Shares") to trading on AIM (the "Cancellation"), as originally announced on 19 February 2025, and as approved by shareholders at the General Meeting held on 7 March 2025.
Shareholders are reminded that the last day of trading in the Ordinary Shares on AIM is today, 18 March 2025, and Cancellation will become effective at 7:00 a.m. on 19 March 2025. Following Cancellation, the Company will re-register as a private company under the name Gusbourne Limited.
As previously announced, the Company has made arrangements for a matched bargain facility for the trading of ordinary shares on JP Jenkins. JP Jenkins is an appointed representative of Prosper Capital LLP, which is authorised and regulated by the FCA. This facility will allow existing shareholders of the Company and new investors to trade ordinary shares by matching buy and sell orders. Details of the matched bargain facility to assist shareholders wishing to trade in Ordinary Shares following the AIM Delisting will be available on the Company's website http://www.gusbourneplc.com. The matched bargain facility will be effective from 19 March 2025.
Shareholders will continue to be able to hold their shares in uncertificated form (i.e. in CREST) and should check with their existing stockbroker whether they are willing or able to trade in unquoted shares. Shareholders wishing to trade shares through JP Jenkins must do so through their stockbroker.
Further details regarding the cancellation and re-registration are set out in the circular sent to shareholders dated 19 February 2024 ("Circular"). A copy of the Circular is available on the Company's website http://www.gusbourneplc.com.
Following the AIM Delisting, Panmure Liberum Limited will cease to act as nominated adviser and corporate broker to the Company.
Capitalised terms used but not defined in this announcement shall have the same meaning given to such terms in the Circular.
