INDIVIOR PLC (THE 'COMPANY')

NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMR') AND PERSONS CLOSELY ASSOCIATED WITH THEM

The Company announces that on March 7, 2025, it granted Conditional Awards ('Awards') over Ordinary Shares of US$0.50 each in the Company ('Shares') under the Indivior 2024 Long-Term Incentive Plan ('LTIP') to the PDMRs set out below:

The vesting of Awards is subject to the Rules of the LTIP and upon continued employment and the achievement of performance conditions.  The performance conditions applicable to the Awards are based on (1) relative Total Shareholder Return ('TSR') versus the Nasdaq Biotech Index (50% weighting); (2) relative TSR versus the FTSE 250 excluding investment trusts (20%); (3) the US Sublocade share of the Long-acting Injectables (LAI) Category (15%); and (4) LAI Category growth (15%).

The number of Shares under Award that will vest will depend upon the extent to which the performance conditions have been achieved. 

The Company also announces that on March 7, 2025, it granted Awards over Shares under the LTIP to the PDMRs set out below:

The vesting of these Awards is subject to the Rules of the LTIP and upon continued employment.

No consideration is payable either on the grant or vesting of the Awards. The Awards granted will normally vest on the third anniversary of the Award date.

This notification is made in accordance with the requirements of the UK Market Abuse Regulation.
