Issue of Equity and PDMR

StreaksAI PLC (LSE: STK), a UK-based generative AI platform, announces that it has raised gross proceeds of £75,000 by way of a subscription for 75,000,000 Ordinary Shares of £0.001 per share ("Ordinary Shares") (the "New Shares") at a price of £0.001 per share ("Subscription").

Admission

Application will be made to the Financial Conduct Authority ("FCA") for admission of the New Shares to the Official List and to the London Stock Exchange (the "LSE") for admission to trading of the New Shares on the LSE's Main Market for listed securities (together "Admission"). It is expected that Admission will take place at or around 8.00 a.m. on the 27th of November 2024.

Following Admission, the Company's issued share capital will consist of 453,732,535 Ordinary Shares with voting rights. The Company does not currently hold any Ordinary Shares in treasury.

This figure, 453,732,535, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.

Related Party Transaction

As Mike Edwards is the director of the Company and of Roundhouse Media Pte Ltd, which is subscribing for the New Shares, the Subscription is being treated as a related party transaction pursuant to paragraph 7.3 of the Disclosure Guidance and Transparency Rules. StreaksAI' s directors (other than Mike Edwards) confirm that the Subscription is fair and reasonable from the perspective of StreaksAI and its shareholders.
