## COMUNICATO STAMPA

# **Top line e marginalità in crescita per Nocivelli ABP nel primo semestre 24-25: i ricavi raggiungono i 41,3 milioni e l'EBITDA margin al 23,3%.**

# **In continua ascesa anche il backlog, pari a Euro 1,5 miliardi**

*Il Consiglio di Amministrazione ha approvato anche il progetto di fusione per incorporazione della controllata al 100% RPP S.r.l. nella Capogruppo*.

- **Ricavi delle vendite:** Euro 41,3 milioni, +4,3% (Euro 39,6 milioni al 31 dicembre 2023);
- **Valore della Produzione:** Euro 42,1 milioni, -1,2% (Euro 42,6 milioni al 31 dicembre 2023);
- **EBITDA:** Euro 9,8 milioni, +5,3% (Euro 9,3 milioni al 31 dicembre 2023) con un Ebitda Margin del 23,3%;
- **EBIT:** Euro 8,5 milioni, +3,7% (8,2 milioni di Euro al 31 dicembre 2023);
- **Utile netto:** Euro 6,7 milioni, +3,9% (6,4 milioni di Euro al 31 dicembre 2023);
- **Posizione finanziaria netta** cash positive per Euro 53,0 milioni (cash positive per 49,9 milioni al 31 dicembre 2023 e cash positive per Euro 47,7 milioni al 30 giugno 2024);
- **Patrimonio Netto:** Euro 76,8 milioni (Euro 72,0 milioni al 30 giugno 2024);
- **Portafoglio ordini** pari a 1,5 miliardi di Euro al 2031.

*Castegnato (Brescia), 17 marzo 2025* – Il Consiglio di Amministrazione di **A.B.P. Nocivelli S.p.A.**, EsCo Company leader del settore nelle operazioni di Partenariato Pubblico Privato per la realizzazione di strutture sanitarie e ospedaliere, quotata nel segmento Euronext Growth Milan (Codice ISIN IT0005439861, Ticker ABP:IM), riunitosi in data odierna sotto la Presidenza di Bruno Nocivelli, ha approvato la **relazione consolidata semestrale al 31 dicembre 2024** e il progetto di fusione per incorporazione delle controllata al 100% RPP S.r.l. nella Capogruppo A.B.P. Nocivelli S.p.A.

## **PRINCIPALI RISULTATI ECONOMICO-FINANZIARI CONSOLIDATI AL 31 DICEMBRE 2024**

I **Ricavi delle Vendite** sono pari a Euro 41,3 milioni, in crescita del 4,3% rispetto a Euro 39,6 milioni al 31 dicembre 2023. L'incremento è riconducibile principalmente al completamento di diversi progetti nel corso del primo semestre e ai servizi erogati ai clienti relativamente all'efficientamento energetico apportato nei cantieri completati.

Il **Valore della Produzione** è pari a Euro 42,1 milioni, in leggera flessione del 1,2% rispetto a Euro 42,6 milioni registrati al 31 dicembre 2023. Questa variazione, che riflette la dinamica dei ricavi e dei lavori in corso su ordinazione, è dovuta all'avvio di nuovi cantieri solo dopo la conclusione del primo semestre.

I **Costi delle materie prime,** pari a Euro 8,5 milioni rispetto a Euro 8,1 al 31 dicembre 2023 registrano un leggero incremento (+6,0%) che riflette l'andamento dei ricavi. I **Costi per servizi,** principalmente legati all'esecuzione delle commesse, sono pari a Euro 19,7 milioni, in diminuzione rispetto a Euro 21,4 milioni al 31 dicembre 2023 dovuta a minori costi sostenuti per la gestione delle società consortili. I **Costi del personale,** pari a Euro 2,5 milioni, si attestano su livelli comparabili a quelli del secondo semestre al 31 dicembre 2023.

Nel periodo di riferimento, il **Margine Operativo Lordo (EBITDA)** ammonta a Euro 9,8 milioni, registrando un incremento del 5,3% rispetto al 31 dicembre 2023 (Euro 9,3 milioni), con un **EBITDA Margin** sul valore della produzione pari al 23,3%, in miglioramento rispetto al 21,9% dello stesso periodo dell'anno precedente. Tale crescita è riconducibile principalmente alla positiva dinamica dei ricavi nonché all'efficientamento e alla riduzione di alcuni costi operativi.

Il **Margine Operativo Netto (EBIT)** si attesta a Euro 8,5 milioni, +3,7% rispetto al 31 dicembre 2023 (8,2 milioni di Euro), con un EBIT Margin pari a 20,1% (19,2% al 31 dicembre 2023). L'andamento risente di un incremento degli ammortamenti legato a investimenti effettuati per interventi di riqualificazione mirati a migliorare l'efficienza energetica delle soluzioni offerte.

**L'Utile Netto**, pari a Euro 6,7 milioni, registra un incremento del 3,9% rispetto al 31 dicembre 2023 (6,4 milioni di Euro). Questo andamento riflette l'evoluzione dell'EBIT e conferma la l'efficacia della gestione operativa del Gruppo.

La **Posizione Finanziaria Netta** (cash positive) si attesta a Euro 53,0 milioni, rispetto a Euro 49,9 milioni al 31 dicembre 2023 e a Euro 47,7 milioni circa al 30 giugno 2024. Questo risultato conferma, ancora una volta, la solidità del business model della Società.

Il **Patrimonio Netto** è pari a 76,9 milioni di Euro, rispetto a Euro 72,0 milioni al 30 giugno 2024.

Il **Portafoglio Ordini** del Gruppo al 31 dicembre 2024 ammonta a circa Euro 1,5 miliardi (Euro 1,4 miliardi al 30 settembre 2024), con un orizzonte fino al 30 giugno 2031, ed è interamente costituito da commesse già contrattualizzate, per le quali il Gruppo si è aggiudicato la gara e ha formalizzato i relativi contratti. L'incremento del backlog testimonia la capacità del Gruppo di acquisire progetti di valore che generano flussi di cassa stabili e prevedibili e la sua posizione di leader di settore.

## **EVOLUZIONE PREVEDIBILE DELLA GESTIONE**

Nocivelli ABP valuta positivamente l'attività svolta e prevede una redditività aziendale soddisfacente anche per il futuro. Le operazioni nei settori industriale, commerciale e dei servizi proseguono regolarmente, con il pieno rispetto degli impegni contrattuali e con risultati economici coerenti con le aspettative.

La Capogruppo è attivamente impegnata nelle procedure di gara, con particolare attenzione agli accordi con le amministrazioni pubbliche per la **riqualificazione di strutture sanitarie e ospedaliere** che necessitano di ammodernamento. Parallelamente, sta finalizzando contratti assegnati prima dell'emergenza Covid-19, che sono stati oggetto di rinegoziazione a seguito dell'aumento dei costi delle materie prime. La Società inoltre è coinvolta nella realizzazione e nell'adeguamento di strutture per Ospedali e Case di Comunità, finanziate attraverso fondi **PNRR**.

Sul fronte delle infrastrutture, la Capogruppo sta eseguendo lavori impiantistici e tecnologici per il collegamento ferroviario tra la **Ferrovia T2 Malpensa e la linea RFI del Sempione**, per un valore di circa 12 milioni di Euro. Inoltre, si è aggiudicata, in raggruppamento temporaneo d'impresa (RTI) con il Consorzio SIS, la gara per la componente edilizia e impiantistica del lotto 1 del progetto relativo al **Parco della Salute, della Ricerca e dell'Innovazione della Città di Torino** per un valore di circa 500 milioni di Euro.

La Società, già qualificata come **fornitore di Terna S.p.A.**, ha ottenuto diverse commesse, alcune delle quali già avviate e altre in fase di sviluppo nel 2025. La Capogruppo continuerà inoltre a partecipare a nuove gare indette da Terna S.p.A., che offrono prospettive di crescita interessanti per il futuro.

## **ALTRE DELIBERE**

## **PROGETTO DI FUSIONE PER INCORPORAZIONE DI RPP S.R.L. RUN POWER PLANTS IN ABP NOCIVELLI S.P.A.**

Il Consiglio di Amministrazione ha inoltre approvato, ai sensi dell'articolo 2501-ter del Codice Civile, il progetto di fusione per incorporazione della società controllata al 100% RPP S.r.l. RUN POWER PLANTS (di seguito, anche "**RPP**" o "**Incorporanda**"), in A.B.P. Nocivelli S.p.A. (di seguito, anche "**Nocivelli ABP**" o "**Incorporante**") predisposto in applicazione dell'art.2501- ter e ss. del Codice Civile.

L'operazione comporterà la concentrazione delle attività svolte da **RPP** in capo a **Nocivelli ABP** consentendo: sia la realizzazione di maggiori sinergie all'interno della società **Incorporante** attraverso la razionalizzazione della governance e delle strutture operative, commerciali e finanziarie, sia la riduzione di costi operativi e gestionali derivante dall'eliminazione di duplicazioni di attività societarie ed amministrative.

La fusione ricade nella disciplina di cui all'art. 2501 del Codice Civile, applicando la disciplina semplificata prevista dall'art. 2505 del Codice Civile, in quanto **Nocivelli ABP** detiene l'intero capitale sociale di **RPP**.

Non è pertanto necessaria la predisposizione della relazione degli Amministratori ex art. 2501- quinquies del Codice Civile, né della relazione degli esperti ex art. 2501-sexies del Codice Civile. Inoltre, la società **Incorporante** provvederà a modificare in maniera non sostanziale e non significativa il suo attuale statuto sociale al fine di renderlo omogeneo con l'attività svolta dalla società **Incorporanda**.

La fusione non comporterà la determinazione di un rapporto di concambio, né l'aumento del capitale sociale della società **Incorporante**.

In virtù del fatto che l'**Incorporante** detiene interamente il capitale sociale dell'**Incorporanda**, non è previsto alcun criterio di assegnazione delle azioni della società incorporante.

Si precisa che la fusione sarà deliberata:

- dall'Assemblea dei Soci di RPP S.r.l.;
- dal Consiglio di Amministrazione di A.B.P. Nocivelli S.p.A., ai sensi dell'art. 2505, comma 2, del Codice Civile nonché dall'art. 9.36 del suo statuto sociale.

La data di efficacia della fusione, ai sensi dell'art.2504-bis, secondo comma, del Codice Civile sarà stabilita nell'atto di fusione, e potrà anche essere successiva alla data dell'ultima delle iscrizioni prescritte dall'art. 2504, comma secondo del Codice Civile. A partire da tale data **Nocivelli ABP** subentrerà in tutti i rapporti giuridici attivi e passivi facenti capo a **RPP**.

Il Progetto di fusione, corredato dalla documentazione prescritta dalla normativa vigente, verrà depositato per l'iscrizione nel Registro delle Imprese nonché messo a disposizione del pubblico, secondo le modalità e i termini previsti dall'articolo 2501-septies del Codice Civile e pubblicato sul sito internet della Società www.abpnocivelli.com nella sezione "Investor Relations", nonché sul sito www.borsaitaliana.it nella sezione "Azioni / Documenti".

## **CONFERENCE CALL CON IL MERCATO FINANZIARIO PER LA PRESENTAZIONE DEI RISULTATI CONSOLIDATI AL 31 DICEMBRE 2024**

Nocivelli S.p.A.**, an ESCo Company specialised in building technological systems and facility management services, and a nationwide Public-Private Partnership clinic and hospital construction leader, listed on the Euronext Growth Milan's segment (ISIN Code IT0005439861, Ticker ABP:IM), in a meeting today chaired by Bruno Nocivelli, approved the **consolidated half-year report at December 31, 2024** and the proposal for the merger by incorporation of the wholly-owned subsidiary RPP S.r.l. into the parent company A.B.P. Nocivelli S.p.A.

## **H1 24-25 CONSOLIDATED KEY FINANCIAL HIGHLIGHTS**

**Revenues** amounted of Euro 41.3 million, up 4.3% from Euro 39.6 million in H1 23-24. The increase is mainly attributable to the completion of several projects during the first half of the year, and energy efficiency services provided to customers at completed construction sites.

The **Value of Production** totaled Euro 42.1 million, slightly decreasing 1.2% from Euro 42.6 million in H1 23-24. This variation, which reflects the dynamics of revenues and contract work in progress, is due to the commencement of new construction sites only following the conclusion of the first half of the year.

**Raw material costs** amounting to Euro 8.5 million compared to Euro 8.1 million in H1 23-24 increased slightly (+6.0%), reflecting the trend in revenues. **Service costs,** mainly related to the execution of contracts, amounted to Euro 19.7 million, a decrease from Euro 21.4 million in H1 23-24, due to lower costs incurred in managing consortium companies. **Personnel expenses** of Euro 2.5 million remained in line with H1 23-24.

**EBITDA** in the period amounted to Euro 9.8 million, recording an increase of 5.3% compared to H1 23-24 (Euro 9.3 million), with an **EBITDA Margin** on the value of production of 23.3%, an improvement from 21.9% in the same period last year. This growth is mainly attributable to the increase in revenues, as well as the efficiency and reduction of some operating costs.

**EBIT** accounted for Euro 8.5 million, +3.7% on H1 23-24 (Euro 8.2 million), with **EBIT Margin** of 20.1% (19.2% in H1 23-24). This trend is affected by an increase in depreciation related to investments made in upgrades to improve the energy efficiency of the solutions offered.

**Net profit** of Euro 6.7 million, up 3.9% on H1 23-24 (Euro 6.4 million). This increase reflects the EBIT trend and confirms the Group's strong operating performance.

**Net Financial Position** (cash positive) of approx. Euro 53.0 million, compared to Euro 49.9 million at December 31, 2023 and approx. Euro 47.7 million at June 30, 2024. This result once again confirms the solidity of the company's business model.

**Shareholders' Equity** of Euro 76.9 million, compared to Euro 72.0 million at June 30, 2024.

The Group's **Backlog** at December 31, 2024 amounted to approx. Euro 1.5 billion (Euro 1.4 billion at September 30, 2024), with a horizon until June 30, 2031, and is entirely made up of already contracted orders, for which the Group has been awarded the tender and has formalized the relevant contracts. The increase in the backlog testifies to the Group's ability to acquire valuable projects that generate stable and predictable cash flows and its position as an industry leader.

## **OUTLOOK**

Nocivelli ABP considers developments to be positive and anticipates satisfactory business profitability into the future also. Industrial, commercial and service sector operations continue smoothly, with full compliance with contractual commitments and operating results in line with expectations.

The parent company is actively involved in tendering procedures, with a focus on agreements with public sector entities for the **upgrading of healthcare and hospital facilities** in need of modernization. In parallel, it is finalizing contracts awarded before the COVID-19 emergency, which have been subject to renegotiation due to rising raw material costs. The Company is also involved in the construction and upgrading of facilities for Hospitals and Community Homes, financed through **National Recovery and Resilience Plan** funds.

On the infrastructure front, the parent company is carrying out plant and technology works for the rail link between the **T2 Malpensa railway and the RFI Sempione line**, worth about Euro 12 million. In addition, it was awarded, in a temporary consortium (RTI) with the SIS Consortium, the tender for the construction and plant engineering component of Lot 1 of the project for the **City of Turin's Health, Research and Innovation Park**, worth approximately Euro 500 million.

The Company, already qualified as a **supplier to Terna S.p.A.**, has obtained several contracts, some of which are already underway and others under development in 2025. The Parent Company will also continue to participate in new tenders called by Terna S.p.A., which offer attractive growth prospects for the future.

## **OTHER MOTIONS**

## **PLAN FOR THE MERGER BY INCORPORATION OF RPP S.R.L. RUN POWER PLANTS INTO ABP NOCIVELLI S.P.A.**

The Board of Directors also approved, pursuant to Article 2501-*ter* of the Civil Code, the proposed merger by incorporation of the wholly-owned subsidiary RPP S.r.l. RUN POWER PLANTS (hereinafter also referred to as "**RPP**" or the "**Merged Company**"), into A.B.P. Nocivelli S.p.A. (hereinafter also referred to as "**Nocivelli ABP**" or "**Merging Company**") prepared pursuant to Article 2501-*ter* and subsequent of the Civil Code.

The transaction will result in the concentration of the activities carried out by **RPP** at **Nocivelli ABP**, allowing for both greater synergies within the **Merging Company**, through the rationalization of the governance and operational, commercial and financial structures, and the reduction of operating and management costs resulting from the elimination of duplication of corporate and administrative activities.

The merger falls under Article 2501 of the Civil Code, applying the simplified rules set forth in Article 2505 of the Civil Code, as **Nocivelli ABP** holds the entire share capital of **RPP**.

Therefore, it is not necessary to prepare the Directors' report under Article 2501- *quinquies* of the Civil Code, nor the experts' report under Article 2501-*sexies* of the Civil Code. In addition, the **Merged Company** will make non-substantial and non-significant changes to its current By-Laws in order to make them consistent with the activities carried out by the Merging Company.

The merger will not result in the determination of an exchange ratio, nor will it increase the share capital of the **Merged Company**.

By virtue of the fact that the **Merging Company** holds the entire share capital of the **Merged Company**, there is no criterion for the allocation of the shares of the **Merged Company**.

It is noted that the merger will be considered by:

- the Shareholders' Meeting of RPP S.r.l.;
- the Board of Directors of A.B.P. Nocivelli S.p.A., pursuant to Article 2505, second paragraph of the Civil Code, as well as Article 9.36 of its By-Laws.

The effective date of the merger, pursuant to Article 2504-*bis*, second paragraph, of the Civil Code will be established in the merger deed, and may also be subsequent to the date of the last of the registrations prescribed by Article 2504, second paragraph, of the Civil Code. As of that date, **Nocivelli ABP** will take over all active and passive legal relationships of **RPP**.

The Merger Proposal, accompanied by the documentation prescribed by the applicable regulations, will be filed for registration with the Companies' Register, as well as made available to the public in accordance with the procedures and timeframes set forth in Article 2501-*septies* of the Civil Code and published on the Company's website www.abpnocivelli.com in the "Investor Relations" section, as well as on the website www.borsaitaliana.it in the "Shares / Documents" section.
