Grant of Options
Microlise Group plc (AIM: SAAS), a leading provider of transport management software to fleet operators, announces that the Company has granted options (the "Options") over a total of 1,430,342 ordinary shares of £0.001 each in the capital of the Company ("Ordinary Shares").
Options over a total of 1,430,342 were awarded pursuant to the Company's Performance Share Plan (the "PSP Options") at an exercise price of £0.001 per Ordinary Share.
The PSP Options, which are linked to the Company's 2024 financial year will vest on 31st December 2026, subject to the satisfaction of the performance criteria, which comprises a total shareholder return condition and an ESG condition linked to carbon reduction. See below for further detail:
· The vesting of 90 per cent. of such award (the "Relative TSR Award") is based on the Company's total shareholder return ("TSR") performance over a three year period from 1 January 2024 relative to the TSR performance of the constituents of the FTSE AIM All Share Index over the same period. One quarter of the Relative TSR Award will vest for median ranking performance, rising on a straight-line basis to three quarters vesting of the Relative TSR Award for upper quartile ranking relative TSR performance. The final quarter of the Relative TSR Award will vest, rising on a straight line basis between upper quartile ranking relative TSR performance and the highest ranking relative TSR performance.
· The vesting of 10 per cent. of the award is linked to the achievement of net zero carbon emissions by 2030. The maximum 10 per cent. of the award will vest if the Company achieves a 36 per cent. reduction in TC02e / FTE from the 2022 base line year. An amount of 2.5 per cent. of the award will vest if the Company achieves an 18 per cent. reduction in TC02e / FTE from the base line year with straight line vesting between those points.
The PSP Options represent, in aggregate, 1.22 per cent. of the existing issued share capital of the Company. Following the grant of these PSP Options, the Company has a total of 5,318,858 unvested Options outstanding, equating to approximately 4.39 per cent. of the existing issued share capital of the Company.
The grant includes options over an aggregate of 1,356,847 Ordinary Shares to persons discharging managerial responsibilities ("PDMRs") of the Company, which are in line with the Group's remuneration policy and are subject to typical holding, malus and clawback provisions. The resultant Option holdings of the PDMRs are as follows:
