Grant of Options, PDMR Dealings

Cornerstone FS plc (AIM: CSFS), a foreign exchange and payments solutions company offering multi-currency accounts to businesses and individuals through its proprietary technology platform, announces that on 22 February 2024 (the "Grant Date") the Company granted a total of 470,000 options (the "Options") over ordinary shares of 1 penny each in the Company ("Ordinary Shares") to certain employees, including two PDMRs of the Company as follows:

The Options, which were granted under the Company's Enterprise Management Incentive Scheme, vest in three equal tranches on the first, second and third anniversaries of the Grant Date and are exercisable at a price of 31.8 pence per Ordinary Share, representing the closing price of the Company's Ordinary Shares on AIM on 21 February 2024, being the day prior to the Grant Date. The vesting of the Options is subject to the individual remaining an employee of the Company. Leavers may exercise vested Options within 90 days of cessation of employment. All Options expire five years after the Grant Date.

Following the grant of the Options, the Company has options outstanding over a total of 5,327,736 Ordinary Shares, representing approximately 9.3% of the Company's current issued ordinary share capital.
