SIMONE S.p.A. CONCLUDES THE ACQUISITION OF 51% OF SA.GRAF. S.r.l.

• THE TRANSACTION WAS ENTIRELY CARRIED OUT THROUGH AN EXCHANGE OF SHARES

• SA.GRAF. NOW AMONG THE SUBSIDIARIES OF THE SIMONE GROUP

Milan, 13th March 2025 – Simone S.p.A. ('Simone' or the 'Company'), a publishing company listed on Euronext Growth Milan, announces that it has today signed a contract for the acquisition of Sa.Graf. S.r.l. with Sole Shareholder ('Sa.Graf.'), a Neapolitan printing company. The transaction, which had been announced on 20 December 2024, was finalised with the exchange of 23,000 Simone shares for 51% of Sa.Graf.

Sa.Graf. is a company specialising in printing and publishing solutions, and already a supplier of printing services for the Simone publishing group. As at 31.12.2024, Sa.Graf. recorded a turnover of EUR 788.000 and an Ebitda of EUR 108.000. The NFP (net financial position) as at the current date was zero.

'We are delighted to welcome Sa.Graf. into the Simone family as a subsidiary,' said Simone Chairman and CEO Luca Misso. "For the company, this is the first acquisition of a majority stake since its listing on the EGM. Thanks to this transaction, we will not only consolidate our relationship with a strategic partner, but also expand our margins on production, developing the vertical integration of the group and its supply chain. The objective is to try to seize all the opportunities offered by the market, aggregating high value-added realities capable of developing significant synergies with the Simone Group'.
