PDMR Shareholdings - Grant of Awards

Venture Life Group plc (AIM: VLG), a leader in developing, manufacturing and commercialising products for the international self-care market, announces that, pursuant to the Company's 2023 Long Term Incentive Plan ("LTIP"), it has granted options to subscribe for an aggregate of 3,000,000 ordinary shares of 0.3p each in the capital of the Company (the "Options") to the Company's Executive Directors, as follows:

The Options (which are subject to malus and clawback provisions) will vest after three years following publication of the Company's annual results for 2025 and will be exercisable within 7 years of vesting.  Vesting is conditional on the achievement of certain performance criteria which include a total shareholder return and earnings per share measurement. 

The grant of the Options constitutes a related party transaction for the purposes of AIM Rule 13. The independent directors consider, having consulted with the Company's nominated adviser, that the terms of the transaction are fair and reasonable insofar as its shareholders are concerned.
