RWS Holdings plc ("RWS" or the "Company") announces that it on 15 June 2023 it purchased the following number of its ordinary shares of £0.01 each on the London Stock Exchange from Numis Securities Limited, in accordance with the terms of the share repurchase programme announced on 14 June 2023 (the "Repurchase Programme").

RWS intends to cancel all of the purchased shares.

Following settlement of the above purchases and cancellation of the shares purchased, RWS will have 389,330,045 ordinary shares in issue and holds no ordinary shares in treasury.

The RWS Holdings plc Employee Benefit Trust holds 30,688 ordinary shares in order to satisfy awards under the Company's employee share schemes. Therefore the total number of voting rights in RWS is 389,299,357 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, RWS under the Financial Conduct Authority's Disclosure and Transparency Rules.

Since the commencement of the Repurchase Programme, the Company has repurchased 150,474 ordinary shares in aggregate at a weighted average price of 260.0396 pence per share.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation), as it forms part of Retained EU Law as defined in the European Union (Withdrawal) Act 2018, the table below contains detailed information of the individual trades made by Numis Securities Limited as part of the Repurchase Programme.
