Confirmation of Director Appointments

Further to its announcement on 30 March 2023, the Company confirms, following the Annual General Meeting yesterday, the appointments of Zillah Byng-Thorne to the Board of M&C Saatchi as independent Non-Executive Chair and Chris Sweetland as a Non-Executive Director to the Board of M&C Saatchi with immediate effect.

Zillah brings a wealth of experience across media and technology businesses, including having most recently been Chief Executive Officer of Future plc. She is currently Chair of Trustpilot Group plc and has served on the Boards of Flutter Entertainment plc, GoCompare and Auto Trader.

Chris will serve as a representative of AdvancedAdvT Limited and Vin Murria who hold in aggregate 27,237,985 ordinary shares in the Company, representing 22.2 per cent. of the Company's issued share capital. Accordingly, Chris will not be considered to be independent. Chris was previously the Deputy Group Finance Director of WPP Group and is currently a Non-Executive Director at TPX Holdings plc and Unlimited Marketing Group, a private equity-owned marketing services group.  Chris will be entitled to remain on the Board provided AdvancedAdvT Limited and Vin Murria retain an aggregate interest of at least 11.5 per cent. of the Company's issued share capital.

In accordance with Schedule 2 (g) of the AIM Rules for Companies, Zillah Byng-Thorne (aged 48 years) and Christopher Sweetland (aged 68 years) hold/have held the following directorships/partnerships in the last five years:

Zillah was a director of CTW Media Limited, MCV Media UK Limited, and Mobile Entertainment Limited (the "Companies") when each entered into creditors voluntary liquidations on 9 March 2018. The Companies were subsequently dissolved in October 2018.

Zillah holds 143,536 ordinary shares in the Company representing 0.12% of the Company's issued ordinary share capital. Chris holds 25,000 ordinary shares in the Company representing 0.02% of the Company's issued ordinary share capital.

Zillah and Chris hold no options over ordinary shares in the Company.
