Scheme of arrangement legally effective

Further to the announcement on 19 December 2022, the board of directors of Kistos plc ("Kistos" or "Company" or, together with its subsidiary or subsidiary undertakings, the "Group") (AIM: KIST) is pleased to announce that the order of the High Court of Justice of England and Wales (the "Court") sanctioning the scheme of arrangement ("Scheme") under Part 26A of the Companies Act 2006 has been delivered to the Registrar of Companies, and as such, the Scheme is now effective.

Kistos's ordinary shares ("Ordinary Shares") will be delisted from trading on AIM at 8.00 a.m. today and no transfers of Ordinary Shares will be registered after 8.00 a.m. today.

Admission to trading on AIM of the ordinary shares of Kistos Holdings plc will take effect as of 8.00 a.m. today.

Full details of the Scheme are set out in the circular sent to shareholders of the Company dated 22 November 2022 ("Scheme Document"). Capitalised terms used but not otherwise defined in this announcement have the meaning given to them in the Scheme Document.
