("Microlise", "the Group" or "the Company")
Grant of Options
Microlise Group plc (AIM: SAAS), a leading provider of transport management software to fleet operators, announces that, on 28 July 2022, the Company granted options (the "Options") over a total of 1,015,320 ordinary shares of £0.001 each in the capital of the Company ("Ordinary Shares").
Options over a total of 973,811 were awarded to pursuant to the Company's Performance Share Plan (the "PSP Options") at an exercise price of £0.001 per Ordinary Share.
The PSP Options will, subject to the satisfaction of the performance criteria, which comprises a total shareholder return condition, vest on the third anniversary of the date of the grant of the Options. For the maximum award to vest an 18 per cent. compound annual growth total shareholder return needs to be achieved. An amount of 25 per cent. of the award vests at an 8 per cent. compound annual growth total shareholder return with straight line vesting between those points.
In addition, options over 41,509 Ordinary Shares were awarded to Lucy Sharman-Munday, Non-Executive Director, which vest on the third anniversary of the date of the grant of the Options subject to her continued employment by the Company.
The Options represent, in aggregate, 0.88% of the existing issued share capital of the Company. Following the grant of these Options, the Company has a total of 2,071,095 unvested Options outstanding, equating to approximately 1.79% of the existing issued share capital of the Company.
The grant includes options over an aggregate of 962,264 Shares to persons discharging managerial responsibilities ("PDMRs") of the Company, which are in line with the Group's remuneration policy and are subject to typical holding, malus and clawback provisions. The resultant Option holdings of the PDMRs are as follows:
