NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT

This notice is given by 4DS Memory Limited (“Issuer”) under section 708A(5)(e) of the Corporations Act 2001 (“Act”).

On 3 November 2017 the Issuer issued 5,416,667 Shares following the exercise of 5,416,667 unlisted 10 May 2018 options and also issued 959,516 Shares following shareholder approval at the Company’s annual general meeting to issue shares to two Directors in lieu of accrued fees and salary respectively (the “Issued Shares”).

Pursuant to section 708A(5)(e) of the Act, the Company gives notice that:

• a) the Issued Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• b) as at the date of this notice, the Issuer has complied with:

  • I. the provisions of Chapter 2M of the Act, as they apply to the Issuer; and

  • II. section 674 of the Act; and

• c) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act.
