NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT

6 July 2020

This notice is given by 4DS Memory Limited (“Issuer”) under section 708A(5)(e) of the Corporations Act 2001 (“Act”).

The Issuer on 6 July 2020 issued 100,000,000 Shares at an issue price of $0.045 in accordance with the terms of a placement announced to the market on 29 June 2020 (the “Issued Shares”).

Pursuant to section 708A(5)(e) of the Act, the Issuer gives notice that:

• a) the Issued Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• b) as at the date of this notice, the Issuer has complied with:

  • I. the provisions of Chapter 2M of the Act, as they apply to the Issuer; and

  • II. section 674 of the Act; and

• c) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act.
