RE: COMPLETION OF PLACEMENT OF SHARES TO FITZROY RESOURCES LIMITED

MESSAGE:

Dear Sir/Madam

On 7 July 2014, the Directors of Zenith Minerals Limited (“ZNC”) announced a binding agreement to purchase initial 51% equity in the Develin Creek Project from Fitzroy Resources Limited (“Fitzroy”) (ASX-FRY) subsidiary Fitzroy Copper Pty Ltd.

Settlement of the transaction with Fitzroy has now been completed. The total consideration for the transaction is $250,000 (plus GST), made up of $200,000 cash consideration and 500,000 ordinary shares in ZNC at issue price of $0.10.

The attached notice contains information required under section 708A of the Corporations Act in relation to the above transaction. In addition, we enclose Appendix 3B in respect to the above issue of shares.

This notice is given under paragraph (5)(e) of section 708A of the Corporations Act 2001 (Cth) (“Corporations Act” ).
