MANAGEMENT CHANGES

4DS Memory Limited (ASX: 4DS) ( 4DS ) (the Company) today announced management changes with Mr David McAuliffe moving from Non-Executive Director to the position of Executive Director with immediate effect.

Mr McAuliffe is an experienced board director with over 20 years’ experience. During that time he was involved in numerous capital raisings and in-licensing of technologies. He is a founder of several companies in Australia, France and the United Kingdom, many of which have become public companies. Mr McAuliffe holds a Bachelor of Laws (Honours), a Bachelor of Pharmacy and is the President of the Dyslexia–Speld Foundation WA (Inc).

Mr McAuliffe’s remuneration is set out in Annexure A.

4DS also advises that Ms Melanie Buffier is leaving 4DS to pursue other opportunities. The Board thanks Melanie for her valuable contribution to the Company, and recognises her significant efforts in relation to the recent capital raising. The Board wishes Melanie every success with her future endeavours.

Annexure A - Remuneration of Executive Director

As an Executive Director, David McAuliffe will receive the following:

• a) remuneration salary of AU$125,000 per annum plus statutory superannuation;

• b) an equity package to be determined by the Board, and which will be subject to Shareholder approval;

• c) entitlement to be reimbursed for all reasonable expenses incurred in the performance of his duties; and

• d) remuneration to be reviewed annually on each review date or at any other time as the Board may determine (in its absolute discretion).

Termination conditions are as follows:

• up to three months’ written notice or pay the Executive Director an amount equal to 3 months’ salary; and

• three months’ termination pay in the event of a Change of Control.
