PDMR shareholding, Issue of Equity and Total Voting Rights update

LONDON, 7 APRIL 2022

In accordance with AIM Rule 17, shareholders are advised that Gemfields has issued and allotted 1,518,900 new ordinary shares of USD0.00001 each in the Company ("Ordinary Shares") following the exercise of share options by certain employees.

Adrian Banks, a PDMR of the Company, was one of the employees to exercise options. Mr Banks exercised 830,850 share options which were due to expire on 3 January 2023, at an exercise price of ZAR2.90 pence per Ordinary Share. Following the above transaction, Mr Banks has an interest in 842,738 Ordinary Shares, representing 0.07 per cent of the Company.

Applications have been made for the new Ordinary Shares to be admitted to trading on AIM and the JSE, both which are expected to occur on or around 8 April 2022 ("Admission"). 

Following Admission there will be 1,175,716,710 Ordinary Shares in issue with each Ordinary Share carrying the right to one vote. This is also the total voting rights figure which may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interests in, or a change to their interest in the Company.
