Statement re Lapse of Unrecommended Mandatory Offer

The board of Photo-Me notes the announcement made by Bidco on 8 March 2022 that its unrecommended mandatory offer, for the entire issued and to be issued share capital of the Company (the "Offer"), has lapsed as the Acceptance Condition was not satisfied.  Consequently, the Company is now no longer in an offer period.

The Company intends to report its results for the 12 months ended 31 October 2021 on 21 March 2022.
