Appointment of Independent Non-Executive Director

The Company announces that effective close of business on 8 March 2022 Mr Nicholas Wakefield has resigned from the Board of Directors of the Company as the Somerston Group representative and has been succeeded by Ms Tracy Clarke, who is appointed as a non-executive director of the Company effective immediately. Ms Clarke has also been appointed as a member of the Company's Audit and Risk Committee and the Remuneration and Nomination Committee effective immediately.

The Somerston group of companies ("Somerston") is the Company's largest shareholder and has the right to nominate one individual for appointment to the Board of the Company. Ms Clarke joined Somerston in 2016 and acts as the group's Chief Operating Officer. Ms Clarke is also the Managing Director of Carlton Management Services Limited, a licensed Jersey trust company business. Ms Clarke is a Fellow of the Institute of Chartered Accountants in England and Wales and holds the CISI Investment Advice Diploma.

Mr Wakefield will continue to act as an observer to the Board for a transitional period to ensure continuity.

Steve Smith, Non-Executive Chairman of the Company, said: "The Board wishes to express its sincere thanks to Nick for his outstanding contribution to the Company as a Non-Executive Director during the past three years. We are delighted to welcome Tracy and are confident that with her extensive professional experience she will be a valuable and complimentary addition to the Board."

Ms Clarke (age 44) is currently a director of, or during the past five years has been a director of, the following companies:
