Director / PDMR Shareholding

ProCook Group plc (the "Company") announces that on 12 November 2021, as set out in the Company's IPO prospectus, awards were granted under the ProCook Group plc Performance Share Plan 2021 ("PSP") and the ProCook Group plc IPO Employee Share Plan ("ESP") to certain directors and PDMRs.

The options awarded to Daniel O'Neill, Stephen Sanders and Dan Walden under the PSP are subject to the achievement of performance conditions. These options vest on the fifth anniversary of admission of the Shares to the premium listing segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange ("Admission").

The option awarded to Stephen Sanders under the ESP replaces an option previously held by him which has been waived. This option will vest on the second anniversary of Admission.

The options awarded to Dan Walden under the ESP in part reflect his significant contribution made to the Group in the lead up to Admission. These options vest on the third anniversary of Admission.

The notifications set out below are provided in accordance with the requirements of the EU Market Abuse Regulation as incorporated into the law of England and Wales, and set out more details of the transactions.
